Forty Thousand Three Hundred Eleven and 30/100 ($40,311.30) U. S. Dollars in your favor
for the period beginning April 22, 1999 and expiring May 22, 2000, for the account of
Bakken Homes, Inc.
This credit shall be available against your draft at sight on us accompanied by the original
Letter of Credit.
This Letter of Credit sets forth in full terms of our undertaking. Such undertaking shall not
in any way be modified, amended or amplified by reference to any document, instrument or
agreement referred to herein or in which the Letter of Credit is referred to or to which this
Letter of Credit relates. Any such reference shall not be amended to incorporate herein by
reference any document, instrument or agreement.
Your draft so drawn must bear this clause: "Drawn under Prior Lake State Bank, Prior

1. The Letter of Credit should have been extended until 8/2/00 prior to the issuance
of a final Certificate of Occupancy. This is one year after the landscaping was
installed and inspected. After to speaking with John Breichtbach, Prior Lake
State Bank, he stated the LaC will be extended prior to it expiring in May 2000.
They have every intent of extending the LaC to meet our ordinance, but cannot
extend it at this time due to their underwriting procedures. .

Dear Mr. Breitbach,
On September 28, 1999, the Planning Department received a Letter of Credit in the
amount of$9,000.00. The LaC on file in the amount of$40,311.30 expiring on 5/22/00,
can be reduced by $9000.00. In addition, this LaC will have to be extended until 8/2/00,
which is one year after the plantings were installed and inspected. On August 2, 1999 we
informed the contractor of this requirement. Let me know if you have any questions.

Dear Mr. Falk,
In a letter dated March 31, 1999 I had asked for an extended Letter of Credit (LOC) to be
submitted to the Planning Department by April 16, 1999. On April 13, 1999, I spoke
with John Breitbach at Prior Lake State Bank regarding an extension of this date due to
the renewal of your line of credit coming up later in the month. Therefore, I am granting
an extension until April 30, 1999 for you to provide the City with the extended LOC.
In addition, he had inquired about releasing the LOC after the landscaping was installed.
I did discuss this with the City Attorney, as the new zoning ordinance, effective May 1,
1999, does not necessarily require a LOC to be held for one year. It is the City's desire to
be consistent with ordinances in effect upon issuance of the building permit. Therefore,
considering the building permit for the structure was issued with the requirement for a
one year hold on the LOC after plant installation, we must adhere to it.
As you are aware your LOC expires on May 22, 1999. Failure to provide the City with
an extended LOC by April 30, 1999 will result in the City proceeding to draw upon the
LOC to ensure the landscaping is completed. Call me if you have any questions and
thank you for your attention to this matter.

Dear Mr. Falk,
Attached is a section of the City's Landscape Ordinance regarding the Letter of Credit
(LOC). It requires the City to hold a LOC for 1 year after installation of the required
landscaping. The LOC on file for this project expires on May 22, 1999. As of today,
none of the required landscaping is in place. Therefore, the LOC must be extended with
an expiration date of 1 year after installation. If you plan to completed the landscaping
this spring, then the LOC could expire on June 1,2000 or if you intend on completing the
landscaping this summer, then the LOC could have an expiration date on August 1,2000.
If you plan to complete the landscaping this fall, then the LOC could expire November 1,
2000. The LOC must be in place for 1 year beyond the installation.
Please provide us with an extended LOC on or before April 16, 1999. If an extended
LOC is not received, the City will be forced to proceed with drawing upon the LOC to
ensure the landscaping is completed. Call me if you have any questions and thank you
for your attention to this matter.

specific type of plant community.

Performance Guarantee:
1. All plants shall be guaranteed by the developer for one year after
total project acceptance.
2. The irrigation system shall be guaranteed for one year concurrent
with the plant guarantee. This will assure one winter season with a
fall shut down and spring start-up.
3. The developer shall notify the City prior to total project
acceptance, for City concurrence on the acceptability of the
complete landscape and irrigation system installation. The City shall

issue a letter accepting the landscape and irrigation system
installation and therein fixing the date for guarantee purposes.
4. The developer shall post a letter of credit with the City for the
complete landscape and irrigation system installation when the
building permit is issued (plants, irrigation, mulch and edgers). The
letter of credit shall be held by the City and used, if necessary, to
effect satisfactory completion of the project in the event of
incomplete or failed work. The value of the letter of credit shall be
one hundred twenty five percent (125%) of the estimated
construction costs for plants, irrigation system, mulch and edgers.
5. Release of the letter of credit shall occur on the date that the City
has reinstated and accepted the landscape and irrigation system and
notified developer, in writing, of such acceptance. Such release date
shall not be earlier than ten (10) days prior to the expiration of the
plant guarantee specified in subsections (J)2 and (J)3 above.
(K) Submission Requirements:
1. Landscape plans must be drawn to scale, show all proposed
plants, quantities and sizes, seed/sod areas/limits, etc. The plan(s)
must include the entire project area, project name, developer,
registered landscape architect or landscape designer, architect,
dates, existing site conditions (topography, vegetation, ponding
areas or water bodies, utilities, boundary data, walks, etc.), proposed
site conditions, (grading plan, tree preservation/protection plan, etc.),
site lighting, off-site conditions approximately one hundred feet

On November 6, 1998, the City approved a building permit for a commercial building to
be constructed at 14070 Commerce Avenue. The building is 6,154 square feet and will
house a dental office and three leased office/retail tenant spaces. The site plan is
consistent with City Codes and with the recorded covenants pertaining to landscaping and
a berm adjacent to the residential properties to the west.
There will be no public meeting for the proposed building, as the proposed use is
permitted and no variances are required. However, I understand the developer held a
meeting recently to hear your concerns.
Attached, for your information, is a copy ofthe approved site plan, landscaping plan and
building elevations. If you would like to review the full-scale plans, or have any other

Dear Mike,
The City has reviewed your revised plans submitted October 9, 1998. This letter serves as your
approval of the site plan. The following are items that must be addressed on revised plans to be
submitted for building permit approval:
Planning Department Issues Based on Zoning Ordinance
. Need an irrigation plan submitted.
. Need a cost breakdown of the landscaping costs. Costs for trees, shrubs, irrigation, and sod
should be specified. This will determine the dollar amount for the letter of credit (LOC.),
which is 125% of the landscaping costs. The LOC. must be submitted with an expiration
date of at least one year after the permit is issued (12-31-99 will probably work).
. Exterior mechanical equipment must be screened with multiple elements, berm, plantings, or
fence. Enclosing the mechanical equipment with the trash enclosure will achieve this. The
landscape plan indicated plantings on the concrete pad location of the mechanical equipment.
. The sign is encroaching in the 10' sign setback. All portions of the sign, including the
overhang, must be setback 10 feet. Survey doesn't match sign plan (dimensions). Please
correct on plan and indicate proper setback.
. The recorded covenants on the property pertaining to the landscaped berm along the adjacent
residential property must be adhered to. The existing and proposed contours along this berm
must be shown. The lowest elevation must be 942 and the top of berm is to be 948. The
parking lot elevation is 944 to 942. The parking lot elevation should be lowered to be more
consistent with the 942 elevation and to provide additional slope for run-off. We will work
with you on obtaining a grading plan that is consistent with the covenants and slope
standards.
. We need specifications of the proposed fence.
Building Issues Based on the Minnesota State Building Code (MSBC)
. The site plan indicates there are 30 stalls. The count of the stalls is only 29. Please correct
on plans.
. Submit signed architectural, structural, HV AC, plumbing, and sprinkler plans.

. Provide detail of attic draftstop. UBC 708.3.1.2.2.
. Provide detail on attic access and calculate required attic ventilation. UBC 1505.
. Provide a drinking fountain. MSBC 1305.1795 Table 5-E.
. Provide detail ofHDCP interior signage.
. Provide a 60" front approach to west handicap accessible entrance door.
CABO/ANSI 4.13.6.1. with a maximum sidewalk slope of 1:48. UBC 1004.9.
. Detail2/AS: Foundation insulation to top of foundation.
. Group "B" offIces with 8,500 or more square footage and group "M" Mercantile
(wholesale and retail stores) with 5,000 or more square footage require the building be
protected with a fIre protection system. MSBC 1306 subp3.
. Separate permits are required for the tenant fInished and for the signage.
. This is a preliminary review. Other code items may be addressed with the fmal plans are
submitted.
Enclosed is a building permit application. Please submit 4 full size copies and one set of
reduction of complete plans with revisions. Please note, the timing of your building permit
approval and issuance of a permit depends on the submittal of plans with all of the necessary
changes. Once we receive the plans, we can review the plans and corrections in
approximately one week. Please call me should you have any questions on the required
changes or timing of the project.

Dear Mike,
The following are items that must be addressed on revised plans prior to DRC approval. Once
we receive revised plans, we will review them. After this review, we will notify you if your site
plan is approved, and if a building permit can be applied for.
Planning Department Issues Based on Zoning Ordinance
. Survey needs to match site plan. The trash enclosure needs to be on survey with a .
dimensioned setback. Driveway openings need to match. Maximum width at R-O-W is 36
feet.
. Need to mow how may employees are employed at the dental office. The number of
dentists and support staff. This will determine parking required. Plan shows 29 parking
spaces, not 30 as indicated.
. Maximum driveway width at R-O- W is 36 feet. Survey indicates driveway facing north is
greater than this.
. Site plan must indicate materials used for driveway, bituminous or concrete.
. Need an irrigation plan submitted.
. Need a cost breakdown of the landscaping costs. Costs for trees, shrubs, irrigation, and sod
should be specified. This will determine the dollar amount for the letter of credit (LOC.),
which is 125% of the landscaping costs. The LOC. must be submitted with an expiration
date of at least one year after the permit is issued (12-31-99 will probably work).
. 20 Trees are required, with 10% being oversized. These must be specified on the landscape
plan.
. Tree inventory specifying all significant trees, species, size and location, and if they will be
removed. If there are no significant trees on the site, then your survey should indicate so.
. Parking lot screening with the berms appears acceptable. However, a detailed grading plan
indicating existing and proposed contours is required. We can then verify berm height and
slopes.
. Indicate location of exterior mechanical equipment. It is not located on the roof, and must be
screened if on the ground.
. The sign is encroaching in the 10' sign setback. All portions of the sign, including the
overhang, must be setback 10 feet. Please correct on plan and indicate proper setback.

AN EQUAL OPPORTUNITY EMPLOYER
. The parking lot luminare plan indicates up to 11.8 foot candles towards the adjacent
residential property lines. We need to know the foot candles at the property line, not the
edge of the parking lot. As shown, the proposed luminares may be too high and the light
poles of20 feet may be to high and will be very visible from the adjacent residential
properties. The poles should be lowered to be entirely screened by the fence and berm, or
the lights should be re-directed as to illuminate towards the building. Perhaps bollard
lighting will achieve adequate lighting in the parking lot and will not be visible from the
adjacent residential properties.
. The recorded covenants on the property pertaining to the landscaped berm along the adjacent
residential property must be adhered to. The existing and proposed contours along this berm
must be shown. The lowest elevation must be 942 and the top of berm is to be 948.
Considering this 6 foot high berm is required in an area on your plan that is only 20 feet wide
and the slope should not exceed 3:1, a retaining wall along the parking may be necessary.
This is what was done on the building recently constructed at 14162 Commerce Avenue. We
need specification of the proposed fence The fence must extend to within 15' of the street.
The required trees, as part of the covenants require one tree for every 10 lineal foot adjacent
to the residential. The plan must indicate 24 pines along the adjacent residential property.
You may plant spruce trees to provide more effective screening.
. We would like to see the berm completed and fence in place prior to construction of the
building. You can get a separate grading permit for this work ($50.00) while your site plan
and building permit application is being reviewed.
. A neighborhood meeting should be conducted prior to construction. We can provide you
with a list of property owners.
Engineering Issues Based on Ordinance and Public Works Design Manuals
. Additional silt fence is required along Commerce Avenue on the northeast side of the site.
. Use a minimum 1"-2" washed rock for the construction entrance. Indicate on plans.
. Add the following note to the grading plan: "Place silt fence around entire lot except for the
area of gravel construction entrance until permanent driveways are in place."
. Minimum driveway width is 24 feet. One of the plans indicates the driveway to the north to
be less than 24 feet wide (scaled out). The survey shows something different. Site plan must
match survey with correct driveway width. Attached are details for concrete entrance
requirements.
Building Issues Based on the Minnesota State Building Code (MSBC)
. Submit signed architectural, structural, HV AC, plumbing, and sprinkler plans.
. Submit a soils report.
. Submit the Structural Engineer's requirements for Special Inspections. UBC 1701.5.
. The Structural Engineer must include the sign in the Engineering Calculations.
. Submit an exit and emergency lighting plan. UBC 1012 and 1013.
. Submit Energy Envelope Calculations, MN Energy Code 7670.0495
. A fire hydrant shall be located a maximum distance of 150 feet to the fire department
connection, and a maximum distance of 300 feet to all areas of the building. Locate a
post indicator valve minimum height of building away from building.
. Provide the Illumination Budget Calculation Summary, MN Energy Code Part
7670.080.
. A S.A.C. determination must be completed by the Metropolitan Waste Control
Commission. Contact Jody Edwards at 612/602-1113.

. Provide detail ofHDCP interior signage.
. Provide a 60" front approach to west handicap accessible entrance door.
CABO/ANSI 4.13.6.1. with a maximum sidewalk slope of 1:48. UBC 1004.9.
. Site plan Al indicates 2 HDCP parking stalls, survey 1 of 1 indicates 3 HDCP
parking stalls. Clarify correct number of stalls.
. Detail2/A5: Foundation insulation to top of foundation.
. Group "B" offices with 8,500 or more square footage and group "M" Mercantile
(wholesale and retail stores) with 5,000 or more square footage require the building be
protected with a fire protection system. MSBC 1306 subp3.
. This is a preliminary review. Other code items may be addressed with the final plans are
submitted.
Please submit 4 full size copies and one set of reduction of complete plans with revisions.
Once received, another review of the plans will be done. If the revised plans indicate all of
the changes and meet all of the ordinances and codes, you will be instructed to apply for a
building permit. If there are a few outstanding items, you will be allowed to apply for a
permit, however, the building permit will not be issued or approved until the necessary
changes have been made. If there are several items or significant items to be addressed, you
will not have DRC approval and the plans will have to be revised for further review.
Please note, the timing of your site plan review and issuance of a permit depends on the
submittal of plans with all of the necessary changes. Once we receive the plans, we can
review corrections in approximately one week. Please call me should you have any
questions on the required changes or timing of the project.

DECLARATION OF RESTRICTIVE COVENANTS
TIllS DECLARATION is made and entered into this 15th day of June,
1998, by T.F. James Company, f/kJa/ James Refrigeration, an Iowa corporation, whose
address is Eden Prairie, Minnesota, hereinafter referred to as the "Declarant".
RECITALS
A. Declarant is the fee o~er of Lots 1 and 2, Block 1, James First Addition,
Scott County, Minnesota (collectively the "Subject Property").
B. Declarant has agreed to burden its interest in the Subject Property with these
restrictive covenants, to run with the land, which will require the construction and
maintenance of a berm on the land.
NOW, THEREFORE, in consideration of the foregoing promises, the receipt and
sufficiency of which is hereby acknowledged, Declarant hereby imposes upon the Subject
Property, for the benefit of the property, present and future owners thereof, and adjoining
property owners the following conditions, restrictions, reservations and covenants which
shall operate as restrictions passing with the conveyance of the Subject Property and shall
apply to and bind every successor in interest:
1. As part of any further development of either lot contained in the Subject
Property, Declarant agrees, with the issuance of any building permit for said lot, to
construct and maintain a berm along that portion of the lot between the business and
residential zones. The berm shall comply with the requirements of the Grading Plan
attached hereto as "Exhibit A" and the continuation of the landscaping and fencing as set
forth in the Landscape Plan attached hereto as "Exhibit B."
2. It is the responsibility of the owner of the Subject Property to maintain the
berm, fence and landscape materials in order to prevent excessive arid unnatural erosion
caused by drainage and run off. The owner of the Subject Property accepts all risks
associated with the berm. Any erosion of the berm or degradation of the fence or
landscape materials will be repaired and properly maintained by the owner of the Subject
Property .
3. The above restrictive covenants are intended to be a servitude running with
the land, and shall bind Declarant and all future owners and occupants of the Subject
Property, shall be for the benefit of the owners of the Subject Property and adjoining
property owners, and shall not be amended, revoked, or altered except by written

with the Scott County Recorder or Registrar of Titles.
4. The restrictive covenants shall be perpetual.

DECLARATION OF RESTRICTIVE COVENANTS
TillS DECLARATION is made and entered into this 15th day of June,
1998, by T.F. James Company, f/kJa/ James Refrigeration, an Iowa corporation, whose
address is Eden Prairie, Minnesota, hereinafter referred to as the "Declarant".
RECITALS
A. Declarant is the fee owner of Lots 1 and 2, Block 1, James First Addition,
Scott County, Minnesota (collectively the "Subject Property").
B. Declarant has agreed to burden its interest in the Subject Property with these
restrictive covenants, to run with the land, which will require the construction and
maintenance of a berm on the land.
NOW, THEREFORE, in consideration of the foregoing promises, the receipt and
sufficiency of which is hereby acknowledged, Declarant hereby imposes upon the Subject
Property, for the benefit of the property, present and future owners thereof, and adjoining
property owners the following conditions, restrictions, reservations and covenants which
shall operate as restrictions passing with the conveyance of the Subject Property and shall
apply to and bind every successor in interest:
1. As part of any further development of either lot contained in the Subject
Property, Declarant agrees, with the issuance of any building permit for said lot, to
construct and maintain a berm along that portion of the lot between the business and
residential zones. The berm shall comply with the re uirements of the Gradin Plan
attached hereto as "~bit A" and the continuation of the landscaping an fencing as set
fortll in the Landscape Plan attached hereto as "Exhibit B."
2. It is the responsibility of the owner of the Subject Property to maintain the
berm, fence and landscape materials in order to prevent excessive arid unnatural erosion
cause~ by drainage and run off. The owner of the Subject Property accepts all risks
associated with the berm. Any erosion of the berm or degradation of the fence or
landscape materials will be repaired and properly maintained by the owner of the Subject
Property .
3. The above restrictive covenants are intended to be a servitude running with
the land, and shall bind Declarant and all future owners and occupants of the Subject
Property, shall be for the benefit of the owners of the Subject Property and adjoining
property owners, and shall not be amended, revoked, or altered except by written

with the Scott County Recorder or Registrar of Titles.
4. The restrictive covenants shall be perpetual.

BAKKEN 'BLOCK HOLDING OFFICE BUILDING
Bakken Block Holdings is proposing to build a 6,000 +/. square foot office
building on Lot 1. Block I James First Addition in Prior Lake. The property is zoned B.l,
limited business and the proposed office/dental clinic uses for the building arc pcrmitt~d
uses per the city's zonina: ordinance.
Lot 1. Block I James First Addition is 35,700 square feet in size which exceeds
minimum 101 size in Prior Lake. The 6.000 square foot building gives a lot coverage of
17%. City code requires 23 parking spaces, 29 are provided. No setback or other
variances are required.
The building is intended to have a residential character with a pitched roof with
asphalt shingles and brick and heavy duty vinyl siding for permanent finished building
materials. The IDndscape plan compliments the building and provides the required
screenin~ for residential nci~hbors to the west. This pl:m incorporates the beam, screening
fence and evergreens called for in the recorded covenant for this lot. The only signage
proposed is a six foot hiSh monument sign for the tenant identification.
It is our plan to begin construction this fnll with occupancy in the spring of t999.
Following the DRe review, we will move to the building permit application stage.
Knowing Ihe sensitivity in the neighborhood, we will meet with the nei~hbors prior to
construction. We look forward to workin~ with the Prior Lake staff on this project and a
long term rclatio~ghip with the eonununity once the building opens.
