BETWEEN THE MUNICIPAL LAWYERS ASSOCIATION AND AMERICAN
SOCIETY OF COMPOSERS, AUTHORS, AND PUBLISHERS (ASCAP)
REGARDING SETTLEMENT WITH RESPECT TO THE USE OF PROTECTED
MATERIALS.
DISCUSSION: History: Cities like Prior Lake play copyrighted music in a wide variety of ways
including at the dance studio, community events, parades, cablecasts and
background music at work. As innocent as these examples are, each constitutes
a violation of the copyright laws.
Current Circumstances: The City Attorney has written a memorandum on this
topic suggesting that the City Council adopt the attached model licensing
agreement with ASCAP . The annual cost ot enter into the agreement is $250. In
addition to including the agreement, literature is provided for information.
ISSUES: It appears that ASCAP has initiated a campaign to improve copyright
enforcement and increase cashflow. Since we will likely continue to use
copyrighted music, and considering the modest cost of the agreement, execution
of this agreement is probably the most prudent course of action.
ALTERNATIVES: (1) Adopt Resolution 01-XX Authorizing the City to Enter into the Agreement
with ASCAP as part of the Consent Agenda
(2) Take no action.

AS CAP Model Licensing Agreement
As a member of the International Municipal Lawyers Association (IMLA), I recently
received information regarding Copyright Law and the potential liability the City faces
for "something as simple as a little music at the next town festival."
Attached to this memorandum is a Model Licensing Agreement for Local
Governments negotiated by IMLA, through its Model Licensing Agreement
Committee, with the American Society of Composers, Authors and Publics (ASCAP)
as well as a brochure provided by ASCAP regarding the Model Agreement.
Under Copyright Law, the City cannot publicly perform or authorize. others to
perform copyrighted works without the perm ission of the copyright owner; this Model
Agreement grants that perm ission.
Copyright Law defines a public performance as one "in a place open to the public or
at any place where a substantial num ber of persons outside of a normal circle of a
family and its social acquaintances is gathered." This includes performances on
television or radio; music from a telephone "on-hold" system; and performances
from CD, tapes and videotapes.
The Model License Agreement also covers Special Events for an additional fee. This
section comes into play when the gross revenue of an event exceeds $25,000.
Upon review of the Model Agreement and accompanying literature, I recommend that
the City execute the Model Agreement. For a modest fee of $250, the City will be
im m une from most copyright suits. In exchange for executing the Model Licensing
Agreement, AS CAP will "waive any claims for copyright infringement, on behalf of its
members for unauthorized non-dramatic public performances of music in the AS CAP
repertory for public performances that occurred prior to the effective date of the
License Agreement."

LOCAL GOVERNMENTAL. ENTITlES
AGREEMENT between the American Society of Composers, Authors and Publishers (UASCAP") located at 2690 Cumberland PaTkvtay,
Suite 490, Atlanta, GA 30339 and. ("LICENSEE"), located at
L Grant and Term of License
(a) ASCAP grants and LICENSEE accepts a license to perfonn publicly on the "Premises" and at "Events" and "FunctioIl5," and
not elsewhere or otherwise, non-dramatic renditions of the separate musical compositions in the "ASCAP repertory." The
pc:rfoIIIlBDccs licensed under this Agreement may be by means of "Live Entertainme:nt" or "Mechanical Music", For purposes of this
Agreement,
(i) "UCENSEE" shall include the named entity and any of its constitue:nt bodies, departmcnt~, agencies or leagues.
(ii) "Mechanical Music" means music which is perfoIIllcd at the Premises by means other than by live musiciaIlS ~ho
are performing at the Premises, including, but not limited to (A) compact disc, audio record or audio tape players (but not
including 'Jukeboxes"), (B) videotape, videodisc or DVD players; (C) the reception and communication at the pn::mises of
radio or television transmissions which origiDate outside the Premises; and which are not exempt under the Copyright Law;
Or (D) a music-on-hold telephone system operated by LICENSEE at the Premises.
(ill) "Live Entertainment" means music that is performed a.t the Premises by musicians. singers or other performers.
(iv) "Premises" means buildings, hospitals, aUpOlts, zoos, museums, athletic facilities. and reaeational facilities.
including, but Dot limited to, community CQltas. parks. swimming pools, and sk~ting rinks oW1led, or operated by LICENSEE
and any site which has been engaged by LICENSEE for USe by LICENSEE.
(v) "ASCAP repertory" means all copyrighted musical compositions writtCIl or published by ASCAP members or
'members of affiliated foreign performing rights societies. including compositions written Dr published during the term of this
Agreement and of which ASCAP has the right 10 Iicenst Don-dramatic public performances.
(vi) "Evl:Dts" and "Functions" means any activity conducted, sponsored, or presented by or under the auspices of
LICENSEE. Except as set forth in paragraph 2.(d) below, "Events" and "Functions" shalJ include, but are Dot limited to,
aerobics and exercise classes, athletic events, dancc.s and other social events, concerts, festivals, arts and cra:ft.~ fairs, and
parades held under the auspices of or sponsored or promoted by LICENSEE on the Premises.
(vii) "Special Events" means musical eventS, concerts, shows, pageantS, sporting eVl:Dts, festivals, competitions, and
other events oflimited duration presented by ~lCENSEE for which the "Gross Revenue" of such Special Event exceeds
$25,000 (as defined in paragraph 4.(d) below).
(b) This A:;:reement shall be for an initial term of one year, conzmc:ncing . which shall be considered the
effective date of this Agreement, and continuing thereafter for a.dditional terms of one year each. Either party may give notice of
termination to the other no later than thirty (30) days prior to the end of the initial or any renewal tenn. If such Dotice is given, the
agreement sb.all terminate on the last day of the term in which Dotice is given.
1. Limitations On Lieense
(a) This license is not assignable or transferable by operation of law or otherwise. This license does not authorize LICENSEE to
grant to others lUly right to perform publicly in any mmner any of the IIlusical compositions licensed under this agreement, nor does it
authorize any public pcrfcmnances at any of the Premises in llJ1Y manner except as expressly herein provided.
(b) This license does nol authorize (0 the broadcasting, telecasting or lransmission or retransmission by v..-ire, Internet, website or
ocber.,uise, of renditions of musical compositions in ASCAr's repertory to persons outside of the Premises, other than by means of a
music-OIJ-hold telephone system operated by LICENSEE at the Premises; and (ii) performances by means ofbackgrolUld music (such
as Muzak) or other scrvices delivered to the Premises. Nothing in this paragraph shall be deemed to limit LICENSEE's right to
transmit renditions of musical compositions .in the ASCAP repertory to those who attend Events or Functions on the Premises by
means of teleconferencing, videoconfereneing or similar technology.
(c) This license is limited to non-dramatic performances, and does not authorize any dramatic perfonnances. For purposes of this
agreement, a dramatic perfoInllUlce shall include, but not be limited to, the following:
(i) performance of a "dramatico-ml.lsical work" (as hereinafter defined) in its ent:in:ty;
(ii) performance of Onc or more musical compositions from a "dramatieo-musical work (as hereinafter defined)
accompanied by dialo~ue, pantomime, dance:, s13.~e action, or visual representation of the worle: from which the music is
taken;
(iii) performance of one or more musical compositions as part of a story or plor, whether accompanied or
unaccompanied by dialogue, pantomime, dance, stage action, or visual representation;
(iv) performan~e .of a concen version of II "dramatico-musical work" (as hereinafter defined).
The term "dramatieo-musical ~ork" as used in ~is Agreemcnt, shall include, but 110t he limited to, a musical comedy, opera, play with
music, revue, or ballet.

(d) This license does not authorize performances:
(i) at any convention, exposition,. trade show, conference, congress, indw.'1rial show or similar activity p~sented by
LICENSEE or on the Premises unless it is presented or sponsored solely by and under the auspices of LICENSEE, is
p:n::scnted entirely on LICENSEE'S Premises, and is not open to thc general public;
(ii) by or at colleges and universities;
(iii) at any professional sports event Or game played on the .Premises:
(iv) at any pe.nnanently situated theme or amusement parle oWDed Or opElI'ated by LICENSEE;
(v) by aDY symphony or conununity orchestra;
(vi) by means of a coin operated phonorecord player (jukebox) for which a llcense is otherwise available from the
Jukebox License Office:.
3. License Fee
(a) In considc:ration of me license granted herein, LICENSEE agrees to pay ASCAP a license fee which includes the total of
the "Base License Fee" and any applicable "Special Events License Fees", all of which shall be calculated in accordance with the Rate
Schedule attached to and made part of this Agreement For purpOses of this Agreement,
(i) "Base License Fee" means the annual fee due in accordance with Schedule A of the Rate Schedule and based on
LICENSEE's population as esrablished in the most recent published U.S. Census data. It does net include any fees due for
Special Events.
(ii) "Special Events License Fees" mean the amount due in accordance with Schedule B of the Rate Schedule when
Special Events are presented by or on behalf of UCENSEE. It does not include any Base License Fees due.
(iii) UCENSEES who an:: legally organized as state municipal and/or county leagues or state associations of municipal
aDd/or county attorneys shall be required to pay only the fee under Schedule C of the Rate Schedule. Such lea.gues or
associations an: not subject to Schedule A or Schedule B of the Rate Schedule. Fees paid by such leagues or associations
do not cover performances of the municipality, county or other local government entity represented by the league or
association. Schedule C fees are not applicable to municipal, county or other local gOVCDllnent entities.
(b) Unless other;uise limited by law, LlCENSEE shall pay a fmance charge of 1.5% per month from the due date, or the
maximwn amount permitted by law, whichevcr is less, on any required payment that it is not made within thirty days of its due date.
4. Reports and Payments
(a) Upon the execution of this Agreement, LICENSEE shall submit:
(i) a report stating LICENSEE's population based on the most recent published U.S_ Census data. The population set
forth in the report shall be used to calculate the Base License Fee under this Agrxement; and
(n) a report containing thc infonnation set forth in paragraph 4.(c) below for all Special Events that were presented
betWeen the effective date of this Agreement aDd the execution of this Agreement.
(b) The Base License Fee for the first yellJ'" of this Agreement ;md my license fees due for Special Events that were presented
beTWeen the effective date of this Agreement and the execution of this Agreement shall be payable upon the execution of this
Agreement.
(c) Base License Fees for subsequent years shall be due and'payable within 30 days ofthe renewal date of this Agreement aDd
shaJl be accompanied by a statement confuming whether any Special Events were presented during the previous calendar year.
(d) Ninety days a.fterthe conclusion of each Special Event, LICENSEE shall submit to ASCAP payment for liuch Special
Event and a report in printed or computer rcadable form Stating:
(i) thc date presented;
(ii) the name of the attraction(s) appearing;
(iii) the "Gross Revenue" of the eVent. "Gross Revenue" means all monies received by LICENSEE or on LICENSEE'S
bchalf from the sale oftickets for each Special Event. If there are nO monies :lTom the sale: of tickets, "Gross Revenue" shall
mean contributions from sponsors or other payments received by LICENSEE for each Special Event;
(iv) the license fee due for each Special Event.
(t) If LICENSEE presents, sponsors or promotes a Special Event that is reportable under Rate Schedule B with another person or
entiry licensed under an ASCAP License Agreement, LICENSEE shall indicate the name, address, phone number and ASCAP account
number of the other person(s) or entity(ies) and the party responsible for payment for such Special Event. If the other party is not
licensed by ASCAP, LICENSEE shall pay the license fee due hereWlder, notwithstanding llIlY agreement to the contrary betwecn
LICENSEE aDd the other party.
(f) LICENSEE agrees to furnish to ASCAP. where available, copies of all pros-rams of musical works performed, which arc
prepared for distribution to the audience Or for the use Or information of L.JCENSEE or any department thereof. The progmm.!; shall
include all encores to the extent possible. LICENSEE shall be under no obligation to furnish programs when they have not been
otherwise prepared.
(g) ASCAP shall have the right to examine LICENSEE'S books and records at UCENSEE's place ufbusiness during normal
business hours to such extent as may be necessary to verify the: repon.~ required by paragraph 4.(b) above. ASCAP shall have the right
to adjust LICENSEE's BaSe License Fee based upon thc most recently available revised population figures. and Population Estimates
Program provided by the U.S. Census Department

5. Breach or Default
Upon any breach or default by LICENSEE of any tr.mn or condition herein containcd, ASCAP may tenninate this license by giving
LICENSEE thirty days notice to cure such breach or default., and in the event that such breach or default ha.<; not been cured within
said thirty days, this license shall terminate on the expiration of such thirty~day period without further notice from ASCAP _ In the
event of !:uch termination, ASCAP shall refund on a pro-ra.ta basis to LICENSEE any unearned license fees paid in ad\ra:nce.
6. Interference in OperatioDs
ASCAP shall have the right to l.enninate this license upon thirty days written notice if there is any major interfc:re:oce with, or
substantial increase in the cost of, ASCAP's operations as the result of any law in the state, territory, dependency, possession or
political subdivision in which LICENSEE is located which is applicable to the licensing of pcrforming rights. In the event of such
u:rmination, ASCAP shall refund to LICENSEE on a pro-rata basis any unearned license fees paid in advance.
7. Non-Discrimination
LICENSEE recognizes rhat ASCAl' must license all similarly situated users on a non-discriminatory basis. LICENSEE agrees
(hat any modifications to this Agreement by ASCAP. which are required by local, state Dr federal law for other
m1.lnicipalities, counties and other governmental entities shall not constiwte discrimination between sInWarly situated users.
Examples of such modificatioD5 are statements of equal employment opportunity or nondiscrimination on the basis of race,
creed, color, sex or national ortgin.
8. Notices
ASCAP or LICENSEE may give any notice required by this Agrernlc:nt by sending it by certified United States Mail, by gc:nerally
recognized same-day or overnight delivery service Of by electronic transmission (i.e.. Mailgram, facsimile OT. similBr transmission) to
me appropriate person/office as listed herein. Each party agrees to notify the ether of any change in contact infonnatioD, such as
change of address, change ofperso.olofficc :n:sponsible. etc. within 30 days of such change.

SCHEDULE B Special Events
The rate for Special Eve:nts shall be 1% of Gross RevenUe.
"Special Events" means musical events, concerts, shows, pageants, sporting eVents, festivals, competitions, and other events of limited
dw-ation presented by LICENSEE for whieh the "Gross :Revenue" of such Special Event ex.ceeds $25,000.
"Gross Revenue" means all monies received by LICENSEE or on LICENSEE'S behalf from the sale oftickcts for each Special Event. If
thcre are no monies from the sale of tickets, "Gross RevCDue" shall mean contnbutions from sponsors o.r othcrpa)'IDents .received by
LICENSEE for each Special Event.
SCHEDULE C State Munidpal and/or COUDry Leagues or State Associations of Attorneys
The annual license fee for LI~SEES who are legally organized as state municipal and/or county leagues or state associations of
municipal and/or county attorneys shall be $250.
License Fee fOT Year 2003 aDd Thereafter
For each calendar year commencing 2003, all dollar figures set forth in Scl1edules A, B IUJd C above (except the $:500 add-on for'
populations of 500,001 or more) shall be the license fee for the preceding calrmdarycar, adjusted ill accordance with the incr:ase in the
Consumer Price Index - All Urban CODSlJJ1')ers (CPI-U) between the preecdixi.g OctOber IUJd the next preceding October. Any additional
license fees due resulting from \.he CPI adjustmCDt shall be payable upon billing by ASCAP.

History: On January 18,2000, the City Council adopted Resolution
00-08 approving the preliminary plat for Deerfield. The preliminary
plat consisted of 165 acres to be developed with 78 single family lots
and 462 townhouse lots, for a total of 540 units. More recently, the
City Council adopted Resolution 00-57 and Resolution 01-53,
approving the final plats of Deer field 3rd Addition, Deerfield 4th
Addition and Deerfield 5th Addition. These final plats create lots for a
total of 179 townhouse units.
Current Circumstances: At this time, the developer is requesting
approval of a Common Interest Community (CIC) plat. The purpose
of a CIC plat is to allow the subdivision of townhouse or condominium
units into lots for each individual unit for sale to individual owners.
Essentially, the plat creates a lot around the four walls of an individual
unit. CIC plats are typically done following the actual construction of
the buildings in question. The CIC plat does not change the number of
units or the density of the development.
Until the adoption of the new Subdivision Ordinance, effective July 1,
2001, the City did not review CIC plats. These plats were simply
recorded with Scott County. However, the new Subdivision Ordinance
now requires City review and approval of these plats before they can
be recorded. This provision was included in the Subdivision
Ordinance primarily to ensure that these plats complied with all City
requirements. Because these lots were included in a previous final
plat, there is no development contract required.
Staff has reviewed the CIC plat and finds it consistent with the
approved preliminary and final plats.

3. Defer this item and provide staff with specific direction.
The staff recommends Alternative #1.

WHEREAS: the City Council has approved the Common Interest Community Number 1079
(Deerfield Condominium) Fifth Supplemental CIC Plat.
NOW, THEREFORE, BE IT HEREBY RESOLVED BY THE CITY COUNCIL OF THE CITY OF PRIOR
LAKE, MINNESOTA, that it should and hereby does require the following conditions to be met, prior to
release of, and recording of said plat:
1. Sheet Number 3 of 6 must be revised to reference the Fifth Supplemental CIC Plat.
2. The CIC plat and all pertinent documents must be filed with Scott County within 60 days from the
date of final plat approval. Failure to record the documents by February 17, 2002, will render the
final plat null and void.

CONSIDER APPROVAL OF 2002 CIGARETTE LICENSE
RENEWALS
Current Circumstances
Cigarette license renewal applications are due annually in December.
Attached to this agenda report is a list of the thirteen establishments
requesting renewal of their cigarette licenses. The annual fee for
cigarette licenses, as stated in the current fee schedule, is $250.00.
The Issues
All applicants have provided completed applications and the $250.00
license fee. The city has on file a copy of the educational materials
required by the city ordinance for each applicant. The Prior Lake
Police Department has reported no problems in 1998 or 1999 with any
of the applicants with regard to their tobacco sales. Dakota Liquors
and The Wilds Golf Club were each fined $150.00 in 1997 for selling
cigarettes to minors. Express Gas N Groceries was fined in 1997 and
. 2000 for selling cigarettes to minors. There have been no other
incidents reported.
The City Council has the following alternatives:
1. Adopt a motion as part of the consent agenda approving the
cigarette licenses for 2002.
2. Deny one or more of the license requests.
Staff recommends Council approve the 2002 cigarette license renewals
as part of the consent agenda.

Massage therapy license renewal applications are due annually in

Current Circumstances
Tammy Lynn Enfield of 10633 West 205th Street, Lakeville, MN
55044 is applying for a personal services license, as permitted in the
City of Prior Lake code, to engage in a massage therapy business. The
city code section 303.300 requires that a personal services license be
issued by the City Council in order for an individual to perform
massage therapy in the city. Ms. Enfield is planning on working as a
massage therapist at Salon Pacific located at 1575 Franklin Trail SE.
The Issues
The Prior Lake Police Department has investigated Ms. Enfield
pursuant to the information required on the application and has found
no reason to deny the application. Ms. Enfield has paid the $100.00
investigation fee and the $250.00 application fee. She has provided
the city with proof of completion of massage therapy schooling as
required by the massage therapy ordinance.
The City Council has the following alternatives:
1. Adopt a motion as part of the consent agenda approving the
massage therapy license request for Tammy Lynn Enfield.

DEADLINE FOR SUBMITTAL OF A FINAL PLAT FOR THE
MATSON ADDITION
History: On February 5, 2001, the Council approved Resolution 01-
12, approving the Preliminary plat known as Matson Addition. This
property is located on the north side of Centennial Street, west of
Candy Cove Trail and south of CSAH 13. There is an existing house
located on the easterly portion of this property. The approved
preliminary plat consists of 0.94 acres to be subdivided into 2 lots for
single family residential development. Lot 2, Block 1, is the site ofthe
existing dwelling. Lot 1, Block 1, is the proposed site of a future
dwelling.
Section 1002.206 of the Subdivision Ordinance states that the
subdivider must submit an application for a final plat within 12 months
of approval of the preliminary plat. Failure to do so renders the
approved preliminary plat void, unless a written request for an
extension has been submitted and approved by the City Council at
least 30 days prior to the expiration of the I2-month period. On
December 6, 2001, the Planning staff received a letter from the
developer, Gary Matson, requesting a 6-month extension of this
deadline to August 5, 2002. In his letter, Mr. Matson indicates the
reason for the extension is an under-estimation of the costs associated
with the process.
Current Circumstances: Mr. Matson has indicated he is in the
process of obtaining the necessary documents for a final plat
application. There has been no work done on the site since
preliminary plat approval.
The Issues: The purpose ofthe application deadline is to keep the plat
process moving forward. Limiting the time also ensures that a

WHEREAS: the Prior Lake City Council adopted Resolution #01-12 on February 5, 2001,
approving the Preliminary Plat known as Matson Addition; and
WHEREAS: Section 1002.206 (5) of the City Subdivision Ordinance requires an application
for a Final plat be submitted within 12 months of Preliminary Plan approval, in
this case by February 5, 2002; and
WHEREAS: the Developer has submitted a request to further extend the application
deadline to August 5, 2002; and
WHEREAS: the City Council finds the extension of this deadline is consistent with the
intent of the provisions of Section 1002.206 (5).
NOW, THEREFORE, BE IT HEREBY RESOLVED BY THE CITY COUNCIL OF
PRIOR LAKE, MINNESOTA, that i.t hereby approves the extension of the application deadline

This letter is in reference to a Preliminary Plat to he known as Matson Addition which
was approvcd by the Prior Lake City Council on 2/5/01. I am asking for lh~ allotted six
month extension for the approval of the Final Plat.
My reasoning for the extension is an under-estimation of all of the costs associated with
this process along with recently re-financing the property involved. T ha.ve been able to
come up with the resources needed to complete the Final Plat and am in the process of
finishing it. 1 intend to submit the application and all of the nece::;sary documents in the
next couple of weeks. My extension request may only be necessary ifmy submittal does
not mec1 iill ur the requirements and is being made only as a safeguard at this point.

History: On May 21, 2001, the City Council adopted Resolution 01-
61, which approved the vacation of the platted alley and a 20' wide
drainage and utility easement on the property located on the north side
of Dakota Avenue, the west side of Main Avenue and south of
Lakefront Park. The recording of the resolution was subject to the
following conditions:
a) An application for a lot combination is approved and recorded.
b) An application for the development of this site is submitted and
approved by the City, a development contract is in effect and a
maintenance agreement for the telephone cable on the site between
the property owner and Integra Telecom has been executed.
c) The alley and easement to be vacated shall remain in full force and
effect until this resolution is recorded.
Current Circumstances: The applicant is proposing to develop this
property as Lakefront Plaza. The purpose of the conditions was to
ensure the City would maintain the public interest in the alley until the
development occurred.
The Issues: At the time the resolution was adopted, the City expected
the development to move forward in a timelier manner. However, due
to a variety of reasons, including changes to the State Statutes, this
development has been delayed.
In order to keep this process moving, the staff is suggesting the
original resolution be amended to delete the conditions. Recording the

intervening right-of-way. The developer has recorded an easement
over the existing alley, so the public interest will remain. The City
will then be required to release this easement before any development
on the site occurs. We can apply the conditions at that time.
