the City also applied for Federal Funding through the TEA-21 program and again
was I!ot awarded funding. In all of these cases the City of Prior Lake was to fund
the majority of the $2.5 million project, with MnDOT funding the remainder.
The City of Savage would cooperate with the project, but had no part in funding
the project.
Presently, due to the proposed Ryan Companies development on the east side of
TH 13 in Savage, the situation has changed., The CityofSay-ag(;: ispow willing

and Savage will front those costs until reimbursed by MnDOT.

This project has been identified in the City CIP for a number of years and will
address a number of traffic issues for this part of the City. If the City Council
still wants to move forward with this project, then Staff recommends that the
City enter into the MOU with the City of Savage.
The City has been utilizing WSB & Associates for many years on the
preliminary engineering for the intersection design. Because of their experience
and history on this project, staff requested a proposal from them for the design
necessary for this project, a copy O{J.\:hi~, attached. Their total fee for the
design phase of the project tot<j.~$118,500:) This proposal is for the design
phase only; the construction phas~ineering of the project will be addressed
prior to actual construction. They are totally familiar with both cities and the
state requirements for a project such as proposed. Staff recommends the hiring
of WSB & Associates for this project and entering into the City's standard
professional services agreement with them. The City of Savage staff concurs
with the selection ofWSB for this project.
FISCAL IMPACT: BudJ!et Impact
The estimate for the City share of this proj ect is approximately $1.4 million. As
itemized in the CIP the funding is to come from the Collector Street fund. Small
amounts may be needed from the water, sewer, and stormwater quality funds and
will be further identified when the design is complete.
ALTERNATIVES: The alternatives are as follows:
1. A motion to approve two resolutions regarding the Boudin/Commerce/TH 13
intersection which: (1) approves the Memorandum of Understanding with the
City of Savage and authorizes the necessary signatures; and (2) authorizes
the hiring of WSB & Associates for the design engineering, and authorizes
agenda approving MOU WSB 4

RE: Memorandum of Understanding-Highway 13 Road Improvement Costs
Dear ML Osmundson:
Over the course of the past two months, the City of Savage has been working with Ryan Development
Companies to facilitate a mixed-use development project on the 60-acre parcel located at the southeast
comer of TH 13 and CR 42. The development concept plan currently contemplates the construction of a
170,000 square foot Super Target facility, a 95,000 square foot Home Depot, and approximately 30,000
square feet of associated retail pad sites. The project also includes approximately 20 acres of mid-to-high
density residential housing.
Within the last month, Ryan Development Companies has requested the City of Prior Lake and the City
of Savage to review a Request for Proposal for a traffic study, which will determine the need for certain
internal and external roadway improvements to the site. The traffic study is expected to be completed
within the next 30 days. The results of the traffic study are expected to support the need for external site
improvements, which primarily relate to the need to upgrade TH 13, from CR 42 so~th.to Boudins Street
These improvements have long been contemplated and were recently submitted by the City of Prior Lake
to Mn/DOT for funding under their Cooperative Funding Program. It is my understanding that the Prior
Lake Cooperative Funding Agreement application that was submitted to Mn/DOT identified the total cost
at $2.55 million for the improvements on TH 13, including construction, right-of-way, acquisition, and
engmeenng.
The City of Prior Lake's proposed cost share identified in the Cooperative Funding Agreement equated to
approximately $850,000. The City of Savage's share equated to approximately $700,000, and Mn/DOT
was requested to fund the remaining balance of approximately $1 million.
Discussions between the City's staff and the City of Prior Lake's engineering consultant that completed
the Cooperative Funding Agreement application have suggested that the City of Prior Lake and the City
of Savage cooperatively work together to facilitate the proposed TH 13 improvements consistent with the
preliminary plans as prepared by WSB.

On Monday, March 4,2002, the Savage City Council discussed the need for the TH 13 improvements
. regardless of Ryan Companies' currently submitted development concept plan. The City of Savage
recognizes that for Prior Lake and Savage to develop consistent with their Comprehensive Plans that these
improvements need to be completed. This being the case, the Savage City Council directed staff to
prepare a Memorandum of Understanding, by and between the City of Savage and the City of Prior Lake
that would set forth a foundation for determining each community's financial responsibility for
completing said improvements.
On Monday, April 1, 2002, the Savage City Council formally agreed to accept the terms of the
Memorandum of Understanding by and between the City of Savage and Ryan Development Companies,
which provides the project developer with the necessary information to move forward with their project.
The City of Savage has committed to take the necessary steps to complete the TH 13 and CR 42
improvements to access the development project, with completion of said improvements to be done on or
before September 1,2003. To strengthen our position with MnlDOT and to obtain their financial
participation in the project and its timely completion, the City of Savage hereby requests the City of Prior
Lake to execute the attached Memorandum of Understanding. The Memorandum of Understanding is
intended to identify each community's financial commitment to the improvements on TH 13.
I would like to propose that the City of Savage would assume the responsibility for the following items:
1. The City of Savage agrees to cover 50% of the cost of the engineering and design service costs for
the proposed improvements with the City of Prior Lake.
2. The City of Savage would be responsible for 50% of the signalization costs for the new
intersection on TH 13, to be located between Boudins Street and Commerce Avenue.
3. The City of Savage would be responsible for covering all costs relating to frontage road
improvements required by MnlDOT located within the City of Savage.
4. The City of Savage will agree to cover all costs associated with the TH 13 improvements above
and beyond those expressed herein.
The City of Savage respectfully requests that the City of Prior Lake assume responsibility for the
following items:
1. The City of Prior Lake would serve as the lead agency in completing the necessary plans,
specifications, and project administration associated with designing and constructing the project,
with a final proj ectcompletion date scheduled on or before September 1, 2003.
2. The City of Prior Lake would agree to cover 50% of the engineering, design, and project
administration costs associated with completing the proposed improvements.
3. The City of Prior Lake would be responsible for 50% of the signalization costs on the new
intersection to be located between Boundins Street and Commerce Avenue.

4. The City of Prior Lake would be responsible for covering all costs relating to frontage road
improvements required by Mn/DOT, located with the City of Prier Lake.
I believe that the cost share components as identified herein are consistent with the TH 13 Cooperative
Funding Agreement application submitted by the City of Prior Lake last fall to Mn/DOT. It is also
important to note that we strongly support ongoing negotiations with Mn/DOT to establish cooperative
funding agreements that would reduce each community's costs as outlined herein. We agree that
Mn/DOT should be responsible for their share of the improvement costs outlined in the City of Prior
Lake's Cooperative Funding Agreement application.
I would be happy to meet with the City of Prior Lake in a regular City Councilor Worksession to discuss
these matters if you feel it is appropriate. I am confident that ali of the taxing jurisdictions within Scott
County will benefit from the TH 13 improvements and the future commercial development projects.
Furthermore, the proposed improvements to TH 13 will improve accessibility and public safety along the
corridor.
Shown in Attachment No.1 is a resolution acknowledging the City of Prior Lake's and the City of
Savage's commitment to the terms and conditions set forth in this correspondence. I would respectfully
request that you review this matter with the appropriate City of Prior Lake officials so that we can begin
to collectively work to engage Mn/DOT in formal discussions that will clearly identify their financial
commitment and aid in completing the project.

MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding ("agreement") made and entered into on this 6th day of May, 2002,
by and between the City of Savage Minnesota, a public body corporate and politic organized under the
laws ~fthe State of Minnesota and the City of Prior Lake, Minnesota, a public body corporate and politic
organized under the laws of the State of Minnesota.
WITNESSETH:
WHEREAS, the City of Savage and the City of Prior Lake agree that major roadway improvements are
needed to Trunk Highway 13, between County Road 42 and Boudins Street and that as part ofthe
improvements a new signal between Commerce Avenue and Boudins Street would be constructed; and
WHEREAS, the City of Savage and the City of Prior Lake agree that the roadway improvements will
serve to enhance public safety and increase economic development opportunities in both communities;
and
WHEREAS, the City of Prior Lake submitted a Cooperative Funding Agreement application to Mn/DOT
to construct and fund said roadway improvements; and
WHEREAS, Mn/DOT denied approval of the City of Prior Lake's Cooperative Funding Agreement
submittal; and
WHEREAS, the City of Savage and the City of Prior Lake mutually agree to move forward with the
project improvements; and
WHEREAS, the City of Savage and the City ofPri.or Lake mutually agree that they shall work together to
encourage MnJDOT's financial participation in the project consistent with the funding allocation as set
forth in the City of Prior Lake's Cooperative Funding Agreement submitted.
NOW, THEREFORE, IN CONSIDERATION of the mutual promises and understandings of the parties
hereto, the parties agree as follows:
1. The City of Savage and the City of Prior Lake shall split equally the preliminary and final design
engineering, design service costs, and construction engineering costs for the proposed
improvements.
2. The City of Savage and the City of Prior Lake shall split equally the signalization cost for the new
intersection on TH 13, to be located between Boudins Street and Commerce Avenue.
3. The City of Savage shall be responsible for covering all costs relating to frontage road
improvements required by Mn/DOT, located within the City of Savage.

4. The City of Savage shall agree to cover all costs associated with the Trunk Highway 13
improvements above and beyond those expressed herein.
5. The City of Prior Lake shall serve as a lead agency in completing the necessary plans,
specifications, and project administration with designing and constructing the project, with a final
completion date scheduled on or before September 1,2003. The City of Prior Lake will invoice
the City of Savage on a monthly basis, or as invoiced by the consultant and the contractor(s).
6. The City of Prior Lake shall be responsible for the acquisition of any frontage road right-of-way
and necessary frontage road improvements located within the City of Prior Lake as required by
Mn/DOT.
8. The parties agree to proceed in good faith to complete the project pursuant to the understanding
set forth herein.

Design Proposal
Dear Mr. Osmundson:
WSB is pleased to submit this proposal for preliminary and fmal design of roadway
improvements on TH 13 from CSAH 42 to south of Boudin Street and frontage road
improvements east and west ofTH 13. The project includes widening ofTH 13 with the
addition of dual left turn lanes and median, reconstruction of the west frontage road and
construction of a new east frontage road.
As you requested. we have developed the attached scope of services and estimated cost for
preparation of the preliminary and final design improvements. The proposed scope of
services and cost estimate is based on the preliminary concept layout prepared for the
cooperative agreement funding submittal to MnlDOT.
Our project team will be lead by Mr. Chuck Rickart, P.E.. P.T.O.E.. for the preliminary
design, and Mr; Don Sterna, P.E. for the detail design aspects of the project. Both have
extensive experience in their fields of expertise. They will be supported by a group of
engineers and technicians in the preparation of the preliminary and final design plans.
WSB is available to immediately begin work on this project. It is anticipated that all work
will be completed for a 2003 construction season.

I. PRELIMINARY DESIGN SERVICES
This phase of the project will include development of a final concept layout for approval
by the Cities ofPnor Lake and Savage, Scott County. and MnlDOT. The following work
tasks are anticipated to be completed as part of this phase.
Task I - Project Management
This task consists of management and administrationl project coordination and
conununication with the Cities ofPriQ! Lake and Savage. It includes monthly meetings
with the Cities. Also included will be billing preparation, invoicing, progress reports, and
other non-technical work associated with the design surveys.
Task 2 - Design Surveys
WSB will conduct design surveys for the corridor and will prepare a Digital Terrain
Model (DTM). The City of Prior Lake and/or City of Savage, andJor Scott County and/or
MnlDOT will provide existing control and landowner information along the corridor.
Task 3 - Staff Aooroved Layout
WSB will prepare a final preliminary layout based on the proposed concept layout
previously reviewed by MnlDOT and the Cities of Prior Lake and Savage. This layout
will incorporate all required elements for MnlDOT approval.
Task 4 - Agency Coordination
WSB will coordinate preparation of the staff approved layout and SIR with the Cities of
Prior Lake and Savage, Scott County, and MnJDOT. It is anticipated that up to twelve
meetings will be held as part of this task. This will include three meetings with the City
of Savage, two meetings with Scott County, and three meetings with MnlDOT. In
addition, attendance at the city council meeting for the City of Prior Lake and two city
council meetings for the City of Savage are included,
Optional Tasks;
Task 5 - Signal Justification Reoort
WSB will prepare a Traffic Signal Justification Report (SJR) for submission to MnJDOT
with the proposed layout. Twelve-hour turning movement counts are included as part of
this task for the preparation for the SJR. WSB will prepare the SJR in accordance with
the standards set forth by MnlDOT State Aid.

Ouantitv Tabulations: Tabulations will be prepared summarizing the earthwork
volumes by station and the balance of calculations by stage. Detailed tabulations
of each item contained on the estimated quantities sheet will also be prepared.
Two independent quantity calculations on one set checked by a senior engineer
will be prepared for each item.
Soils Construction Notes and Standard Plates: Soils and construction notes
covering special requirements and critical information contained in the soils letter
will be listed. Standard plates used on this project will also be listed.
Typical Sections: Sections will be shown for existing roadways and roadways to
be constrUcted under this contract. The sections will be consistent with the
pavement design, approved geometric layout, and soils and surfacing
requirements shown in the soils letter. Surface type, base materials, and sub grade
corrections will be shown.
Miscellaneous Details; Provide horizontal geometry and details necessary for the
cons1IUction of unique or non-standard items and other items identified during the
detail design process.
Standard Plans: Insert standard plans wherever needed to eliminate or
supplement construction details in the plan as provided by Mn/DOT.
Construction Staging Plans: Detailed plans will be prepared demonstrating a
stage-by-stage process by which the new roadways can be constructed. Access to
in-place businesses is anticipated to be maintained at all times. Temporary
sedimentation basins will be shown for each stage of construction.
Traffic Control Plans and Tabulations: Detailed plans and notes will be prepared
by WSB showing the locations of signs, barriers, and striping necessary to
accommodate the construction staging within the project area or via a detour in a
manner consistent with the MMUTCD Manual, Field Manual dated January 2001
for Temporary Traffic Control Zone Layouts. and MnlDOT Metro Division
practices. A tabulation showing the description and estimated quantities of traffic
control devices by stage will also be prepared.
Ali~ent Plans and Tabulations: Prepare alignment plans showing proposed
roadway centerlines, stationing, and identifying alignment points with point
numbers and curves with curve numbers, including permanent horizontal control
points.

will include station, delta, degree of curve, radius, tangent, curve length,
superelevation rate and X and Y coordinates.
Existing Topoe:raohv. Utilitv and Removal Plans, and Tabulations: Prepare plans
showing in-place topographic features and private and public utilities, including
wells, septic tanks, drain fields~ and field tile within the project limits; proposed
centerlines and right-of-way lines; and also pavement, pipe. culvert, drainage
. structure removals, and tree clear and grub location and tabulations. The plans
will also include updated information provided by the design surveys in Task 2.
Roadway Plan Sheets: Prepare plans ofthe project providing detailed information
on the location of items such as roadways, shoulders, radii, turn lanes,
acceleration lanes, driveways, tapers, right-of-way, easements, obliterations,
station equations, fencing, etc.
Roadway Profile Sheets: Prepare profiles of the proposed mainline, cross roads
and proposed driveways or driveway connections. Infonnation shown on the
profiles will include items such as: vertical control, vertical curve data, top-of-
finished surface, top-of-grading grade, culverts, sub grade corrections, removal of
unsuitable materials and utilities (longitudinal and transverse crossings). Profiles
along gutter flow lines will also be shown.
Intersection Details: Drawings of major intersections showing all horizontal
geometry, edge of pavement profiles and details (such as radii, tapers, offsets, and
profiles) necessary for construction. Also included will be top-of-pavement
vertical elevations of intersection for construction staking.
City Utilitv Plans: Minor city utility plans will be developed including sanitary
sewer and water main services and any relocation of utility lines.
Storm Sewer Plans: Determine size of proposed drainage system components.
WSB will determine the drainage areas for each structure and size the structure
using an accepted hydrologic method.
Culvert/Storm Sewer Profiles: Show centerline profiles of proposed culverts and
storm sewers. Show the culvert or pipe size, length, grade, aprons, and
inlet/outlet elevations.
Suoerelevation Diagrams: Information will be presented in profile view labeling
pavement edges and showing the station, location, and cross slope at the
beginning, zero cross slope point, and end of the superelevation transition. The
profile will show adjacent lane elevations relative to the profile grade, transition
rates and distances from the PC or PT to critical points in the transition (e.g.
crown runoff).

In-Place Drainage Tabulations: List type, size and location of in-place drainage
structures within the project limits shown on the existing topography and utility
plans. Proposed construction impacts (remove, leave as is, etc.) will also be
tabulated.
Proposed Drainage Tabulation: List the location, type, size, length, inlet and
. outlet elevations, grade, class, alternative pipe types, erosion control. excavation,
and bedding for larger culverts.
Traffic Silm21 Desi~
One new permanent traffic control signal system at TH 13 and CommercefBoudin
Street will be designed, including an intersection layout, wiring diagram. and
applicable details. A revised signal system plan will also be included for the
intersection of TH 13 at CSAH 42 as required.
Turf Establishment Plans and Permanent Erosion/Sediment Control: Prepare
plans showing areas requiring permanent twf establishment due to construction
disturbance and the type of material to be placed (sod, seed, mulch, wood fiber
blanket, etc.). Show the type and location of permanent erosion control devices,
sedimentation basins, waters of the State within one-half mile of the project, and
wetlands identified ()n the NWI map.
Siming Plans: Prepare pennanent signing plans showing the location of proposed
signs and containing all details necessary for the fabrication and installation of the
signs in accordance with Mn/DOT specifications. Assemble plans and prepare
tabulations in accordance with the City and MnlDOT Sign Plan Standards. Field
check and record existing signs.
Strioing Plans and Pavement Marking: Prepare permanent striping plans showing
the location, type. size, and color of striping necessary for the permanent striping
of this project, including standard plans.
All sheets contained in the construction plans and cross-sections will be submitted to the
City in an EaglepointlACAD format.
Task 4 - Special Provisions
Special provisions will be written for unique items not covered adequately in the
"MnlDOT Standard Specification for Construction" or the "MnlDOT SP-5 Special
Provisions". The basis of the prepared special provisions will be the Cities' Standard
Special Provisions, which will be provided to WSB electronically in Word format. Each
provision will contain a description, materials, construction requirements, method of
measurement, and basis of payment for each item. Deletions from and additions to

standard specifications will be written and included as necessary. An electronic copy in
Word 7.0 format, or the most current version of a compatible software, and a hard copy
of the final provisions will be submitted.
Task 5 - Construction Cost Doinion
WSB will prepare a construction cost opinion based on quantities generated as part of the
preparation of the construction plans. Costs will be split by funding source (including
pro rata oflump sum items. % City of Prior Lake, % City of Savage, % County, other
percentage splits, and drainage split flow percentages). An electronic copy and a hard
copy of the final estimate will be submitted.
Task 6 - Contract Documents
WSB will prepare the bid proposal using Prior Lake's contract documents in preparation
for bidding of the proposed improvements. WSB & Associates, Inc. will develop for
Prior Lake the special provisions sections of the bid proposal associated with the bidding
documents on bond paper and/or in Word 7.0 or compatible format. A final hard copy of
the special provisions on bond paper will be provided with the fmal design plans.
Task 7 - Plan Review and Approval
WSB will submit ,and meet with the Prior Lake, Savage, Scott County, and MnlDOT to
review and receive approval of the plans and specifications outlined in the previous tasks.
Following approval of the plans, a camera-ready copy of the plans and bid proposal will
be provided to the City of Prior Lake.
WSB will submit plans and supplemental specifications for review and approval at two
stages of development:
Stage 1 Preliminary Design (50% complete); WSB will develop the plans to 50%
completion. The plans for Stage 1 will include existing topography and utility
plans, aligmnent plans, intersection layouts, drainage plans, typical cross-sections,
and preliminary utility relocations. Three (3) sets of prints will be submitted.
Stasze 2 - Final Design 000% Comolete): After receiving approval of Stage 1,
WSB will incorporate the comments and will submit one (1) complete set of
signed originals on bond paper with eight (8) copies. In addition, one (1)
complete set of design computations, basis of quantity. and quantity calculations,
and one (1) copy of the engineer's opinion of probable construction costs will be
submitted.
