1. Definitions -
"Inspection" is a visual examinatlon of a system or portion thereof to verify that it appears to be undamaged and in operational condition.
"TesY' is a procedure used to determine the status of a system as intended by conducting periodic physical checks on water-based fire protection systems such as waterflow testr, fire
Qump tests, alarm tests, and trip tests of dry pipe, preac0o�, or deluge valves. These tests follow up on the origina! acceptance tests at intervals specified 6y NfPA 25.
Maintenance" is work performed to keep fire system equipment opera6le or to make repairs.
"Owner" is the owner of the property or the occupaht, management firm, or managing indrvidual that has received authority from the owner for the inspectian, testing, and mainte-
nance of the fire protection system.
"NFPA 25' is the Standard for the Inspection, Testing� and Maintenance of Water-Based Fire Protection Systems (2002 edition) published by the National Fire Protection Association.
"Authority Having Jurisdiction" is an organizapon, office, or individual responsible for enforcin� the requirements of NFPA 25 or for approving procedures,
"Deficiency" is a condrtion where a sysiem componenY appears to be damaged, not in operadng condition, or the application is not within its designed limits or application.
"Work" is the inspections, tests, and maintenance as required by NFPA 25 and as limited by the scope of the contract.
2. Wwk
Gilbert Mechanical Contractors, Inc. shall inspett and test the fire sprinkler system for the 6uilding in accordance with these terms and conditions. The inspection and tests shall be
performed 6y yualified inspectors meeting any and all requirements of the applicable Authorities Having Jurisdiction.
The Owner shall provide access to all areas of building containing system equ�pment and components requiring inspection under the scope of this inspection. The Owner shall provide
a safe working environment and to the best of the Owner's knowledge, no unsafe materials or conditions exist. The Owner agrees to provide all MSDS sheets upon Gilbert Mechanical
Contrectors, Inc. request.
3. Scope
(a) Gilbert Mechanical Contractors, Int. shall inspect and test the fire sprinkler system(s) in accordance with the applicable requirements as contained in the 2002 edition of NFPA 25.
All applicable testr and inspections will be performed on an annual basis.
(b) The following ihspections and testr are excluded from the scope of this inspectlon and test:

4. Records
The Owner shall provide access io original system commissioning documentr including maintenance manuals, material test certificates, certified fire pump curves and as-huiit draw-
ings. The Owner further agrees to prowde any and all copies of inspections and testr perFormed on the fire sprinkler rystem post cammissioning within the guidelmes of NFPA 25. If
these documents and records are not available, the Owner shall hold Gilbert Mechamcal Contractors, Inc. harmless for all exclusions, omissions, and damage to the sys[em that may
result from the lack of information contained within such documents.
The Owner acknowledges that these inspections and tesks are not intended to reveal design or installadon deficiencies. The inspections and tests are to verify that the system appears
to be in operating condition and system componen[s appear to be undamaged.
5. Corrective Action
The Owner is solely responsible for the correction action required to correcf deficiencies identified by the inspections and testr performed under the scope of this inspection. The
Owner further acknowledges that the inspection and tests are limited to the condition of the system found at the 4me of the work and Gilbert Mechanical Contractors, Inc. is not
responsibie for the condihon of the system at any time su6sequent to the date of the work.
In addit�on, certain commentr and recommendations made as a result of the inspections and tests may transcend the scope of NFPA 25. Such ohservations are made without knowl-
edge of when the potential deviation occurred and what codes, standards, or jurisdictional amendmentr or vanances were m affect at f�'me of said deviation. Such exceptions are only
a record of observations of potential deviaHons from current codes and standards and are in no way an implication that any other rystem componentr or areas of coverage are in or
out of compliance.
6. Price and Payment Terms and Conditions
The Owner shall pay the fees identified in this agreement. Payment is due thirty (30) days from the date of the invoice, Inspections may be subject to inflationary cost increases.
This agreement shall remai� in effect for a period of (1) year and shall auYOmatically continue from year to year thereafter unless thirty (30) days prior to the termination of any yearly
period, either party gives written notice to other party of its inten[ to terminate or renegotiate the terms and conditions set forth herein.
7. liability Re�ease and Indemnity
The Owner hereby reieases Gil6ert Mechanical Contractors, Inc. and its affiiiates, and [heir directors, officers, empioyees and a ents from all ciaims, liabilities and damages which
arise or result directly or indirectly, from tRe Owner's negligence, error or omission and the Owner agrees To defend, indemni� and hold harmless Giibert Mechanical Contractors,
Inc. and its af�iliates, and their directors, officers, employees and agents, from and against any and all claims, losses or damages to persons or property resulting indiredly or directly
fram the Owner's conduct or omission.
8. Limitation of Ltab(lity
The Owner agrees thatGilbert Mechanical Conttactors, Inc.'s lia6ility for any claims, losses or damages resulting directly or indirectly from Gil6ert Mechanical Contractors, Inc:s per-
formance of this agreement, including any negligence, error or omiss�on on the part of Gilbert Mechanical Contradors, Inc., shall be limited to the amount of fees received by Gilbert
Mechanical Cont2ctors, Inc. under this agreement.
9. Waivers
No waiver of a�y provision of this Agreement shall be effective except pursuant to a written instrument tigned by the party waiving compliance, and any such waiver shall be effective
onty in the specrfic instance and for the specific purpose stated in such writing.
10. Subrogation
The Owner hereby releases distharges and agrees to hold Gilbert Mechanical Contrectors, Inc. and its affiliates harmless from any and all claims liabilities, damages, losses or expenses
arising from oi caused by any hazard covered 6y insurance resuldng from or related to this inspection, whether said claim is made by Gilbert Mechanical Contractors, Inc., his agent or
insurance company or by any other parties claiminp under or through the Owner. The Owner agrees to indemnify Gilbert Mechartical Contractors, Inc. against, defend and hold Gilbert
Mechanical Cont2ctors, Inc. harmless from any claims for subrogation which may be brought against Gilbert Mechanical Contractors, Inc. by any insurer or msurance company or its
age�ts or assigns, including payment of all damages, expenses, costs and attorneys fees.
