Definitions "Inspection" is a visual examinatlon of a system or portion thereuf to verify that it appears to 6e undamaged and in operational condition. "Test" is a procedure used to determine the sWtus of a sys[em as intended by conducdng periodic physical checks on water-based fire protection systems such as waterflow tests, fire pump tests, alarm tests, and trip testr of dry pipe, preac�on, or deluge valves. These tests follow up on the original acceptance tests at intervals specified by NFPA 25. Maintenance" is work performed to keep fire system equipme�t operable or to make iepairs. "Owner" is the owner of [he property or the occupant, management firm, or managing indrvidual that has received authority from the owner for the inspection, testing, and mainte- nance of the fire protection system. ' NFPA 25" is the Standard for the Inspection, TesNng� and Maintenance of Water-Based Fire Protection Systems (2002 editlon) published by the National Fire Protection Association. "Authority Having Jurisdiction" is an organizadon, office, or individual responsible for enforcing the requirements of NFPA 25 or for approving procedures. "Deficiency" is a tondition where a system component appears to be damaged , not in operat�ng condiNon, or the application is not within its designed limits or application. "Work" is the inspections, tests, and maintenance as required by NFPA 25 and as fimited by the scope of the contract. 2. Work Gilbert Mechanical Contractors, Inc. shall inspect and test the fire sprinkler system for the building in accordance with these terms and conditions. The inspection and tests shall be performed by qualified inspectors meeting any and all requirements of the applicable Authorities Having Jurisdiction. The Owner shall provide access to all areas of building containing system eqwpment and components requiring inspection under the scope of this inspection. The Owner shall provide a safe working environment and to the best of the Owner's knowledge, no unsafe materials or condit�ons exist. The Owner agrees to provide all MSDS sheets upon Gilbert Mechanical Contractors, Inc. request. 3. Scope (a1 Gilhert Mechanical Contractors, Inc. shall inspect and tes[ the fire sprinkler system(s� in accordance with the applicable requirements as contained in the 2002 edidon of NFPA 25. All applicable tests and inspections wil� be performed on an annual hasis. (b) The following inspections and tests are excluded from the scope of this inspectlon and test: (i) Inspections: (ii) 7ests: Periodic (5 Year Inspections Periodic (S Year) Tests Fire sprin�lers, pipe, fittings, hanger, and b2cing in concealed spaces Sample testing for aged fire sprinklers such as above suspended ceilings Backflow device performance tes[(s) except for forward flow test Roadway valves (iii) Maintenance Buried check valves Corrective or preventative actlons including repairs, adjustments, or modifications to Syrtem check and alarm valves (internal) correct deficiencies unless specifically included in the scope of contract. Building areas for adequate heat 4. Records The Owner shall Provide access to original system commissioning documents including maintenance manuals, material test certificates, certified fire pump curves, and as-built draw- ings. The Owner further agrees to prowde any and all copies of inspectlons and tests performed on the fire sprinkler system post commissioning within the gwdelines of NFPA 25. If these documen[s and records are no[ available, the Owner shall hold Gilbert Mechanical [ontractors, inc. harmless for all exclusions, omissions, and damage to the system that may resuit from the lack of information contained within such documents. The Owner acknowledges that these inspections and tests are not intended [o reveal design or installation deficiencies. The inspections and tests are to verify that the system appears to 6e in operating cond'iHon and system components appear ta he undamaged. 5. Carrettive Action The Owner is solely responsible for the correction action required to correct deficiencies identified by the inspections and tests performed under the scope of this inspection. The Owner further acknowled�es that the inspection and tests are limited to the condition of the system found at the time of the work and Gilbert Mechanical Contractors, Inc. is not responsible for the condit�on of the system at any time subsequent to the date of the work. In addidon, certain comments and recommendatlons made as a result of the inspecHons and tests may trenscend the scope of NFPA 25. Such observations are made without knowl- edge of when the potential deviation occurred and what codes, standards, or jurisdicttonal amendments or variances were m affed at time of said deviatlon. Such exceptions are only a record of obsenrations of potentlal deviations from current codes and standards and are in no way an implication that any other rystem components or areas of coverage are in or out of compliance. 6. Price and Payment Terms and Conditions The Owner shall pay the fees identified in this agreement. Payment is due thirty (30) days from the date of the invoice. Inspections may be subject to inflationary cost increases. This agreement shali remain in effec[ for a period of (1) year and shall automatically continue from year to year thereafter unless thirty (30) days prior to the termination of any yearly period, either party gives written notice to other party of its intent to terminate or renegotiate the terms and conditions set forth herem. 7. Liability Release and Indemnity The Owner hereby releases Gilbert Mechanical Contractors, Inc, and its affiliates, and their directors, officers, employees and a�ents, from all claims, liabilities and damages which arise or result directly or indirectly, from the Owner's negligence, error or omission and the Owner agrees to defend indemni and hold harmless Gilbert Mechanical Contractors, Inc. and its aff liates, and their directors, officers, employees and agents, from and against a�y and al� claims, losses or damages to persons or property resulting indirectly or directly from the Owner's conduct or omission. 8. Limitation of Liability The Owner agrees that Gilbert Mechanical Contractors, Inc.'s liability for any claims, losses or damages resulting directly or indirectly from Gilbert Mechanical Contractors, Inc.'s per- formance of this agreement, includin� any negligence, error or omission on the part of Gilbert Mechanical Controctors, Inc., shall be limited to the amount of fees received by Gilbert iviechanical Contradors, inc. under inis agreemen4. 9. Waivers No waiver of any provision of this Agreement shall be effective except pursuant to a written instrument signed by the party waiving compliance, and any such waiver shall be effecdve � only in the specific instance and for the specific purpose statedin such writing. 10. Subrogation The Owner hereby releases discharges and agrees to hold Gilbert Mechanical Conttactors, Inc. aad its affiliates harmfess from any and all daims liabititles, damages, tosses or expenses arising from or caused by any hazard covered by insurance resultlng from or related to this inspection, whether said claim is made by Gilbert Mechanical Contrectors, Inc., his agent or insurance company or by any other parties claimin& under or through the Owner. The Owner agrees to indemnify Gilbert Mechanical Contractors, Inc. against, defend and hold Gilbert Mechanical Contractors Inc. harmless from any claims for su6rogation which may be brought against Gilbert Mechanical Contractors, Inc. by any insurer or insurance company or its age�ts or assigns, inclu�ing payment of all damages, expenses, costs and attorneys fees.
