DeRnitlons Inspectlon" is a visual examfnatlon of a system or portion thereof to verify that it appears to be undamaged and in opereponal conditlon. "Test" is a procedure used to determine the status af a system as intended by conducting periodic physical checks on water-based Hre protectlon sysiems such as waterilow tests, fire �ump tests, alarm tests, and trip tests of drY pipe, preachon, or deluge valves. These tests follow up on the original acceptance tests at intervals specified by NFPA 25. Maintenance" is work performed to keep fire system equipment operable or to make repairs. "Owner" is the owner of the property or the occupant, management �irm, or managing individual that has received authority from the owner for the inspectlan, tesNng, and mainte- nance of the fire protectlon system. NfPA 25" is the Standard for the InspecHon, TesHng� and Maintenance of Water-Based Fire Protection Systems (2002 editlon) published by the NaHonal Fire Protection Associatlon. "Authority Having Jurisdiction" is an organizadon, otfice, or individual responsible for enforcin� the requfrements of NFPA 25 or for approving procedures. "Deficiency" Is a condition where a system component appears to be damaged , not in operat�ng condiHon, or the applicatlon Is not within its designed limits or applicaHon. "WOrk" is the inspections, tests, and maintenance as required by NFPA 25 and as limited by the scope of the contract. 2. Work Gilbert Mechaniwl Contrectors, Inc. shall inspect and test the flre sprinkler system for the building in accordance with these terms and condiHons. 7he inspectlon and tests shall be perFormed by qualified inspectors meeting any and all requirements of the applicable Authorities Having Jurisdittion. The Owner shall provide access to all areas of building containing system equlpment a�d components requir'ing inspectlon under the scope of this inspectlon. 7he Owner shall provide a safe working environment and to the best of the Owner's knowledge, no unsafe materials or conditions exist. The Owner agrees to provide all MSDS sheets upon Gilbert Mechanical Contractors, Inc. request. 3. Scope (a Gilbert Mechanical Contrectors, Inc, shall inspect and test the fire sprinkler system�s) in accordance with the applicable requirements as contained in the 2002 editlon of NFPA 25. AI� applicable tests and inspecdons will be performed on an annual basis. (b) The following inspecHans and tests are excluded from the scope of thts inspection and test: (i) Ins (I�) 7ests: Periodic (5 Year InspecHons Periodic (5 Year) Testr Fire sprin�lers, pipe, fittings, hanger, and bracing in concealed spaces Sample testlng for aged fire sprinklers such as above suspended ceilings Backflow device performance test(s) except for forward flow test Roadway valves (iii) Maintenance Buried check valves Corrective or preventative actions including repairs adjustments, o� modiflcatlons to System check and alarm valves (internal) corrett def(ciencies unless speciflcally Included in t�ie scope of contract. Building areas for adequate heat 4. Rewrds The Owner shall provide access to original system commissioning documents including maintenance manuals, material test cerHficates, certified flre pump curves and as-built draw- ings. The Owner further agrees to provide any and all copies of inspections and tests performed on the fire sprinkler system post commissioning w{thin the guidelfnes of NFPA 25. If these documents and records are not available, the Owner shall hold Gilbert Mechamcal Contractors, Inc. harmless for all exclusions, omissions, and damage to the system that may result from the lack of information contained within such documenu. The Owner atknowledges that these inspections and tests are not intended to reveat design or installallon deficiencies. The inspectlons and tests are to verify that the system appears to be in operaHng condiHon and system components appear to be undamaged. 5. Correclive AcHon The Owner is solefy responsible for the correctlon action required to correct deficiencies identified by the inspectlons and tests performed under the scope of this i�spection. The Owner further acknowledges that the inspectlon and tesu are Iimited to the conditlon of the system found at the dme of the work and Gilbert Mechanical Contractors, Inc. is not responsible for the condit�on of the system at any time subsequent to the date of the work. In addition, certain comments and recommendations made as a result of the inspections and tests may transcend the scope of NFPA 25. Such observatlons are made without knowl- edge of when the potendal deviaHon occurred and what codes, standards, or jurisdicHOnal amendments or variances were in affect at tlme of said deviation. Such exceptions are only a record of observattons of potentlal deviatlons from current codes and standards and are in no way an implication that any other system components or areas of coverage are in or out of compliance. 6. Price and Payment Terms and Conditlons The Owner shall paV the fees identlHed in this agreement. Payment is due thirty (30) days from the date of the invoice. Inspections may be sub)ect to inflaHonary cost increases. This agreement shall remain in effect for a period of (1) year and shall automatically contlnue fram year to year thereafter unless thirty {30► days prior to the terminatlon of any yearly period, either party gIves written notice to other party of its intent to terminate or renegotlate the terms and conditlons set forth hereln. 7. Liability Release and Indemnitv The Owner hereby releases Gil6ert Mechanical Contractors, Inc. and its affilfates, and their directors, officers, employees and a�ents trom all clalms, IlabiliHes and damages which arise or result directly or Indirectly, from the Owner's negllgence, error or omission and the Owner agrees to defend indemni and hold harmless Gllbert Mechanical Contractors Inc. and its affiliates, and their directors, oNicers, employees and agents, from and agalnst any and all tlaims, losses or damages to perso�s or property resulting indirectly or direct5y from the Owner's conduct or omission. S. limitatlon of Liability The Owner a�rees that Glibert Mechanical Contrectors, Inc's Ilability for any clafms, losses or damages resulHng directly or indirxtly from Gllbert Mechanical Contractors, Inc.'s per- formance of this agreement, fncluding any negligence, error or omission on the part of Gilbert Mechanical Contractors, Inc., shall be (imited to the amount of fees received by Gilbert Mechanical Contractors, Inc. under this agreement. 9. Walvers No waiver of any provisfon of this Agreement shall be effective except pursuant to a written instrument signed by the party waiving compliance, and any such waiver shail be effecHve only in the specific instance and for the specific purpose stated in such writing. 30. Subrogatlon The Owner hereby releases discharges and agrees to hold Gilbert Mechanical Contractors, Inc. and its aHiliates harmless from any and all claims liabflities, damages, losses or expenses arising from or caused by any hazard covered by insurance resultlng from or related to this inspection, whether said claim is made bY Gilbert Mechankal Contractors, Inc., his agent or insurence company or by any other parties clafmSng under or through the Owner. The Owner agrees to indemniiy Gitbert Mechanical Contractors Inc. against, defend and hold Gilbert Mechanical Contractors Inc, harmless from any clalms for subrogahon which may be brought against Gilbert Mechanical Contractors, Inc. by anyjnsurer or insurance company or its agents or assigns, including payment of all damages, expenses, costs and artorneys fees.
