MT�1 55372 'Mivivsso'��' ECONOMIC DEVELOPMENT AUTHORITY AGENDA REPORT MEETING DATE: January 22, 2013 AGENDA #: 4B PREPARED BY: Dan Rogness, Community & Economic Development Director AGENDA ITEM: ELECTION OF OFFICERS FOR 2013 DISCUSSION: Introduction Article 5 of the EDA Bylaws state that the o�cers of the EDA shall be elected at the first meeting of the year. Officers include President, Vice-President, Treas- urer, Secretary, and Assistant Treasurer. The EDA's first meeting of the year is on January 22, 2013. Hi StOry The 2012 elected EDA officers included: (1) Ken Hedberg as President; (2) Bob Morris as Vice-President; (3) Jerilyn Erickson as Treasurer; (4) Frank Boyles as Secretary; and (5) no designation for the Assistant Treasurer. Current Circumstances On January 7, 2013, the City Council appointed Mayor Ken Hedberg to �II one of two council positions on the EDA. The other position will be filled by the council once they have appointed the fifth person to fill the vacancy on the City Council. That appointment will occur on January 28 followed by the swearing in of that person on February 11. Conclusion The EDA has three options to consider: (1) elect officers from the four EDA members at its first meeting of the year on January 22, or (2) elect officers from the five EDA members at its second meeting of the year on February 19, or (3) re-elect Mayor Hedberg as President for 2013, Frank Boyles as Secretary and Jerilyn Erickson as Treasurer, but take no action on the Vice-President postion until the second city council position on the EDA has been filled.. ISSUES: The EDA must decide whether or not to wait for 2013 officer elections once a full 5-member EDA is appointed by the City Council. If the second meeting is cho- sen in order to have all five EDA members present, then the meeting minutes will reflect that the 2012 officers will continue to be in place until that time. The problem with the last option is that there is no opportunity for the second coun- cilmember designated to the EDA to be president. In light of that fact the staff would suggest that the matter be tabled to the February meeting. FINANCIAL None IMPACT: ALTERNATIVES: 1. Elect all 2013 officers on January 22. 2. Table the election until February 19 with 2012 officers continuing until then. 3. Make all appointments as outlined above, but defer appointment of the vice-president until the second city council representative to the EDA is designated. RECOMMENDED Staff supports Alternative #2.
