The purpose of the hearing and the proposed resolutions is
to expand and modify municipal development and Tax
Increment Financing districts in the City in the
anticipation of redevelopment activity.
The City Council at its September 3, 1996 meeting,
approved Resolution 96-95 calling for the Public Hearing
and the consideration of the proposed modification to our
Development districts and tax increment financing
districts. Accordingly a public notice was placed in the
official newspaper. The Council acted in response to a
recommendation from the City's Economic Development
Authority. The districts are adjacent to Highway 13 and
the actions reflect a culmination of planning efforts for the
past several months that have focused on the desirability of
stimulating redevelopment of certain blighted properties
and the funding of certain public infrastructure
improvements.
The City's Economic Development Consultant, Roger
Guenette explained to the Economic Development
Authority and to the City Council the legal and financial
aspects of the proposed action on September 3. The
attached booklets, prepared by Mr. Guenette, also explain
in detail the nature of the modifications.
DISCUSSION: The proposals have been reviewed with both the school
district and County officials. The school district's written
comments are attached. A meeting with the County also

include the proposed realignment of TH 13 and Five Hawks
Avenue intersection. The right of way associated with the
project would be included in District 2-4; certain additional
property, namely the triangular property where the current
auto parts store is located, would be included in the
expanded boundaries of Districts 1 and 2. The attached
September 25, 1996 memorandum from Roger Guenette
further explains that and includes a map.
The Planning Commission unanimously adopted Resolution
96-33 PC on September 23, 1996; it makes the finding that
the plan for modification of these districts conforms to City
plans for development of the locality as a whole.
The adoption of the proposed resolutions is necessary to
put in place the required tools that can eventually be used
by the City in dealing with property owners and developers
as plans for redevelopment are crafted and proposed.
These resolutions do not constitute financial obligations by
the City at this time. Any financial participation by the
City for this project or for multiple projects in this area in
the future would be brought to the City Council for
consideration.
The modification of the districts as contemplated provide
the City with greater flexibility in the use of tax increments
to support redevelopment of the various downtown areas.
The Council should determine whether the Park Nicollet
clinic site should be included in the district so that the
increment is available. The original budget for the district
was established at $2.8 million to provide for public
infrastructure and other actions prerequisite to the
redevelopment effort.
The recommendation by the County to include the TH
13/Five Hawks intersection increased the project budget to
$3.5 million to provide financial assistance to this
significant road improvement, which is part of the overall
ring road concept which the City has been seeking to
implement for years.
The County has already determined that this action is
within their policy guidelines. Superintendent Sonnebend
has also reviewed the proposed modifications. He is in
favor of including the TH 13 / Five Hawks intersection in
the District.
The Council has the following alternatives:

following the public hearing as is or as amended
2. Defer action on adopting the resolutions with direction
for further information following the public hearing.
3. Do not adopt the resolutions following the public
hearing.
RECOMMENDATION: Alternative 1.
ACTION REQUIRED: Conduct the scheduled public hearing and make two
motions for adoption of the two resolutions needed to

it is desirable and in the public interest that the City of Prior Lake
(hereinafter the City) undertake and carry out a development
program, pursuant to Sections 469.124 to 469.134 of Minnesota
Statutes, encompassing the area which is more particularly
described on Exhibit A attached hereto and made a part hereof,
(which area is herein called Development Districts Nos. 1 and 2
Modification of the Development District), and
the City Council has reviewed "Development Districts Nos. 1 and
2 Modification, dated October 7, 1996" (herein called the Plan
Booklet), which sets forth a development program for the
Development District; and
the Board of Commissioners of Scott County, Minnesota, has been
notified of the public hearing for the review of the Plan Booklet;
and
the School Board of Independent School District No. 719 has been
notified of the public hearing for the review of the Plan Booklet;
and
the City's Planning Commission has been consulted with
concerning the modification of the Development District; and
the City Council has received and considered the comments of the
Board of Commissioners of Scott County, the School Board of the
Independent School District No. 719, and the City's Planning
Commission respecting the contents of the Plan Booklet; and
the City Council on October 7, 1996, after having published a
notice of public hearing in the official newspaper of the City,
conducted a public hearing on the Plan Booklet and received
public comments on the same;

NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Prior
Lake, Minnesota, as follows:
1. It is hereby found that there is a need for the Project activities In
Development Districts Nos. 1 and 2 Modification.
2. It is hereby found that Development Districts Nos. 1 and 2 Modification is an
area "already built up" within the meaning of Section 469.124 of Minnesota
Statutes for the following reasons:
a) The vicinity of the Development District is urban. Existing land uses
in the vicinity include commercial, residential and industrial
properties. Zoning in the vicinity corresponds to the land use pattern.
b) City sanitary sewer, storm sewer and water lines are in the vicinity.
c) The Development District abuts County Road 21, Highway 13 and
Main street.. County Road 21 is proposed to be a major arterial
linking Prior Lake to Interstate 35, Highway 13 and Main Street run
perpendicular to County Road 21.
d) The City's comprehensive plan has designated the Development
District as a commercial/office/industrial area.
3. It is hereby found that the development program set forth in the Plan
Booklet will carry out the objectives of Development Districts Nos. 1 and 2
Modification by assisting the development of an industrial park and
redevelopment of commercial areas thus preventing/eliminating blight,
creating employment opportunities, enhancing the tax base and improving
the general economy of the area.
4. That the development program as set forth in the Plan Booklet, having been
duly reviewed and considered, is hereby approved, and the area described in
Exhibit A hereto is designated as a development district pursuant to Section
469.126, Subdivision 1, of Minnesota Statutes.
5. That the City council designates the City Manager to act as administrator of
the Development District..
6. That the City Council, acting pursuant to Section 469.132 of Minnesota
Statutes, declines to appoint an advisory board for the Development District.

7. That the City states the environmental controls to be applied in connection
with the execution of the development program shall consist of the applicable
ordinances of this City, and the applicable provisions of Minnesota Statutes.
8. That the City will provide for the relocation of all persons who would be
displaced by the proposed Development District prior to displacement unless
they desire otherwise.
9. That the City Clerk is hereby directed to file a copy of this resolution sand a
copy of the Plan Booklet with the Minnesota Department of Revenue.

APPROVING TAX INCREMENT FINANCING DISTRICTS NOS. 1-1, 1-2 AND 2-4
MODIFICATION AND THE USE OF TAX INCREMENT FINANCING

WHEREAS, the City Council of the City of Prior Lake, Minnesota (the "City"), has
previously approved Development Districts Nos. 1 and 2 modification
(the "Development District") and in connection therewith adopted a
development program; and
WHEREAS, it is desirable and in the public interest that the City undertake and
carry out a tax increment finance plan for Tax Increment Financing
Districts Nos. 1-1, 1-2 and 2-4 pursuant to Chapter 469 of Minnesota
Statues, encompassing the area which is more particularly described on
Exhibit A attached hereto and made a part hereof, (which area is herein
called the "District"); and
WHEREAS, the City Council has reviewed "Tax Increment Financing Districts Nos.
1-1, 1-2 and 2-4 Modification, dated October 7, 1996" (the "Plan
Booklet"), which sets forth a tax increment financing plan for the
District; and
WHEREAS, the Plan Booklet sets forth the City's estimate of the fiscal and
economic impact of the District on the tax capacities of all taxing
jurisdictions in which the District is located; and
WHEREAS, the Board of Commissioners of Scott County, Minnesota, has been
notified of the public hearing for the review of the Plan Booklet; and
WHEREAS, the School Board of Independent School District No. 719 has been
notified of the public hearing for the review of the Plan Booklet; and
WHEREAS, the City has received and considered the comments of the Board of
Commissioners of Scott County and the School Board of the
Independent School District No. 719 respecting the contents of the Plan
Booklet; and

WHEREAS,
the City on October 7, 1996, after having published a notice of public
hearing in the official newspaper of the City, conducted a public
hearing on the plan Booklet and received public comments on the same.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Prior Lake,
Minnesota as follows:
1. The City fmds and determines that there is a need for the activities of Development
Districts Nos. 1 and 2 to be financed in part by the tax increments from the District.
2. The City finds and determines that the activities to be financed by the tax increments
from the District will carry out the objectives of Development Districts Nos. 1 and 2 by
encouraging redevelopment, providing job opportunities and enhancing the tax base.
3. The City finds and determines that the prevention/elimination of blight, provision for
job opportunities and the preservation and enhancement of the tax base are in the public
interest of the City and the expenditures of the District are a public purpose.
4. The City finds and determines that the tax increment financing plan as set forth in the
Plan Booklet having been duly reviewed and considered is hereby approved and adopted,
and the area described in Exhibit A hereto is hereby designated as a Redevelopment
District pursuant to Minnesota Statutes, Sections 469.174, Subd. 10.
5. The City finds and determines that the expansion of District No. 2-4 qualifies as a
Redevelopment District because it will result in redevelopment of thirteen parcels of land,
100% of which are occupied by buildings, streets, utilities or other improvements and four
of the seven buildings (57%) are structurally substandard to a degree requiring substantial
renovation or clearance. These conditions are found to exist at all non-contiguous sites as
required under Minnesota Statutes, section 469.174 Subd. 10(b) 4(d).
6. The City finds and determines that the proposed development, in the opinion of the
City, would not reasonably be expected to occur solely through private investment within
the reasonably foreseeable future and therefore the use of tax increment financing is
deemed necessary.
7. The City finds and determines that the Market Value increase estimated for the
proposed Project is greater than what could reasonably be expected to occur if tax
increment financing was not available.
8. The City fmds and determines that the tax increment financing plan will afford
maximum opportunity, consistent with the sound needs of the City as a whole, for the
development of the District by private enterprise.

9. The City finds and determines that the tax increment financing plan set forth in the
Plan Booklet conforms to the general plan for the development of the City as a whole.
10. The reasons and supporting facts for findings 5, 6, 7, 8 and 9 as set forth on pages 6
and 7 of the Plan Booklet are by this reference confirmed, approved and adopted.
11. The City elects to retain tax increment revenues generated in District No. 2-4 pursuant
to clause (a) of Minnesota Statues, Section 469.177 Subdivision 3, Paragraphs 1 and 2. By
making this election tax increment revenues generated within District No. 2-4 will not be
made available for calculation or sharing with the fiscal disparity provisions of Chapter
473 F.
12. The City Clerk shall request the auditor of Scott County to certify the original tax
capacity and original local tax rate of the District approved by this resolution.
13. The City elects to make a "qualified local contribution" equal to 5% of the tax
increment generated in District No. 2-4 pursuant to Minnesota Laws 1996, Chapter 471,
Article 7.
14. The City Clerk is hereby directed to file a copy of this resolution with a copy of the
Plan Booklet to the Minnesota Department of Revenue.
15. The City hereby states its intention to use all of the captured tax capacity for purposes
of tax increment financing as per the conditions set forth in the Plan Booklet.

County Staff Comments Regarding Proposed Modification of TIF Districts Nos. 1-1, 1-2
and 2-4 in Prior Lake
As you are aware, the City of Prior Lake will conduct a public hearing on October 7. 1996, to consider
expansion and modification of Municipal Development Districts Nos. 1 and 2 and TIF Districts Nos. 1-1,
1-2 and 24. In reviewing the proposed actions with Scott County staff it was recommended that the
City also include the proposed realignment of T.H. 13 and Five Hawks Avenue intersection. The
realignment of this intersection would facilitate improved traffic flow to the Priordalc Mall area and
adjacent residential areas.
In response to this recommendation by the County staff, the City staff will recommend that the City
Council of Prior Lake will consider inclusion of the right-of..ways associated with the proposed
improvement as part of the expansion of TIP District No. 2-4; also, the triangular property where NAPA
Auto Parts is currently situated will be considered for inclusion in the expanded boundaries of Municipal
Development Districts Nos. 1 and 2. The right-of..ways and NAPA Auto Parts property are identified on
the enclosed map. The reason for these proposed actions is to enable the potential use of tax increment
revenues to fund a portion of the public costs associated with the T.H. 13IFive Hawks Avenue
realignment which will enhance public safety and accomplish a high priority traffic improvement for the
School District, County and City.
If the City Council approves these additions to the Development Districts Nos. 1 and 2 and TIF District
No. 2-4 at the October 7, 1996? public hearing. the budget for the proposed tax increment program will
i'be increased from S2t8S0.000 (as identified in the tax increment plan originally submitted for review) to
53.500.000. The increase in the budget reflects estimated costs that would otherwise be borne by the
City, County and School District. Of oourse the ability to absorb these costs via the use of tax increment
revenues is contingent upon the generation of increased taX base within the tax increment districts. If
these ehan&es are ac::cepted by the City Council at the October 7, 1996, public hearing, a "final copy" of
the tax increment documents will be prepared and delivered for use as a permanent record.

RECO:MMEND THAT THE CITY COUNCIL SCHEDULE A PUBLIC
HEARING TO CONSIDER MODIFICATION OF EXISTING TAX
INCREMENT FINANCING DISTRICT ON OCTOBER 7, 1996
SUBJECT TO RULES AND REGULATIONS OF STATE STATUTE
AND THE WAIVER BY THE COUNTY AND SCHOOL DISTRICT
FOR TAX INCREMENT DISTRICT APPROVAL.
Upon a vote, ayes Andren, Greenfield, Kedrowski, Mader and Schenck,
motion carried.
V. New Business:
A. Mid- Year EDA Status Report
. President Mader said the EDA is not operating in accordance with the
bylaws. He questioned whether the EDA has any authority or served a
purpose that the City Council did not serve. He questioned whether the
City should have an EDA.
. Commissioner Kedrowski said it is not within the authority of the EDA
Commissioners to discontinue the body.
. Commissioner Andren recalled the history of the EDA and its purpose. It
originally was promoted by businessmen in the community because of a
lack of business opportunity and lack of business within Prior Lake. They
became an organization that has put the plans for the Business Park
together. The reason was diversification of tax base and business
development were high priority. The EDC evolved into the Business
Development Committee (BDC) after they had put together the business
office park. The BDC felt after those many years they had fulfilled their
mission, but one thing City Council told them is that the City would
maintain a committee with additional power over and above the BDC so
this momentum and priority could continue. The BDC disbanded with
the understanding that the EDA would be revitalized. The EDA is not
here for short term, and it has tremendous powers. Someday it will not be
just members of the City Council who constitute this committee. Down
the road, the EDA will be composed of businesspeople as well.
Commissioner Andren said she would oppose abolishing the EDA. There
are members of the business community that belong on the EDA even
more than some of the Councilmembers because of their business
acumen. The City has started to diversify, and encourage business
development, but the objective has not yet been acheived. The City
should have tools to use like EDA.

INTRODUCTION: The City Economic Development Authority has set a public hearing
for October 7, 1996 to consider modifications of Development Districts 1 and 2. The
details of these modifications are spelled out in the attached report. Minnesota Statutes
449.126, Subd. 1 requires that the Planning Commission make a finding that the proposed
expansion is in conformance with the" general plan" of the City. The general plan for
these purposes is the Comprehensive Plan 2010.
DISCUSSION: The issue is whether the proposed modifications of the two development
districts is in conformance with the Comprehensive Plan. Both areas are commercial and
industrial in nature and are designated for such use on the Land Use Plan element of the
Comprehensive Plan. In addition, staff believes the modifications are consistent with the
following policies:
. Encourage a mixture and diversity of industrial and commercial land uses that will
remain relatively stable under changing economic conditions.
. Establish and maintain an economic development and redevelopment program
through support of the Economic development Authority and its goals.
. Encourage and provide for the revitalization of the City through the development or

WHEREAS, the plan for Development Districts Numbers i and 2 Modification (the
"Plan") has been submitted to the City Planning Commission pursuant to
Minnesota Statues, Section 449.126, Subd. 1; and ,
WHEREAS, the Prior Lake Planning Commission has reviewed the Plan to determine
conformity of the Plan to the general plan for the development or
redevelopment of the municipality as a whole (the Comprehensive Plan
2010).
NOW THEREFORE, BE IT RESOLVED BY THE PLANNING COMMISSION
OF THE CITY OF PRIOR LAKE, MINNESOTA the plan for Development of the

Dear Mr. Boyles:
This letter is in relation to the proposed modification of municipal development districts
numbers 1 and 2 and tax increment financing districts numbers 1-1, 1-2 and 2-4.
While the school district is generally opposed to increasing the size of TIF districts, we
recognize the need to attract and retain businesses in our community to build our tax
base for the future.
In addition, the upgrading of certain properties to make them more viable would also be
very advantageous.
Perhaps the most supportable reason from the school district's standpoint, would be to
encourage the city council to use TIF district funds in the redevelopment of Trunk
Highway 13 and Five Hawks Avenue. This really does have a benefit for our school
district. We would be very supportive of that particular aspect in all of the above plans.
We appreciate the ability to comment on these proposals.

RESOLUTION PERTAINING TO THE SUBDIVISION OF LANDS, CITY COUNCIL
APPROVAL OF CERTAIN CONVEYANCES, AND RECORDING SUBDIVISION
ORDINANCES

WHEREAS, Minn. Stat. ~ 272.16 provides for County approval of recording documents
transferring less than the whole of a parcel of lands, as charged in the tax lists,
without City approval.
WHEREAS, the process of dividing land into home sites or other uses is one of the most
important factors relating to the growth of the City.
WHEREAS, the interests of unsuspecting parties purchasing portions of tax parcels could be
negatively affected if the deed or other conveyance document is not first
approved by the City.
WHEREAS, the integrity of the Subdivision Ordinance will be bolstered by enacting this
resolution.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and City Council that
1. The City Manager is hereby authorized and directed to record the City's Subdivision
Ordinance to include any and all future amendment thereto, at the office of the Scott County
Recorder.
2. Pursuant to Minn. Stat. ~ 272.162 the Scott County Auditor shall not transfer or divide the
land in the official records of the County and shall not certify the instrument of conveyance
as provided in Minn. Stat. 9 272.12, if:
a. The land conveyed is less than a whole parcel of land as charged in the County's tax lists;

b. The part of land conveyed appears within the area of application of municipal subdivision
regulations adopted and filed under Section 462.36, Subdivision 1; and
c. The part conveyed is part of or constitutes a subdivision as defined in Section 462.52,
Subdivision 12.
Unless such instrument bears a stamped certification thereon duly executed by the City that
states:
a. That the City's subdivision regulations do not apply as set forth in City Ordinance 6-1-3.
b. The subdivision has been approved by the City Council pursuant to the City's
Subdivision Ordinance; or
c. The division of taxes and filing and recording have been waived by resolution of the City
in the particular case because compliance would create an unnecessary hardship and
failure to comply would not interfere with the purpose of the City's Subdivision
Ordinance.
3. Subdivisions of land within the City shall be governed by Minn. Stat. ~ 272.162.
