However, the wetland en- hancement project construction has yet to take place. Tonight the purpose of this agenda item is to memorialize the City's relationship with the Prior Lake Spring Lake Watershed District for the work. Histo On April 7, 2007, the City and County entered into a Cooperative Agreement for County State Aid Highway 12 Improvements. The Cooperative Agreement in- cluded all four phases of the project including this final phase of construction. On March 25, 2013 the City Council amended the Cooperative Agreement and ap- proved the wetland enhancement project. Current Circumstances Construction started in the spring of 2013. Utility work is completed and paving of , CSAH 12 has occurred. The wetland enhancement project just recently received US Army Corps of Engi- neers approval. Work on this area should commence after Thanksgiving. Conclusion City staff recommends approval of the attached resolution authorizing the Mayor and City Manager to sign the Cooperative Agreement with the Prior Lake Spring Lake Watershed District. The Prior Lake Spring Lake Watershed District has al- ready approved and signed this agreement. ISSUES: The City has paid Scott County for grading portions of the work which will be cov- ered by the Prior Lake Spring Lake Watershed District. This agreement reim- burses the City for the work. It also specifies plantings and maintenance for the project. FINANCIAL The City purchased the wetland enhancement property in December of 2012 for IMPACT: the $232,758. NOW THEREFORE, BE IT HEREBY RESOLVED BY THE CITY COUNCIL OF PRIOR LAKE, ' MINNESOTA as follows: 1. The recitals set forth above are incorporated herein. I I 2. YES NO Hedber Hedber Keene Keene McGuire McGuire Morton Morton Souku Souku Frank Boyles, City Manager CUOPERATIVE AGREEMENT BETWEEN THE CITY OF PRiUR LAKE AND THE PRIOR LAKE SP�2TNG LAKE WATERSHED DISTRICT T4R THE COUNTY STATE AID HIGHWAY 12 WETLAND ENHANCEMCNT PR4JECT THIS COOPERATIVE AGREEMENT ("Agreemei�t") is entered into between � the CITY OF PRIOR LAKE, a Minnesata municipal corporation ("Prior Lake") and THE PRIOR LAKE SPRING LAKE WATERSNED DISTRICT, a Minnesota watershed district uader the laws of the State of Minnesota ("PLSLWD"}, with Priar Lake and PISLWD collectively hereinafter referred to as the "Parties", RECITALS A. Scott County intends to construct County State Aid Highway 12 ("CSAH 12") from Stemmer Ridge Road to County State Aid Higli�vay 17, As a part of the project, Scott County, Prior Lake and PLSLWD have teamed to create a wetland enhancement project at the intersection of CSAH 12 and Sunset Avenue ("We#land Enhancement Project"). The Wetland Enhancement Project consists of grading, starm sewer and class S trait de�ned as "Site Work" in Recital C below and the instaltation and maintenance of wettand and upland plantings, and is intended to increase upiand storage capacity and improve the quality of stormwater runaff entering Spring Lake by restoring and improving fhe currently ditched wetland, B. Prior Lake has purchased the parcet at the inEersection of CSAH 12 and Sunset Avenue as described in Exhibit A("Property") as Park and for the Wetland Enhancement Project. C. Scott County, througii a confractor and subject to State of Minnesota prevailing wage requirements, will obtain alt required permits and approvals, and perform the site work, including grading, storm sewer, and class 5 trail in the Wetland Enhancement Project Area ("Praject Area") as shown on the drawings attached hereto as Exhibit B for the Wetland Enhancement 1'roject as a part of the CSAH 12 highway project ("Site Work"}, D. Prior Latce has agreed to pay Scott County for the site work for the Wetland Enhancement Project as described in that certain Cooperative Agreement between Frior Lake and Scott County dated April 24, 2007 ("Cau�ity Cooperative Agreement") and Prior Lake Amendment Resalutian No. 13-037 dated March 2S, 2013 ("City Resolution") attached here to as Exhibit C. E. PLSLWD agrees to pay Prior Lake for ihe Site Work, co coordinate fhe installa#ion af plantings in the Project Area, and to maintain the plantings a�id the Project Area far five years after planting. The PLSLWD i�itends to meet its project fundii�g responsibilities substantially through a Clea�� Water Fund Runof�Reduction granf froni the State of Minnesota (Project Cl 1-i26) ("Gran#"). The Parties desire to enter into this Agreement to outline their respective duties and obligations as it relates to above-descri6ed constructiai and subsequent wetland planting and mainfenance. NQW, THERETURE, in consideration of their mutua! covenants the Pacties agree as follows; 1, WETLAND AND UPLAND PLANTING. On contpletion af the Site Work by Scott County by Decem6er 31, 2013, PLSLWD shalt coordinate the installation of wetland plant species and upland prairie plant species in the Project Area. These plantings shall be installed according ta the drawing attached here to as Exhibit D. These plantings must be instalted by Navember 30, 2Q14, The PLSLWD and its contractors may enter the Property and may operate equipment, and stage and stockpils thereon, all as necessary ar canvenient to fiilfill its responsibilities under this section and section 2, below. 2. FIVE YEAR MAINTENANCE OF WETLAND AND UPLAND PLANTING. PLSLWD shall be responsible to maintain the wetland and upland plantings for a period of 5 years after their instal[ation in accordance with the maintenance plan attached hereto as Exhibit E. PLSLWD shall enter into a maintenance conEract with a firm experienced in maintaining these types of plantings. If the plantings and Project Area are not, in the sole discretion of Prior L.ake, sufficiently maintained, Prior Lake wilf notify the PISLWD in writing. If the plantings remain improperly maintained 60 days after notice, Prior Lake may hire someone to perform the maintenance and may invoice the PLSLWD for the conhactor's reasonable costs. PLSLWD shall reimburse Prior Lake within 30 days of receipt of such an invaice. At the � conclusion of the 5 year period, these plantings should be properly established and shoutd only require minimal maintenance. At the end of the S-year periad, Prior Lake shall be responsibte for all future maintenance, If Prior Lake determines that the plantings are aot properly established at #he conclusian of the 5 year period, Prior Lake shall notify PLSLWD of any de�ciencies. PLSLWD shall be responsible for resolving any deficiencies. Prior Lake shafl not be responsible for maintenance until the plantings are properly established as determined in the sole discretion of Prior Lake. 3. COST ALLOCATION AI�ID FUNDING. � A. Prior Lake is responsible for 100% of the cosf of acquiring the Property. B. PLSLWD is responsible for 100% of the cost of the wetland and upland plant installation and five year maintenance as set forth above, regardless of a��y change orders or supple�nental agreements that af�ect said costs. C. PLSLWD shall be responsible far 100% of the contract cost of the Site Wark by Scott Cous�ty. Pursuaut to ti�e County Cooperative Agreement and the City Resoiution, Prior Lake shall pay Scott County $171,082.35 , for the cost of the Site Wark, Upan execution of this Agreement, PLSLWD shall reimburse Prior Lake ttSe amount of $1U0,000. If the Site Work is not compieted in accordance witll Exhibit B by December 31, 2013, or by a mutualiy agreed upoEi later date, Prior Lake and PLSLWD will split the cost of the Site Work described under this subsection 3.0 {$17 [,788.69). D. In the spirit of eooperation, Prior Lake and PLSLWD shall work cooperatively with Scatt County during construetion to communicate any changes that may impact the overall cost, 4. OWNERSHIP. Priar Lake is the owner of the Property and all improvements constructed or installed on the Praperty, Prior Lake shall not alter the flood retention, water quality or ecological function of the Project Area, and shall not permit anyane acting under its authority or knowledge to do so, for a period af 25 years from the date of completion of the Site Work without written PLSLWD concurrence. After tliat period, Prior Lake must notify the PLSLWD before any such alteration, The PLSLWD and its contractors may enter, and may iiistall and maintain signage on, the Property as neeessary ta meet requirements of the Grant. S. INDEMNITICATION. i'LSLWD agrees to defend, indemnify, and hold harmless Prior Lake against any and all claims, liability, loss, damage, ar expense arising aut of or related to the acts or omissio�;s, whether negligent ar not, of PLSLWD, its agents or emptayees pursuant to this Agreement. Prior Lake agrees to defend, indemnify, and ho[d harmless PLSLWD against any and ail claims, liability, loss, damage, or expense arising out of or related to the acts or omissions, whether negtigent or aot, of 1'rior Lake, its agents or ' employees pursuant to this Agreement. Under no cireumstances, however, shall a party be reqaired to pay on behalf af itself and the other party any amounts in excess of the limits on liability established in Minnesota Statutes Cl�apter 4b6 applicable to any one party. The limits of liability for both Parties may not be added together to deterinine the maximum amount of liability for either party. The intent of this paragraph is to impose on each party a limited duty to defend and indemnify each other subject to the limits of liability under Minnesota Statutes Chapter 46d. The purpose of creating this duty to defend and indemnify is to si►nplify the defense of claims 6y elimi��ating co��flicts among tl�e Parties and to permit liability claims against botli Parfies from a siE�gle occurrence to be defended by a single attorney. Nothiilg in this - Agreement is a waiver by either party of any imn�unity, defense or fiability limit it may possess under law. Page 3 of i l ' � STATUS. Any and a11 claims ntade by any third party as a consequence of any act or omission ou tlie part of one �arty's employees wl�ife so e��gaged on any of the work coc�templated herein shalt not be the obligation or responsibility of the other party. 7. AUDITS. Pursuant to Minnesota Statutes § 16C.05, Subd. 5, any books, records, documents, and accounting procedures aad practices of the Parties relevant to this Agreement are subject to examination by the other party and either the Legislative Auditor or t3ie State Auditor as appropriate. Prior Lake and PLSLWD agree t� maintain these records for a period of six years from the date of performance of a!1 services covered under this Agreement. 8. DATA PRACTICES ACT. The Parties shal! at all times abide by the Mimiesota Government Data Practices Act, Minn. Stat. Chapter 13. 9. DISCRIMINATION. In performance of this Agreement, neither Party shall discriminate on the grounds of ar because of race, calor, creed, religion, national origin, sex, marital status, status with regards to public assistance, disability, sexual orientation, or age against any employee, subcontractor, or any applicant for employment. Both Parties shall include a similar provision in al! contracts with subcontractors to this Agreement. Both Parties furtlier agree to comply with all aspects of the Minnesota Human Rights Act, Minn. Stat, Sectian 363.01, et seq., Title VI of the Civi! Rights Act of 1964, and the Americans with Disabilities Act of 1994. 10. LIMITATION OF REMEDIES. I�� the event of a breach of the Agreement neither party shal! be entitled to recover punitive, special or unforeseeable consequential damages or damages for lass of business. 11, ASSIGNMENT. Neither party shal( assign this Agreement, nor any interest arising herein, without the written consent of the otlier party. 12. SEVERABILITY. The provisions of this Agreement are severable, If any portion hereof is, for any reason, held by a court of competent jurisdiction to be contrary to law, such decisian shall not affect the remaining provisions of this Agreement. 1.3. WAIVER. No activn nor failure to act by eitlier party shall constitute a�aaiver of any rigllt or duty afforded a�ty of them under tlie Agreement, nor sha11 any such action or failure to act constitute an approval of or acquiescence in any breach thereu��der, except as may be specificatly agreed iu writing. 14. GOVERNING LAW. Tltis Agreei�ient shall be coiatrolled by tt�e laws of the , State of Mi�i�iesota. 15. INTEGRATION. The entire and integrated agreement of the Parties co��tained Page 4 of l I in tf�is Agreement shall supersede all prior negotiations, representations, or agreeme��ts between the Parties regarding the project; whether written or oral. Tlie above Recitals are incarporated into and a part af this Agreement. 16. COUNTERPARTS. This Agreement i�iay ba executed in one or more counterparts, a!1 of wliich shal! be considered one and the sanle agreement and shall become effective wheia ane or more counterparts have been signed by eacii of tl�e Parties and delivered to the other Parties, it being u��derstood that all Parties need nof sign the same counterpart. Thc County and the Cily seek to improve County Sfate Aici Highway (CSAH) l2 from Watnut Avenue SW ta Trunk Highway (TH) 13 and from approximately 233 feet west of, to approximateiy 217 ft east of, the east Park boundaiy of Spring Lake Regional Park, as shown on the County Engineer's plans for C.P, 12-02 and C.P. 12-06 (SAP 70-612-010) which improvement eontemplates and ineludes grading, aggrega#e base, plant mixed bituminous pavement, conerete curb and gutter, storm sewer, sidewalk, landscaping and other related improvements (hereinafter xefexred to as the Project).
