LICENSE AGREEMENT
THIS AGREEMENT is made thisJ2J~(Xlay of April, 2003, by and between John Tho~as
WalTen and Karen Kay Warren, husband and wife, Licensees, and the Church of St. Michael of
Prior Lake, Minnesota, a Minnesota corporation ("Church") Grantor.
RECIT ALS:
1. The Church of St. Michael of Prior Lake is the owner in fee of that certain land in the
City of Prior Lake, County of Scott, State of Minnesota, described as follows:
All that part of the Southeast Quarter of the Northwest Quarter of Section 2, Township
114, Range 22, Scott County, Minnesota, described as follows: Beginning at the
intersection of the south line of Pleasant Avenue with the north-south quarter line of
Section 2; thence westerly along said south line of Pleasant Avenue a distance of 314.50
feet; thence south parallel with said north-south quarter line a distance of 150.00 feet;
thence westerly parallel with Pleasant Avenue a distance of 375.00 feet; thence sO\lth
parallel with the north-south quarter line to the intersection with the eas-t-:west quarter line
of said Section 2; thence east along said east-west quarter line to a point, said point 283
.. feet west of the center of Section 2; thence north and parallel to the north-south quarter
line a distance of 300.00 feet; thence east parallel to the east-west quarter line a distance
of 283.00 feet to the nOlih-south quarter line; thence north along said quarter line to the
point of beginning.
2, John TholTIas Warren and Karen Kay Warren, husband and wife ("Licensees") are the fee
owners of a home located at 4401 Pleasant St., in the City of Prior Lake, County of Scott,
S~ate of Minnesota, legally described as follows:
All that part of the Southeast Quarter of the Northwest Quarter of Section 2, Township
114, Range 22, described as follows: Commencing at a point on the South line of
Pleasant Avenue, 434.5 feet West of the ~ Section line, said Section line being the center
of T,H. No. 13, thence continuing West along the South Line of Pleasant Avenue. 55.0
feet; thence South parallel with the East ~ Section line 150.0 feet, thence East 55.0 feet;
thence North 150.0 feet to the place of beginning,
and
COlTIlnencing at a point 33,00 feet south of the center line of Pleasant Avenue on the plat
of West side Addition to Prior Lake, and 589.5 feet West of the north and south Quarter
section line thru said section 2; thence southerly at an angle of 89 degrees 30 minutes 00
seconds (as measured east to south from the centerline of said Pleasant A venue) a
distance of 150.00 feet; thence easterly parallel with said Pleasant Avenue a distance of
95,00 feet to the point of beginning of the land to be described; thence continuing easterly
parallel with said Pleasant Avenue a distance of 5.00 feet; thence northerly a distance of
150.00 to a point distant 100.00 feet easterly (as measured parallel with said Pleasant
A venue) frOln the point of commencement; thence westerly parallel with said Pleasant
Avenue a distance of 5.00 feet; thence southerly a distance of 150.00 feet to the point of
beginning.
3. Licensees have requested that the Church allow them to enter upon and drive or walk
across its parking lot for ingress to and egress froIn their land.
4, The Church is willing to allow Licensees to use its driveways and parking lot for access
to their property subject to the conditions described herein.
In consideration of this Agreement and other good and valuable consideration, the
Church agrees that subject to the conditions contained herein, the Licensees, their heirs,
executors, administrators or assigns, shall have the right to use the driveways and parking lot on
the Church's above-described property solely for the purpose of ingress to and egress from their
land, as shown on the attached drawing. Licensees agree not to park or store any vehicles on
Church property, and to cease using such property immediately upon receipt of written notice
from Grantor.
Licensees hereby agree to hold Grantor harmless for any and all dam~g,es resulting from
the use of its land pursuant to this license. Licensees furthermore agree-to the following
conditions: (a.) they ~ill not use the Grantor's land for any purpose other than as permitted in
this License; (b.) they will not interfere with Grantor's use of its driveways and parking lot; and
(c) they will pay for any damages caused to person or property arising out of their use of
Grantor's land.
In the event that suit is brought hereon, or an attorney is elnployed or expenses are
incurred to enforce this License, Licensees agree to pay all attorneys' fees and expenses incurred
by Grantor.
This License shall remain in force and effect until terminated by Grantor.
IN WITNESS WHEREOF, the parties have executed this Agreement the day and year
first above written.
