1. DeHnitions
"Inspection" is a wsual examination of a system or portion thereof to verify that it appears to be undamaged and in operational condition.
"TesY' is a procedure used to determine the s[atus of a system as intended by conducnng periodic physical checks on water-based fire protection systems such as waterflow tests, fire
Qump tests, alarm tests, and trip tests of dry pipe, preachon, or deluge valves. These tests follow up on the original acceptance tests at intervals specified by NFPA 25.
Maintenance' is work performed to keep fire system equipment operable or to make repairs.
"Owner" is the owner of the property or the occupant, management firm, or managing individual that has received authority from the owner for the mspeceon, test�ng, and mainte-
nance of the fire protect�on system.
"NFPA 25" �s the Standard for the Inspect�on, Test�ng� and Maintenance of Water-Based Fire Protechon Systems (2002 edinon) published by the National Fire 7rotect�on Associabon
"Authority Having Jurisdiction" is an organization, office, or indrvidual responsible for enforcing the requirements of NFPA 25 or for approving procedures.
"Defiaency" is a condit�on where a system component appears to be damaged , not in operet�ng condit�on, or the application is not within its designed limits or applicat�on
"Work" is the inspections, tests, and maintenance as required by NFPA 25 and as limited by the scope of the contract.
2. Work
Gilbert Mechanical Contractors, Inc shall inspect and test the fire sprinkler system for the bwlding �n accordance with these terms and condit�ons. The inspection and tests shall be
performed by qualified inspectors meet�ng any and all requ�rements of the applicable Authoriees Having Jurisdiction.
7he Owner shall prowde access to all areas of building contaimng system equipment and components requiring inspect�on under the scope of this inspection The Owner shall provide
a safe working enwronment and to the best of the Owner's knowledge, no unsafe materials or condit�ons exist The Owner agrees to prowde all MSDS sheets upon Gilbert Mechanical
Contractors, Inc. request.
3. Scope
(al Gilbert Mechanical Contractors, Inc. shall �nspect and test the fire spnnkler system(s) in accordance with the appl�cable requirements as contained in the 2002 edition of NFPA 25
All applicable tests and inspect�ons will be performed on an annual basis.
(b) The following inspect�ons and tests are excluded from the scope of this inspect�on and test:

Fire sprin�lers, pipe, fittings, hanger, and bracing in concealed spaces Sample test�ng for aged fire sprinklers
such as above suspended ceilings Backflow device performance test(s) except for forward flow test
Roadway valves (iii) Maintenance
Buried check valves Correct�ve or preventative act�ons including repairs ad�ustments, or modificat�ons to
System check and alarm valves (internal) correct deficiencies unless specifically mcluded in tf�e scope of contract
Building areas for adequate heat
4. Records
7he Owner shall provide access to onginal system commissioning documents includ�ng maintenance manuais, material test cemficates, certfied fire pump curves, and as-built draw-
ings. The Owner further agrees to provide any and all copies of inspections and tests performed on the fire sprinkler system post commissioning within the guidelines of NFPA 25. If
these documents and records are not available, the Owner shall hold Gil6ert Mechamcal Contractors, Inc. harmless for ali exclusions, omissions, and damage to the system that may
result from the lack of informat�on contained with�n such documents
The Owner acknowledges that these inspections and tests are not intended to reveal design or installat�on deficiennes. The inspect�ons and tests are to verify that the system appears
to be in operat�ng condition and system components appear to be undamaged.
5. Corrective Action
The Owner is solely responsible for the correct�on action reqwred to correct defiuencies idenefied by the inspect�ons and tests performed under the scope of this inspeceon. The
Owner further acknowledges that the inspect�on and tests are limited to the condition of the system found at the t�me of the work and Gilbert Mechanical Contractors, Inc. is not
responsible for the condit�on of the system at any time subsequent to the date of the work.
In addit�on, certain comments and recommendat�ons made as a result of the inspect�ons and tests may transcend the scope of NFPA 25. Such observat�ons are made without knowl-
edge of when the potentlal deviat�on occurred and what codes, standards, or �unsdictional amendments or variances were m affect at time of said deviat�on. Such except�ons are only
a record of obsarvations of potent�al deviat�ons from ci�rrent cedes and standards and are in no way an implicat�on that any other system componerts or areas of cc�•erage are ;n or
out of compliance.
6. Price and Payment Terms and Conditions
The Owner shall pay the fees identified in this agreement. Payment is due thirty (30) days from the date of the invoice Inspect�ons may be sub�ect to inflat�onary cost increases.
This agreement shall remain in effect for a period of (1) year and shall automancally cont�nue from year to year thereafter unless thirty 130) days pnor to the termmaeon of any yearly
penod, either party g�ves written notice to other party of its intent to terminate or renegotiate the terms and condit�ons set forth herem.
7. Liability Release and Indemnity
The Owner hereby releases Gilbert Mechanical Controctors, Inc and its affiliates, and their directors, officers, employees and ag ents from all claims liabilit�es and damages whith
anse or result directly or �ndirectly, from the Owner's negligence, error or omission and the Owner agrees to defend, indemnify andhold harmless �ilbert Mechanical Contractors,
Inc and its af�liates, and their directors, officers, employees and agents, from and against any and all claims, losses or damages to persons or property result�ng indirectiy or directly
from the Owner's conduct or omission
8. Limitation of Liability
The Owner agrees that Gilbert Mechanical Contractors, Inc's liability for any claims, losses or damages resulting directly or indirectly from Gilbert Mechanical Contractors, Inc's per-
formance of this agreement, including any negligence, error or omission on the part of Gilbert Mechanical Contrectors, Inc., shall 6e limited to the amount of fees recerved by Gilbert
Mechanical Contractors, Inc. under this agreement.
9. Waivers
No waiver of any prov�sion of this Agreement shall be effect�ve except pursuant to a written instrument signed by the party waiving compliance, and any such warver shall be effect�ve
only in the spenfic rostance and for the specific purpose stated in such writing.
10. Subrogation
The Owner hereby releases discharges and agrees to hold Gilbert Mechanical Contractors, Inc. and its affiliates harmless from any and all claims liabilities, damages, losses or expenses
arising from or caused by any hazard covered by insurance result�ng from or related to this inspect�on, whether said claim is made by Gilbert Mechanical Contractors, Inc., his agent or
�nsurance company or by any other part�es claiming under or through the Owner 7he Owner agrees to indemnify Gilbert Mechanical Contractors, Inc. against, defend and hold Gilbert
Mechamcal Contractors Inc. harmless from any claims for subrogat�on which may be brought agamst Gdbert Mechanical Contractors, Inc by any msurer or msurance company or ds
agents or assigns, including payment of all damages, expenses, costs and attorneys fees.
