CROSS ACCESS PARKING AGREEMENT
~
THIS CROSS ACCESS PARKING AGREEMENT is made this 53 - day
of AuX....$+- , 2000, by B.C. BURDICK and BRIGITIE E. BURDICK
("Declara ts").
1. The declarants are the fee owners of the following properties:
A. Lot 3, Block 1, James First Addition, Scott County, Minnesota
(hereinafter "Parcel A"); and
B. Lot 4, Block 1, James First Addition, Scott County, Minnesota
(hereinafter "Parcel B");
C. Lot 5, Block 1, James First Addition, Scott County, Minnesota
(hereinafter "Parcel C");
(hereinafter the "properties").
2. The declarants desire to provide for cross access use of parking facilities
located upon Lot 3, Lot 4 or Lot 5, Block 1, James First Addition, Scott
County, Minnesota.
ARTICLE I
Definitions
The following words used in this Cross Access Agreement shall have the
following meaning:
A. "Properties" shall mean Parcels A, Band C, described in paragraph
1 above.
B. "Owner" shall mean the record owner whether one or more persons
or entities of the fee simple title to any lot; provided, however, that if
the owner of a lot transfers the same by Contract for Deed, unless the
Contract for Deed provides otherwise, that the vendee under the

Contract for Deed shall be deemed to be the owner for purposes of
this cross access agreement.
C. "Declarants" shall mean B.C. Burdick and Brigitte E. Burdick,
husband and wife, as well as their successors and assigns,
ARTICLE II
Property Subject to this Declaration
The properties subject to this declaration are:
A. Lot 3, Block 1, James First Addition, Scott County, Minnesota
(hereinafter "Parcel A"); and
B. Lot 4, Block 1, James First Addition, Scott County, Minnesota
(hereinafter "Parcel B");
C. Lot 5, Block 1, James First Addition, Scott County, Minnesota
(hereinafter "Parcel C");
and same shall be held, transferred, sold, conveyed and occupied subject to this
Cross Access Agreement,
ARTICLE III
Cross Access Rights to Use of Parking
The dec1arants, their heirs, successors and assigns, as well as their tenants,
invitees, licensees, guests, contractors, transferees, employees and agents, shall
have the right to access and use all parking facilities located upon either Parcel
A, Parcel B or Parcel C.
Each individual Parcel shall be exclusively responsible for all expenses of
maintaining, plowing, repairing, improving, landscaping, relocating, and/ or
reconstructing parking facilities upon such Parcel.
The owners of Parcels A, Band C may grant rights of access to said parking
facilities therein to their tenants, invitees, licensees, guests, contractors,
transferees, employees, agents, successors and assigns. No owner, their
successor or assign, may bar or otherwise prohibit access to said parking facilities
therein by any tenant of Parcel A, Parcel B, or Parcel C, or their employee, invitee,
licensee, guest, transferee or contractor.
The owners of Parcels A, Band C shall take all precautions necessary to
insure that the parking facilities and surrounding area is kept policed, free of
debris, and plowed.
ARTICLE IV
General Provisions

Enforcement - Any owner shall have the right to enforce by any proceeding
at law or in equity, all restrictions, conditions, covenants, and reservations now
or hereafter imposed by the provisions of this declaration. Failure by declarant
or the owners to enforce any covenant or restriction herein contained shall in no
event be deemed a waiver of the right to do so thereafter.
Severability - Invalidation of anyone of these covenants or restrictions by
judgment or court order shall in no way effect any other provisions all of which
shall remain in full force and effect.
Duration - The covenants and restrictions of this declaration shall run and
bind the land and shall inure to the benefit of and be enforceable by declarant
and/ or any owner of a lot subject to this declaration, their respective legal
representatives, successors and assigns for a term of thirty (30) years from the
date this declaration is recorded after which time this Cross Access Agreement
shall automatically renew for additional periods of ten (10) years each.
Amendment - This Cross Access Agreement may be amended
instrument signed by the owners or their successors and assigns.

the permit for the above referenced property. I am glad that we had such a good meeting together
and that we will be able to receive this permit as quickly as possible.

square feet. T have spoken to the manager of the facility in our building and she told me

square footage for Building No, 2 is 10,705 square feet. The total gross square footage
for Building No.3 is 9,390 square feet.

Don, we have completed some parking calculations for buildings No. I and No.2, I agree
with you that we have quite a few extra parking stalls for these buildings. I agree with your
number with a total of 122 parking stalls. Based upon our current tenants and usage we have
something in excess of 20 parking stalls.

STATEMENT OF THE BUSINESS USE FOR THE PROPOSED TENANT
14162 COMMERCE AVENUE NE. PRIOR LAKE MlNNESOT A. SUITE 600
At this time, I have inquired very carefully and in detail, the business use for the proposed tenant
in the above referenced space. The space will consist of some business office area, reception
area, two tanning booths, and an area for counseling individuals on their diet and giving them,
recommendations for an improved lifestyle and good health. The business will provide
counseling to clients/customers to improve their diet and health. They plan to operate a
maximum of 7-8 exercise/fitness type of machines to evaluate clients.
After hearing the details of their business operation, I am confident that their hours of operation,
traffic flow, and noise will not be any different than our other current tenants in the buildings. In
fuet, I expect that our current tenants actually generate more traffic during more varied hours than
this proposed new tenant.
Don, I hope that this is a sufficient description of the business for this proposed new tenant. I am
confident that they are a very good reputable tenant who Burdick Properties is glad to have in one
of our buildings.
