AMENDMENT TO THE T-MOBILE WATER TOWER ANTENNA
AGREEMENT AND AUTHORIZING THE MAYOR AND CITY MANAGER
TO EXECUTE THE SAME
DISCUSSION: Introduction
The purpose of this agenda item is to consider executing an amendment
to
the Water Tower Antenna Agreement with T-Mobile to grant them a utility
easement for fiber upgrades at the Tower Street water tower.
History
The City and T-Mobile Central LLC are parties to a water tower antenna
agreement relating to installation of communications antennas on the
Tower Street water tower. The original agreement was entered into on
May 30, 2000.
Current Circumstances
T-Mobile, along with other communications companies, are in the process
of upgrading technology for cellular service around the nation. As part of
this process they would like to upgrade their underground utilities that
include adding fiber connectivity at the City's Tower Street water tower.
The original agreement and subsequent amendments did not include utility
easements, therefore an amendment was determined to be appropriate.
Conclusion
The City Attorney reviewed the information and prepared the amendment
to the existing agreements with T-Mobile.
ISSUES: The City holds several lease agreements with Communication Companies
to allow use of the City's water towers to mount antenna with ground
equipment shelters. Over the last few years, several companies have
indicated a desire to upgrade their antenna and shelter equipment to what
is commonly referred to as 4G. The newer technologies also require the
mounting of additional equipment near the antenna with cabled
connections and installing fiber optic cable.

Most of the antenna leases have similar provisions that address the use of
the site for mounting of antenna and storage of equipment in ground
shelters. They do not anticipate the new fiber optic cable. Based on the
review of the agreement by the City Attorney, it was determined that an
amendment to the original agreement would be appropriate.
A copy of the partially executed amendment is included with this agenda
report.
FINANCIAL A one-time fee was collected for the utility easement.
IMPACT:
ALTERNATIVES: 1. Approval of the resolution to approve the amendment to the agreement
and authorize the Mayor and City Manager to execute the amendment
to the T-Mobile Water Tower Antenna Agreement as part of the
consent agenda.
2. Deny this agenda item for a specific reason and provide staff with
direction.
3. Table this item to a certain date in the future.

A RESOLUTION AUTHORIZING THE MAYOR AND CITY MANAGER TO EXECUTE AN
AMENDMENT TO THE WATER TOWER ANTENNA AGREEMENT WITH T-MOBILE CENTRAL LLC 1
FOR THE TOWER STREET WATER TOWER PROPERTY

WHEREAS, Various cellular companies have located their antennae equipment on City property and
water towers; and
WHEREAS, The public safety, health and welfare is served when cell phone coverage is uniform
and unbroken; and
WHEREAS, The City and T-Mobile Central LLC are parties to a Water Tower Antenna Agreement relating
to City property and the Tower Street water tower located at 4741 Tower Street, Prior Lake
Minnesota, 55372 (T-Mobile site ID A1P0401A); and
WHEREAS, T-Mobile Central LLC desires to obtain a utility easement to install fiber optic cable at the
Tower Street water tower property for the sole benefit of its customers and subscribers;
and
WHEREAS, T-Mobile Central LLC is installing and maintaining the fiber optic cable and additional
equipment will be located on the water tower property,within the proposed utility easement
and in T-Mobile's Equipment Shelter; and
WHEREAS, The City Attorney and city staff have developed an "Amendment"to the existing antenna
agreement; and
WHEREAS, T-Mobile Central LLC has executed said Agreement.
NOW THEREFORE, BE IT HEREBY RESOLVED BY THE CITY COUNCIL OF PRIOR LAKE,
MINNESOTA as follows:
1. The recitals set forth above are incorporated herein.
2. The City Council hereby approves the"Amendment to Water Tower Agreement" prepared by the City
Attorney and city staff.
3. The Mayor and City Manager are hereby authorized to execute the"Amendment to Water Tower
Agreement"on behalf of the City.

AMENDMENT NO. 2 TO WATER TOWER ANTENNAE AGREEMENT
This AMENDMENT NO. 2 TO WATER TOWER ANTENNAE AGREEMENT("Amendment") is made
this day of ,2015 by and between the CITY OF PRIOR LAKE,a Minnesota
municipal corporation(hereinafter referred to as the"City")and T-Mobile Central LLC, (hereinafter
referred to as"Communications Company") as successor in the interest to APT Minneapolis, Inc.
A. The City and Communications Company are parties to a Water Tower Antennae Agreement
dated May 30,2000,as amended by an Amendment to Water Tower Antennae Agreement
dated December 22, 2014(collectively,the "Agreement"),for a water tower known as the
Tower Street Water Tower,located at 4741 Tower Street,Prior Lake, MN 55372 ("Water
Tower").
B. The Agreement grants Communications Company the easements identified on attached Exhibit
A.
C. The City and Communications Company hereby seek to amend the terms of the Agreement to •
establish a utility easement for the purpose of allowing Communications Company to install
underground utilities, in addition to the easements already granted by the Agreement.
NOW,THEREFORE, in consideration of the forgoing recitals and for other good,valuable and fair
consideration,the receipt and sufficiency of which are hereby acknowledged theparties agree as
follows:
1. Definitions. All terms defined in the Agreement shall have the same definitions when used in
this Amendment.
2. Additional Utility Easement. The Agreement is hereby amended to include, in addition to the
easements granted in the Agreement, a non-exclusive utility easement as described on attached
Exhibit B and depicted on attached Exhibit C, both of which are incorporated herein by this
reference.
3. Utility Easement Fee. A one-time fee of$606.00($4.00 per linear foot of the 151.5-foot
easement),shall be payable by Communications Company to City at the time of execution of
this Amendment.
4. Continued Effect. Except as specifically modified by this Amendment,all of the terms and
conditions of the Agreement shall remain in full force and effect.
