History The City and AT&T are parties to a Water Tower Antenna Agreement relating to installation of communications antennas on the Cedarwood Street water tower. The original agreement was entered into on May 1, 2002. Current Circumstances AT&T, along with several other communications companies, are in the process of upgrading technology for cellular service around the nation. As part of this process they would like to upgrade their antennas that include adding additional equipment on the City's water towers, The original agreement did not anticipate the new equipment, therefore an amendment was determined to be appropriate. Conclusion The City Attorney reviewed the information and prepared the amendment to the existing agreement with AT&T. ISSUES: The City holds several lease agreements with Communication Companies to allow use of the City's Water Towers to mount antenna with ground equipment shelters. Over the last year, several companies have been working with the City to upgrade their antenna to what is commonly referred to as 4G. The newer technologies also require the mounting of additional equipment near the antenna with cabled connections. Most of the antenna leases have similar provisions that address the use of the site for mounting of antenna and storage of equipment in ground shelters. They do not anticipate the new equipment on the towers. A copy of the partially executed amendment is included with this agenda report. FINANCIAL The current annual rent amount is $20,364.52 and an annual rent escalator IMPACT: of 3% will be implemented instead of the current 15% increase every five years as has been standard with all recent amendments to antenna agreements. ALTERNATIVES: 1. Approval of a resolution as part of the consent agenda authorizing the Mayor and City Manager to execute an amendment to the AT&T Water Tower Antenna Agreement. 2. Deny this agenda item for a specific reason and provide staff with direction. 3. Table this item to a certain date in the future. A. The City and Communications Company entered into that certain Water Tower Antennae Agreement dated May 1, 2002 and expiring on April 30, 2022 if all options are exercised ("Antennae Agreement"), relating to the Cedarwood Water Tower located at 5560 Cedarwood Street, Prior Lake, MN ("Water Tower"). The Antennae Agreement provides Communications Company with a limited license to install and use certain equipment on the Water Tower subject to the terms and conditions therein ("Equipment"). B. The City and Communications Company hereby seek to amend the terms of the Antennae Agreement to clarify the terms related to permitted equipment, rent, labeling, access, locates, notice address and insurance. NOW,THEREFORE, in consideration of the foregoing recitals and for other good,valuable and fair consideration,the receipt and sufficiency of which is hereby acknowledged the parties agree as follows: 1. Definitions. All terms defined in the Antennae Agreement shall have the same definitions when used in this Amendment. 2. Permitted Equipment. Exhibit B to the Antennae Agreement is hereby amended to include the modifications identified on Exhibit B-1,a copy of which is attached and made a part hereof. Exhibit B-1 supplements Exhibit B to the Antennae Agreement,and shall not be deemed to supersede or otherwise modify Exhibit B or any part thereof except to the extent specifically set forth in Exhibit B-1. The Equipment shall be installed and located only as set forth in Exhibit B and Exhibit B-1. If Communications Company seeks to use other Equipment or make any other revisions to Exhibit B or Exhibit B-1, it must first obtain prior written consent or an amendment from the City for such revisions. Notwithstanding the foregoing, maintenance, repairs, like-kind replacements of Equipment and modifications,any of which occur within the interior of any shelters or base station equipment,shall not require the prior consent of the City and shall not require an amendment to the Antennae Agreement. 3. Technology. Paragraph 4 A of the Antennae Agreement is hereby amended by adding the following language: Communications Company shall use the Equipment exclusively to provide communications services operating on Cellular/850MHz on the following frequencies: E Block 1885- 1890/1965-1970 MHz; C Block 1895-1910/1975-1990 MHz;C 1730-1735 and 2130-2135 MHz; 704- 710/734-740; and 710-716/740-746 and utilizing WCS-2310. If Communications Company seeks to use other spectrum bands and/or other network technologies/standards or evolutions of such network technologies/standards, it must first obtain a separate or amended agreement from the City for such additional or replacement use. fr 1 A1114-000001 4. Rent Installation Premium. As additional consideration for the modification and other rights set forth in this Amendment immediately upon the effective date of this Amendment Paragraph 3 A of the Antenna Agreement is hereby deleted in its entirety and replaced with the following: (a) Beginning January 1, 2016,Communications Company shall pay base rent to City in the amount of$20,364.52 annually. Thereafter,the base rent shall be subject to a 3%annual increase to be imposed on each January 1. 5. Access. Paragraph 4 E of the Antennae Agreement is hereby amended by adding the following language: Communications Company shall provide the City with notice at least 5 business days prior to accessing the Property or the Water Tower,except in the event of a service interruption or equipment failure. The notice shall be provided on a form approved by the City. The information shall include but not be limited to the identity of the entity and individual accessing the Property or Water tower and their contact information;the purpose for the access;the dates and hours of access; and proof of the required insurance. In the event of a service interruption or equipment failure, Communications Company need not provide 5 business days' notice but shall provide the City with as much written or telephonic notice as possible based on the circumstances. 6. Insurance. Paragraph 15 of the Antennae Agreement is hereby amended by adding the following language: Communications Company shall require all subcontractors to meet the insurance requirements set forth herein. All entities or persons accessing the Property or Water Tower shall provide to the City proof of such insurance. 7. Notice Address. Sheet C4.1 Mounting Details, Detail 1,Antenna and RRH Mounting Detail; the 2" Galvanized Vertical posts are not identified if they are existing or new as requested in letter dated July 16, 2015. If new vertical posts are to be installed they will need to be the same size and length as the existing, have welded end caps and be shop painted to match the color of the water tower. 2. Note: • Equipment must be installed per the plans, field changes will not be allowed. If there are any concerns about how equipment will fit or be installed, it would be beneficial to do a site visit, take measurements and confirm if the installation will work. • Note: all aspects of this project for AT&T need to be discussed at the pre-construction meeting and be approved by the City. Based on our review and the above information as provided by Velocitel, it is our opinion that the City of Prior Lake can proceed with approval of this phase of the project, as the remaining comments are minor in nature and can be addressed at the preconstruction meeting. Following approval by the City, a pre- construction meeting must be scheduled by the tenant to include the City, SEH, the contractor and AT&T's representatives prior to commencement of project construction. The existing AT&T antennas are currently mounted on (9) tripod mounts on top of the existing water tank at a height of 153-ft above ground level. Velocitel understands the water tank to be approximately 148-ft tall and to be supported by a single 52-ft 9-in diameter shaft. Additionally, Velocitel understands that the tank has a 1,000,000 gallon capacity and was designed and constructed by Pitt Des Moines, Inc. in 1988. D + (0.6W or 0.7E) (2.4.1.5) 3.0 ASSUMPTIONS, ANALYSIS CRITERIA and METHOD The following design values were used to analyze the existing antenna mounts: - All existing steel pipe members are ASTM A53 with a yield stress of 35 ksi. - All other steel members are ASTM A36 with a yield stress of 36 ksi. The existing tripod antenna mounts were modeled with RISA-3D, a general- purpose 3-dimensional analysis and design program. This program has been developed to make the definition, solution and modification of 3D structural models, utilizing finite element solutions. Ice loads have been calculated for each existing and proposed appurtenance; however, it is assumed that the ice and wind on ice loads cases will not control over wind or seismic load cases for the design of the tank and for comparing loads. The structure is considered to have adequate strength for the proposed loading, if the existing structural members which will be used to support the proposed equipment are structurally adequate per the current code criteria or the additions and alterations to the existing structure do not increase the gravity force in any structural element by more than 5% of the design load or the lateral force by more than 10%. 4.0 CALCULATIONS AND OUTPUT Calculations and Software output for this analysis are provided in Appendix A of this report. Additionally, the existing water tank is found to have adequate capacity for the proposed antennas. The seismic loads, which control the design of the water tank, imparted on the water tank by the existing and proposed antennas and other appurtenances are less than 5% of the total loads on the tank itself, and thus no further overall analysis of the tank structure is required. Therefore, the proposed changes can be implemented with the conditions outlined in the report. The conclusions reached by Velocitel, Inc. in this report are only applicable for the previously mentioned existing structural members supporting the proposed telecommunication equipment cabinets and antennas. Any deviation of the support, load and/or their placement, etc. will require Velocitel to generate an additional structural analysis. Further, no structural qualification is made or implied by this report for existing structural members not supporting the aforementioned telecommunication equipment. Velocitel will accept no liability due to discrepancies between the as built drawing(s) and the as built condition of the structure. The contractor should inspect the condition of the existing structure, mounts and connections and notify Velocitel of any discrepancies and deficiencies.
