CONSIDER APPROVAL OF A RESOLUTION AUTHORIZING SOLICITATION
OF PROPOSALS TO SELL TWO CITY-OWNED PARCELS FOR ECONOMIC
DEVELOPMENT PURPOSES.
History:
The City Council has taken numerous actions to encourage economic
development in the community. This agenda item proposes another action the
City can take to encourage economic development by selling City-owned
property not needed for public purposes so it can be developed. On March 7,
2005, the City Council adopted a resolution authorizing appraisals and
preparation of specifications or requests for proposal to sell two city-owned
properties for economic development purposes. The purpose of this agenda
item is to request City Council approval of request for proposal documents,
establishment of minimum sales price for each parcel and authorization to post
notice for-solicitation of proposals.
Draft request for proposal documents have been prepared for each of the two
properties. The purpose of the request for proposal is to require buyers to
develop the parcels in a timely fashion by identifying the size of building, type
of uses, desired exterior colors and materials and timeline for completion of
the construction project. The appraisals establish the minimum sale price of
each parcel.
A description of the two parcels is shown below together with the
characteristics of the development the City will require for a bidder to be
eligible to submit a proposal:
Parcel 1
This parcel is located at the northeast quadrant of Main Avenue and Hastings
Street. It consists of two parcels identification numbers - la, PID250010211*
is a seven feet wide by 145 feet long parcel located immediately south of the
Gallion Building. The second parcel, l-b, is identified as 250010210 which is
42 feet wide commencing at the southerly boundary of 250010211 and
extending southerly to the north curb line of Hastings Avenue. This parcel is
also 145 feet long. Together, the parcels are 7,105 square feet. Attached is a
graphic from the Scott County websites depicting the parcels.
* This parcel is not presently owned by the City. We have reached an agreed-upon
price with the owner, but no purchase agreement has been signed. In the event that
we are unable to consummate the transaction, the City would be authorized to sell only
the 42 foot X 145 foot parcel.

ISSUES:
Since these parcels are zoned C-3 and in the downtown, they may be
developed to the lot edge. The purchaser of these properties would be obliged
to develop these parcels as follows:
3,000 square foot building footprint minimum.
· Three- to four-story structure (depending upon whether a basement is
included).
· Exterior colors, finishes and styles in accordance with the downtown design
plan.
· Uses to include retail and office uses.
· All other aspects of the project in accordance with City Code, State Statute
and the Building Code.
Parcel 2
These parcels are located at Franklin Trail and Park Nicollet Avenue. They
include two parcel identification numbers - 2a - 259020430, a 0.43 acre
parcel, and 259020440, a 0.45 acre parcel. Together, these parcels are 0.88
acres. The approximate dimensions are 150 feet wide by 259 feet long, or
38,850 square feet. Attached is a graphic from the Scott county Website
depicting the parcels.
These parcels are zoned C-4. Since they are not in the downtown, setbacks
do apply. The purchaser of these properties would be obliged to develop
these parcels as follows:
· Acquire the immediately adjacent parcel of one acre and consolidate for
development purposes.
· Construct a minimum 8,000 sq. ft. footprint building with ordinance required
parking and landscaping.
· Two story structure.
· Class A material exterior to match Park Nicollet building and Keystone
building.
· Uses to include office and/or service.
· All other aspects of the project in accordance with the City Code, State
Statute and Building Code.
Conclusion:
The City Council should determine if the above criteria together with additional
criteria set forth on the attached RFP's are sufficiently directive to assure that
each parcel will be developed in accordance with the Council's desires.
These property sales raise a number of issues.
1. Minimum sale price- the City Council authorized an appraisal of each of
the properties. Parcel 1on Main Avenue and Hastings was appraised at
$128,000. If the purchase of parcel la (7' X 145') is unsuccessful, the
price for the remaining parcel lb (42'X 145')is $123,000. Parcel 2 on
Franklin Trail and Park Nicollet Avenue is appraised at $204,000. There is
a considerable variance in the appraised value per square foot. Parcel 1 is
$18 per square foot. Parcel 2 is $5.25 per square foot. The appraiser
givens the following reasons for the disparity:
a. Downtowns are unique and special locations that are typically
valued more highly than other suburban parcels;

b. Downtown zoning typically allows and encourages building more
stories so that greater density can be developed on a smaller lot as
is the case here;
c. The site at 7,105 square feet is small. Small sites tend to demand
a premium;
d. Downtown sites tend to focus more on the lump sum price than the
square foot price.
2. The Council should determine if these are the minimum sales prices to be
considered.
3. Development timing - in addition to describing their project and
demonstrating at least a 50% lease out, potential buyers are required to
indicate specific deadlines for proceeding with the project. The first key
deadline is 120 days from Council action on the purchase option. By that
time, the developer must have entered into a development agreement
acceptable to the City. If they do not, they forfeit their letter of credit which
is the amount of the purchase price of the property. The City may retain
this amount to cover its costs and solicit additional proposals for sale of the
property. The developer's agreement, if executed, would set forth
timelines for completing the project and penalties for not achieving such
timelines.
Does the Council believe that the City is adequately protected with the
proposed safeguards?
1. Adopt the attached resolution approving the RFPs, the minimum sale
prices and the authorizing public notice to solicit proposals.
2. Take no action or direct the staff to prepare additional information.
Alternative 1. The notice is proposed to appear in the Saturday, May 7, 2005,
edition of the Prior Lake American. Proposers would be given three weeks to
submit written proposals. The deadline would be Friday, May 27, 2005. The
Council would consider approving the sale and preparation of a development
agreement at its Monday, June 6, 2005, City Council meeting.

The City owns property which is excess to its municipal needs in the downtown and
South Lake Village areas of the City, and

Such property purchased by private developers will facilitate additional economic
development and downtown redevelopment, and
WHEREAS,
The staff has prepared requests for proposals for the sale of the two lots which require
that the successful proposer develop the properties in accordance with the 2020 Vision
and Strategic Plan, Comprehensive Plan and City Code within the next 24 months, and
WHEREAS,
An appraisal has be conducted for both properties to establish the value of each and
the minimum bid therefore, and
WHEREAS, A public notice and timeline have been established to promote the receipt of proposals.
NOW THEREFORE, BE IT HEREBY RESOLVED BY THE CITY COUNCIL OF PRIOR LAKE,
MINNESOTA as follows:
1. The recitals set forth above are incorporated herein.
2. The Notice of Request for Proposal, the Proposal Form, and Request for Proposal as contained in
the May 2, 2005, agenda report are hereby approved.
3. The minimum bids as set forth in the May 2, 2005, agenda report are hereby approved.
4. The staff is authorized to solicit proposals for the sale of an option on each property by placement
of a public notice therefore in the May 7, 2005, edition of the Prior Lake American for consideration
by the City Council on June 6, 2005.

ON CITY OWNED PROPERTY
Notice is hereby given that the City will be accepting proposals to sell an option on City
owned property at Main Avenue and Hastings Street. The property is generally described
as flat, rectangular and about 49 fi. wide by 145 fi. long. The property has not received
an environmental Phase I or II. Proposals must be received together with an Irrevocable
Letter of' Credit to guarantee that:
1. The proposal will comply with all aspects of the City's Request for Proposal; and
expedite entering into a Development Agreement with the City; and
2. The proposal will pay the City a penalty as set forth in the Request for Proposal if
they fail to abide by all aspects of the RFP.
Proposals will be accepted until 4:30 a.m./p.m, on Friday, May 27, 2005, at the office of
the City Manager, 16200 Eagle Creek Avenue, Prior Lake, MN 55372. Proposals
received after that date and time would be returned unopened. All proposals must
contain a letter of credit in the amount set forth in the Request for Proposal and in a form
approved by the City Attorney. Any questions regarding this Request for Proposal are to

REQUEST FOR PROPOSAL
The City is the owner of a property located at Franklin Trail and Park Nicollet Avenue. It consists of two
parcels identified as PID259020430, which is a 0.43 acre parcel and PID 259020440, which is a 0.45 acre
parcel. An aerial photograph depicting the property is attached. The property has been the subject of an
environmental study Phase I and Phase II, which is available for review at City Hall.
The property is located in the C-4 zoning district. The City desires the development of this property to
include a two-story, mixed-use building to include office and retail uses of 8,000 square feet per floor.
The building exterior will be Class A and consistent with the Prior Lake City Code as approved by the
City.
The Planning Commission has reviewed and approved disposal of this site for development purposes.
The City Council has received an appraisal which establishes the market value for this property and
minimum bid of $204,000.
The City Council has further authorized the survey and title work on this property upon award of a
proposal to sell an option on this property.
By submitting a proposal to purchase an option to buy this property, the proposer agrees to the following:
· To pay $ for the property, cash at closing.
· Includes with the proposal a letter of credit acceptable to the City on the amount of the proposed
purchase price of the property in the event of non-performance of any provision of this proposal.
· Enter into a development agreement acceptable to the city within 120 days of City Council action
