LIQUOR LICENSES FOR THE WILDS MANAGEMENT
CORPORATION

The City of Prior Lake has six On Sale Intoxicating .Hiquor
licenses issued. Under Minnesota Statutes, as a city of the
third class, Prior Lake has up to twelve licenses it may issue.
We have received a request from The Wilds Management
Corporation for an On Sale Intoxicating Liquor License and
Sunday License to be used in conjunction with The Wilds Golf
Course and Club House restaurant. This agenda item requests
Council action on this application.
In accordance with the City Code, an application has been
received by the Prior Lake Police Department from Jay
Schroeder, President of The Wilds Management Corporation.
The three principals of the firm include: Kristin Burggraaff,
Gaylen Allen (Dick Burtness's brother) and Jay Schroeder.
Liquor sales are anticipated in The Wilds golf club house
restaurant and on the golf course. The Wilds Management
Corporation would provide the liquor license and manage the
sale of liquor on these sites. The building, fixtures and
property would be owned by Prior Lake Development L.P.
In accordance with Prior Lake City Code, the Police
Department has conducted a complete background
investigation into the three principals of the Prior Lake
Management Corporation. Attached for Council information
are excerpts from the investigative report. In summary, the
Police Department finds no reason to deny the license based
upon their investigative findings.
It is appropriate for the City Council to afford the public an
opportunity to provide input on this license application prior to
taking final action.

The Council should determine whether, in their view, a license
should be issued to Mr. Jay Schroeder doing business as The
Wilds Management Corporation in conjunction with The Wilds.
This will leave five licenses remaining for future issuance by
the city as long as our population remains between 10,000 and
20,000. The Council should be aware that if the population of
Prior Lake exceeds 20,000 in the future, then an additional six
licenses would be available under Minnesota State Statute.
ALTERNATIVES: Council has the following alternatives:
1. Approve the license request
2. Defer action on the request pending receipt of
additional information.
RECOMMENDATIONS: Alternative # 1. The information provided by the applicant appears
to be in order and the Police Department does not find a reason for
denial of the license. When the Planned Unit Development was
approved, the Council was aware that the Wilds development
would ultimately involve one or more on sale liquor licenses.
ACTION REQUIRED: Motion and second to approve the application for an On Sale
Intoxicating Liquor and Sunday Licenses to Mr. Jay Schroeder
d/b/a as Wilds Management Corporation for the period of June 19
through June 30, 1995 and July 1, 1995 through June 30, 1996.
This license is restricted to use within the Wilds club house
restaurant and golf course. If additional restaurants, hotels or other
facilities are constructed, separate licenses would have to be
issued.

Dear Chris:
The purpose of this letter is to inform you of the structure of Wilds Management
Corporation.
Because some of the partners of Prior Lake Development L. P. didn't want to be directly
involved with the sale of liquor, Prior Lake Development hired Wilds Management
Corporation to use their liquor license and management expertise to oversee the sale of
liquor for The Wilds Golf Club and restaurant. The building and fixtures will be owned by
Prior Lake Development

Liquor Activity Management Agreement

Prior Lake Development Limited Partnership (PLD), a Minnesota limited partnership, and
The Wilds Management Corp. (WMC), a Minnesota Corporation, agree to the following:
1. PLD will employee WMC to manage all liquor related activities on its behalf
This includes but is not limited to purchasing, selling, and inventory control. This
is an exclusive agreement, i. e. PLD will use WMC for all liquor related activities.
2. WMC will be compensated for this management on a monthly basis in an amount
that is mutually agreed upon. This compensation includes the reimbursement of all
expenses incurred by WMC that relate to PLD's liquor activity, plus a management
fee.
3. WMC will lease all needed employees from PLD. These employees will be
managed by WMC.
4. PLD is responsible for providing both general liability and workers compensation
insurance related to this activity. This insurance will be held in PLD's name and
PLD agrees to assume all responsibility for any liability that may be incurred by
WMC related to liquor activity management.
This agreement can be terminated by 30 day written notice from either PLD or WMC.
