CONSIDER APPROVAL OF A RESOLUTION AUTHORIZING EXECUTION OF A
COOPERATIVE AGREEMENT WITH SCOTT COUNTY FOR THE REALIGNMENT
OF COUNTY ROAD 12, SAP 70-612-09.
DISCUSSION:
Historv
In August of 2004 the City of Prior Lake approved the design alignment for CR 12.
The approval included the realignment of approximately 2,500 feet of CR 12 through
Spring Lake Regional Park and the Stemmer Ridge property. On December 6,
2004, the City Council approved a Letter of Understanding between the City, Scott
County and Arcon Development. This approval authorized staff to work with Scott
County and Arcon Development to draft a Cooperative Agreement for the cost
sharing on this segment of CR 12. The Final Plat for Stemmer Ridge is on the
consent agenda. That item refers to the Cooperative Agreement which is the
subject of this agenda item.
Current Circumstances
A Cooperative Agreement has been drafted that allows for the reimbursement of
Arcon Development by the City and County. The Cooperative Agreement has been
incorporated into the Development Contract relating to the final plat for Stemmer
Ridge approved earlier tonight. The Cooperative Agreement allows Arcon
Development to reconstruct CR 12 in accordance with the approved construction
plans for SAP 70-612-09. By allowing Arcon Development to complete the work it is
estimated that the City and County will save $ 900,000. The total savings to the City
is estimated to be $320,000. The total reimbursement to Arcon Development
through the Cooperative Agreement is estimated to be $57,000 by the City and
$350,000 by the County. A copy of the Cooperative Agreement is attached to this
report.
Conclusion
By working with Arcon Development, the City and County will save an estimated
$900,000 for the realignment of CR 12. This partnership benefits the taxpayers of
Prior Lake and all of Scott County.
FINANCIAL IMPACT: The estimated $57,000 cost to the City shall be paid for from the Street Oversize
Fund.

WHEREAS, the City of Prior Lake has approved the realignment of CR 12 through the Spring Lake
Regional Park and Stemmer Ridge properties; and
WHEREAS, City staff has worked with Scott County and Arcon Development to draft a Cooperative
Agreement to allow for the reimbursement of Arcon Development by the City and
County for the improvements; and
WHEREAS, the City and County will save an estimated $900,000 by entering into the Cooperative
Agreement for the construction of SAP 70-612-09.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF PRIOR LAKE, MINNESOTA:
1. The recitals set forth above are incorporated herein.
2. That the City Manager and Mayor are authorized to enter into a Cooperative Agreement with
Scott County for the realignment of CR 12 in accordance with SAP 70-612-09.
3. That the City Engineer is authorized to administer the agreement.

CONSTRUCTION COOPERATIVE AGREEMENT
THIS AGREEMENT, made and entered into this _ day of June, 2005, by and between the County of
Scott, a body politic and corporate under the laws of the State of Minnesota, hereinafter referred to as the
"County" and the City of Prior Lake, a Minnesota municipal corporation under the laws of the State of
Minnesota, hereinafter referred to as the "City".
RECITALS:
WHEREAS, The County and the City have been negotiating to bring about the improvement of County State
Aid Highway 12 (CSAH 12) from 0.55 miles east of CSAH 17 to 1.44 miles west of T.H. 13 as
shown on the County Engineer's plans for SAP 70-612-09 which improvement contemplates and
includes grading, aggregate base, plant-mixed bituminous pavement, concrete curb and gutter,
storm sewer, sidewalk, landscaping and other related improvements ("work").
WHEREAS, The County and the City have negotiated improvement of the portion of CSAH 12 described
above with Arcon Development and its successors or assigns hereinafter referred to as the
"Developer". The Developer is not a party to this Agreement but shall enter into a separate
Development Contract with the City to complete the improvements as described.
WHEREAS, The above described project lies within the corporate limits of the City.
WHEREAS, The County Engineer has heretofore prepared an engineer's estimate of quantities and unit prices
of material and labor for the above described project and an estimate of the total cost for contract
work in the sum of one million two hundred twenty one thousand seven hundred ninety nine
dollars ($1,221,799). A copy of said estimate (marked Exhibit "A") is attached hereto and by
this reference made a part hereof.
WHEREAS, All associated City utility improvements will be covered under the Developer Contract with the
Developer and are not part of this Agreement.

WHEREAS, It is contemplated that said work be carried out by the parties hereto under the provisions of M.S.
Sec. 162.17, Subd, 1.
NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:
1. The recitals setforth above are incorporated herein as if fully setforth.
2. The Developer will complete all improvements for the work and construction of the aforesaid Project
No. SAP70-612-09 as described in recital "A" of this Agreement (hereinafter "work or "project"). The
Developer will submit copies of bids for the work to the City and County for approval prior to commencing
work. The City and County reserve the right to reject the bid prices and negotiate prices based on similar
project estimates with the Developer. The City will enter into a Development Contract with the Developer to
ensure a contractual relationship between the parties to this agreement and the Developer and to ensure the
Developer's reimbursement of the costs covered in this Agreement.
3. The City shall have overall authority to administer the contract and inspect the construction of the
contract Work contemplated herewith. The City shall have ultimate authority in initiating and determining
change orders, supplemental agreements and final quantities. However, the City Engineer shall inform the
County Engineer of all proposed change orders and supplemental agreements to ensure County cost
participation. The County Engineer shall cooperate with the City Engineer and his staff at their request to the
extent necessary, but shall have no other responsibility for the supervision of the Work.
4. The County shall reimburse the City for its share in the construction cost of the contract Work for said
Project and the total final contract construction cost shall be apportioned as set forth in the Division of Cost
Summary in said Exhibit "B" attached hereto. It is further agreed that the Engineer's Estimate referred to in this
Agreement is an estimate of the construction cost for the contract Work on said project and that the unit prices
set forth in the contract with the successful bidder and the final quantities as measured by the Engineer shall
govern in computing the total final contract construction cost for apportioning the cost of said project according
to the provisions of this paragraph.
5. The Developer shall pay for all design, inspection, staking, testing and construction engineering costs
associated with SAP 70-612-09 as described in recital "B" of this Agreement. The City shall provide

inspection services for the project and submit copies of required documentation to the County for approval. The
County shall make no reimbursement to the Developer or City for any of the services listed in this paragraph.
6. The County shall obtain the necessary wetland mitigation permits to complete the project. The County
shall obtain the right-of-way and easements outside of the Developer's property as required for construction by
November 30, 2005. The Developer is responsible for obtaining MPCA NPDES Permit, MPCA Sewer
Extension Permit, MDH Watermain Extension Permit, Prior Lake Spring Lake Watershed District (PLSLWD)
Permit and City approvals required to complete the project. The County shall provide the necessary technical
information to obtain the PLSL WD permit.
7. The County shall, based on the contract price, deposit with the City of Prior Lake one hundred percent
(100%) of the estimated County's share of the construction and engineering costs as partial payment within
thirty (30) days of execution of this Agreement.
The final amount of the County's share of construction and engineering costs of this Project shall be
determined and any amount due paid to the County upon completion of the Project and submittal to the City of
the County's final, itemized, statement of the project costs.
In the event the initial payment exceeds the County's share of these final costs, the City shall return such
overpayment to the County.
8. The City Engineer shall prepare monthly progress reports as provided in the specifications. A copy of
these reports shall be furnished to the County upon request.
9. In the event that a dispute arises, the County and the City agree that all disputes between them arising
out of or relating to this Agreement shall be submitted, upon agreement by both parties, to non-binding
mediation, unless the parties mutually agree otherwise, with the cost being shared equally.
10. All records kept by the City and the County with respect to this Project shall be subject to examination
by the representatives of each party hereto. All data collected, created, received, maintained or disseminated for
any purpose by the activities of the County or City pursuant to this Agreement shall be governed by Minnesota
Statutes Chapter 13, as amended, and the Minnesota Rules implementing such Act now in force or hereafter
adopted.

11. The County reserves the right not to issue any permits for a period of five (5) years after completion of
the Project for any service cuts in the roadway surfacing of the County Highway included in this Project for any
installation of underground utilities which would be considered as new work; service cuts shall be allowed for
the maintenance and repair of any existing underground utilities.
12. The City further agrees to provide any and all permanent or temporary right-of-way on City owned
property needed by Scott County for the completion of this Project.
13. The City shall, at its own expense, remove and replace all City owned signs that are within the
construction limits of this Project.
14. Upon completion of this Project, the County, at its expense, shall place the necessary signs and the City,
at its expense, shall provide the enforcement for the prohibition of on-street parking on that portion of CSAH 12
constructed under this Proj ect.
No modification of the above parking restrictions shall be made without first obtaining a resolution from
the County Board of Commissioners permitting said modification.
15. Upon completion of this project, the City, at its expense, shall maintain all storm sewer appurtenances,
including all storm water quality (NURP) ponds.
16. Neither the County, its officers, agents or employees, either in their individual or official capacity, shall
be responsible or liable in any manner to the City for any claim, demand, action or cause of action of any kind
or character arising out of, allegedly arising out of or by reason of the performance, negligent performance or
nonperformance of the hereinbefore described maintenance, restoration, repair or replacement work by the City,
or arising out of the negligence of any contractor under any contract let by the City for the performance of said
Work; and the City agrees to defend, save and keep said County, its officers, agents and employees harmless
from all claims, demands, actions or causes of action arising out of negligent performance of the Project by the
City, its officers, agents or employees.
17. It is further agreed that neither the City, its officers, agents or employees, either in their individual or
official capacity, shall be responsible or liable in any manner to the County for any claim, demand, action or

cause of action of any kind or character arising out of, allegedly arising out of or by reason of the performance,
negligent performance or nonperformance of the hereinbefore described maintenance, restoration, repair or
replacement work by the County, or arising out of the negligence of any contractor under any contract let by the
County for the performance of said work; and the County agrees to defend, save and keep said City, its officers,
agents and employees harmless from all claims, demands, actions or causes of action arising out of negligent
performance by the County, its officers, agents or employees relating to this Project.
18. It is further agreed that each party to this Agreement shall not be responsible or liable to the other or to
any other person whomsoever for any claims, damages, actions, or causes of actions of any kind or character
arising out of, allegedly arising out of or by reason of the performance, negligent performance or
nonperformance of any work or part hereof by the other as provided herein; and each party further agrees to
defend at its sole cost and expense any action or proceeding commenced for the purpose of asserting any claim
of whatsoever character arising in connection with or by virtue of performance of its own work as provided
herein.
19. It is further agreed that any and all employees of the City and all other persons engaged by the City in
the performance of any work or services required or provided herein to be performed by the City shall not be
considered employees, agents or independent contractors of the County, and that any and all claims that mayor
might arise under the Worker's Compensation Act or the Unemployment Compensation Act of the State of
Minnesota on behalf of said City employees while so engaged and any and all claims made by any third parties
as a consequence of any act or omission on the part of said City employees while so engaged in any of the work
or services provided to be rendered herein shall be the sole responsibility of the City shall in no way be the
obligation or responsibility of the County.
19.1 Any and all employees of the County and all other persons engaged by the County in the performance of
any work or services required or provided for herein to be performed by the County shall not be considered
employees, agents or independent contractors of the City, and that any and all claims that mayor might arise
under the Worker's Compensation Act or the Unemployment Compensation Act of the State of Minnesota on
behalf of said County employees while so engaged and any and all claims made by any third parties as a
consequence of any act or omission on the part of said County employees while so engaged in any of the work

or services provided to be rendered herein shall be the sole responsibility of the County and shall in no way be
the obligation or responsibility of the City.
20. The provisions of M.S. 181.59 and of any applicable local ordinance relating to Civil Rights and
discrimination and the affirmative action policy statement of Scott County and the City shall be considered a
part of this Agreement as though fully set forth herein.
