Provide clean and safe drinking water for the community and protect drinking water resources. Transportation and mobility 2. Integrate trails to link neighborhoods with city and regional assets. DISCUSSION: Introduction The purpose of this agenda item is to have the City Council consider approval of an agreement for the construction of watermain with the Shakopee Mdewakanton Sioux Community (SMSC). History The City Council approved a water purchase and facility expansion agreement between the City of Prior Lake and the SMSC on November 20, 2017. As part of that agreement, the City committed to extend watermain from Well No. 6 to the new joint Water Treatment Plant (WTP). The new WTP is anticipated to be completed in late 2019 and it is therefore necessary to complete the extension of raw watermain from Well No. 6 to the WTP next year. Well No. 6 is not connected to the City’s water treatment plant. Due to its location on the west side of the City, it was cost prohibitive to extend raw watermain from its location to the City’s water treatment plant located on the east side of the City. This well is therefore used on the rare occasion during the summer when the City’s water demand exceeds what the City can produce at the water treatment plant. Current Circumstances The SMSC is currently constructing utility improvements along the south side of CR82 to serve their newest residential subdivision located south of CR82 and west of Stemmer Ridge Road. These improvements include sanitary sewer forcemain and watermain. The location of these improvements is in the same area where the City’s raw watermain needs to be installed for connection to Well No. 6. For ease of construction and to be as cost effective as possible, the City and SMSC have worked together to get our associated improvements constructed together as one project. For the City, this will result in the construction of the raw watermain from the WTP entrance east to the west side of Stemmer Ridge Road where it will be connected to the existing raw watermain that was previously installed by the City at that intersection. The raw watermain will then be connected to the existing watermain on the east side of Stemmer Ridge Road and extended further east to the SMSC’s Tawapa development. When the Tawapa development was constructed a few years ago the City worked with the SMSC to get the raw watermain constructed along their development the remainder of the way east to the intersection of CR82 and Bobcat Trail. When the current project is finished later this year, the City’s raw watermain will be complete from the WTP east to the southeast corner of CR82 and Bobcat Trail. The City will be responsible for constructing the remaining portion of the raw watermain from that corner north, across CR82, to Well No. 6. That project is scheduled for construction in 2019. ISSUES: As part of this project, the SMSC will be constructing a pedestrian trail along the south side of CR82. This trail will be extended from the existing trail system located at the intersection of CR82/CR83 west to Stemmer Ridge Road. Completing the trail in this location will fill in a gap in the trail network and will facilitate access for pedestrians along CR82 to Stemmer Ridge Road and to the Spring Lake Regional Park. The cost of constructing this segment of trail is being funded completely by the SMSC. FINANCIAL IMPACT: The 2019 Capital Improvement Plan (CIP) includes $1,300,000 for the extension of watermain from Well No. 6 to the new WTP. The City’s cost for installing the new watermain along CR82 as part of the SMSC’s current project is $723,034.61. The City’s cost is broken down as follows: City’s Watermain Construction $578,427.69 25% Engineering & Admin Costs $144,606.92 Total Cost $723,034.61 The remaining portion of the budget of ($1,300,000 - $723,034.61= $576,965.39) will be used for the City’s project in 2019 to extend the new watermain north of CR82 along Bobcat Trail to Wood Duck Trail and to the connection to Well No. 6. Funding for this work will come from the City’s Trunk Water Fund. ALTERNATIVES: 1. Approve a resolution Approving a Cooperative Agreement between the City of Prior Lake and the Shakopee Mdewakanton Sioux Community for the construction of watermain along CR82. 2. Deny this item for a specific reason and provide staff with direction. 3. Table this item until some date in the future. The Plant will be capable of supplying additional water to the City and will have future expansion available to meet the City’s long-term needs; and WHEREAS, The City is authorized to enter into contracts pursuant to Minnesota Statutes Chapter § 412.221; and WHEREAS, WHEREAS, As part of the City’s previous agreement with the SMSC for the construction of the Water Treatment Plant the City committed to connect its Well No. 6 to the new Water Treatment Plant; and The Parties desire to enter into an Agreement regarding the construction of raw watermain along CR82 between the Water Treatment Plant and Bobcat Trail. NOW THEREFORE, BE IT HEREBY RESOLVED BY THE CITY COUNCIL OF PRIOR LAKE, MINNESOTA as follows: 1. The recitals set forth above are incorporated herein. 2. The City Council hereby approves a Cooperative Agreement between the City of Prior Lake and the Shakopee Mdewakanton Sioux Community and authorize the Mayor and City Manager to execute the same. RECITALS A. The SMSC and the City seek to extend utilities from the Water Treatment Facility to east of County State Aid Highway (“CSAH”) 83 along CSAH 82, also known as 154 th Street , as shown on the SMSC Engineer's plans and specifications dated August 9, 2018, incorporated herein by reference (“Plans and Specifications”). The extension includes grading, paving, curb and gutter, storm sewer, trails, sanitary sewer and other related improvements (collectively the “Project”). The Project also includes construction of the City watermain (“City Utilities”). B. The SMSC and the City entered into that certain document entitled “Water Purchase and Facility Expansion Agreement Between the Shakopee Mdewakanton Sioux Community and the City of Prior Lake” dated November 20, 2017, to memorialize the parties’ intent. C. The Project is located within CSAH 82 right-of-way owned by Scott County and lies within the corporate limits of the City; D. Bids to construct the Project have been received by the SMSC. The SMSC’s Engineer has prepared a bid tabulation for the Project with a low bid showing the total cost of one million two hundred eighty four thousand five hundred forty one dollars and thirty five cents ($1,284,541.35). A copy of said bid tabulation is attached as Exhibit A; E. The City portion of the costs (excluding project indirect costs) based on the low bid have been computed to be a sum of five hundred seventy eight thousand four hundred twenty- seven dollars and sixty-nine cents ($578,427.69) based on the calculations shown on the Division of Cost Summary attached as Exhibit B; F. The parties desire to enter into this Agreement to establish their respective duties and obligations for the funding, construction, and maintenance of the Project; G. The City is authorized to enter into this Agreement pursuant to Minnesota Statutes § 471.59; H. For purposes of this Agreement Force Majeure shall have the following meaning: Force majeure means a condition beyond the reasonable control of the SMSC or the City which could not, by reasonable diligence, have been avoided. Such conditions include natural disaster, 2 of 10 fire, accidents, actions or decrees of governmental bodies, acts of God, wars (declared and undeclared), acts of terrorism, riots, embargoes, civil insurrection, and other events of force majeure, but shall not include a lack of funds or insufficiency of resources caused by lack of funds. NOW, THEREFORE, in consideration of their mutual covenants the parties agree as follows: 1. EFFECTIVE DATE. This Agreement shall become effective on the date set forth above. 2. ALIGNMENT. Both the SMSC and the City of Prior Lake agree to the alignment and design of the Project and City Utilities as shown in the Plans and Specifications. 3. CONTRACTOR. The SMSC has received bids for the Project and will enter into a contract with the lowest responsible bidder (“Contractor”) at the unit prices specified in the Contractor’s bid. The SMSC shall include the Plans and Specifications as part of the contract. 4. CONTRACT ADMINISTRATION. The SMSC shall supervise construction and administer the contract and shall be the paying agent for all payments due to the Contractor and any other individual or entity hired in relation to the construction of the Project. The SMSC shall have authority to initiate and determine change orders, supplemental agreements and final quantities. The City Engineer shall supervise construction of the City Utilities and shall cooperate with the SMSC Engineer and the SMSC staff at their request. 5. COST. SMSC shall be responsible for the full cost of the design, construction and materials for the Project, including but not limited to street, trail, curb and gutter, valves, manhole covers, catch basins, and hydrants, except that the City shall reimburse the SMSC for the costs of the City Utilities (including materials, installation and applicable restoration (“Cost”) as well as indirect costs in the amount of 25% of the Cost) as set forth in attached Exhibit B. The final quantities as measured by the SMSC Engineer and the unit prices set forth in the Contractor’s bid shall govern in computing the Project costs. The estimated total project cost (construction cost plus indirect cost) for Prior Lake is seven hundred twenty three thousand thirty-four dollars and sixty- one cents ($723,034.61). 6. CITY REIMBURSEMENT. The City has the project budgeted for 2019 and the SMSC agrees to delay invoicing of the City until January 2019. The SMSC shall track the quantities and provide the Contractor payment estimates and updates to the City. The City shall pay invoices to the SMSC within thirty (30) days of receipt. 7. INSPECTION. The City shall provide inspection of City Utilities to ensure the work meets the Plans and Specifications. The City shall report workmanship or materials issues to the SMSC Engineer. The SMSC Engineer has final authority related to correction of the work of the Contractor. The SMSC shall be responsible for inspecting all of the Project except for the City Utilities. 8. COMPLETION OF THE PROJECT. Construction of the City Utilities portion of the Project shall be completed within twelve (12) months of the date of this Agreement. 3 of 10 9. REPAIR AND MAINTENANCE. After construction is complete, SMSC shall be responsible for the repair and maintenance of the SMSC Utilities. The SMSC shall be responsible for, and bear the full cost of, restoring any impacted City and County infrastructure to an “as was or better” condition subject to inspection and acceptance by the City. The City shall be responsible for maintenance and repair of the City Utilities. The City shall be responsible for, and bear the full cost of, restoring any impacted SMSC and County utilities or infrastructure to an “as was or better” condition subject to inspection and acceptance by the SMSC. 10. ACTS AND OMISSIONS. Each party shall be responsible for its own acts and omissions and the results thereof to the extent authorized by law. Nothing in this Agreement constitutes a waiver by the City or the SMSC of any statutory or common law, defenses, immunities, or limits on liability. In no event shall the obligations of the City for a tort claim exceed the amount that the City would be obligated to pay under the provisions and limitations of Minn. Stat. Chap 466. In no event shall the obligations of the SMSC for a tort claim exceed the amount the SMSC would be obligated to pay under the provision and limitations of the SMSC Tort Claims Ordinance. 11. DATA PRACTICES. All data created, collected, received, maintained or disseminated by the City for any purpose in the course of this Agreement is governed by the Minnesota Government Data Practices Act, Minn. Stat. Ch. 13, any other applicable state statute, or any state rules adopted to implement the act, as well as federal regulations on data privacy. The SMSC asserts that it is not subject to the Minnesota Government Data Practices Act. 12. LIMITATION OF REMEDIES. In the event of a breach of the Agreement, neither party shall be entitled to recover punitive, special or consequential damages or damages for loss of business. 13. ASSIGNMENT. Neither party shall assign this Agreement, nor any interest arising herein, without the prior written consent of the other party. 14. SEVERABILITY. The provisions of this Agreement are severable. If any portion hereof is, for any reason, held by a court of competent jurisdiction to be contrary to law, such decision shall not affect the remaining provisions of this Agreement. 15. WAIVER. No action nor failure to act by the City or the SMSC shall constitute a waiver of any right or duty afforded any of them under the Agreement, nor shall any such action or failure to act constitute an approval of or acquiescence in any breach thereunder, except as may be specifically agreed in writing. 16. AUTHORIZATION. This Agreement and all of its terms have been authorized and approved by the SMSC’s Business Council by Resolution No. 09-12-18-0_, adopted the 12 th day of September, 2018, attached as Exhibit C. This Agreement and all of its terms have been authorized and approved by the City Council of the City of Prior Lake by Resolution ________, adopted the ____ day of ___________, 2018, attached as Exhibit D. 4 of 10 17. NON-IMPAIRMENT. SMSC’s Business Council will not initiate enactment of any law, ordinance, rule, or regulation that would impair the obligations of the SMSC under this Agreement. 18. REPRESENTATIONS AND WARRANTIES REGARDING IMPAIRMENT. The Business Council represents and warrants that it will not initiate any action to impair this Agreement, including an action to rescind this Agreement or any waiver contained herein except where the Business Council is acting on behalf of the SMSC as the non-breaching party in a breach of this Agreement. 19. DISPUTE RESOLUTION. The parties may meet if agreed to by both to attempt to negotiate an amicable resolution of any dispute arising from this Agreement. 20. NON-WAIVER OF IMMUNITY. Nothing in this agreement shall constitute a waiver of the SMSC’s sovereign immunity to suit. 21. NOTICES. SIGNING OF AGREEMENT. This Agreement may be signed in counterparts and on different dates by each party without affecting the validity thereof. 23. INTEGRATION. The entire and integrated agreement of the parties contained in this Agreement shall supersede all prior negotiations, representations, or agreements between the parties regarding the subject matter hereof, whether written or oral. 24. RECITALS. The recitals set forth in paragraphs A through H are incorporated herein and made a part hereof.
