Agreement with T-Mobile -Tower Street Water Tower
RECOMMENDED ACTION:
Adopt a resolution authorizing the Mayor and City Manager to execute an amendment to the T
Mobile Communications Facilities Lease Agreement.
BACKGROUND:
The City and T-Mobile are parties to a Communications Facilities Agreement relating to the
installation of communications antennas on the Tower Street Water Tower and leased space for
a ground shelter on the property located at 4741 Tower Street NE. An original agreement was
entered into May 30, 2000, was renewed June 1, 2020 and amended April 5, 2021.
T-Mobile seeks to amend the terms of the agreement to lease additional ground space for the
purpose of installing a generator shelter. The City holds several lease agreements with
Communication Companies to allow use of the City's water towers to mount antenna with
ground equipment shelters including generator shelters. The amendment will lease additional
ground space to T-Mobile for an increase in the annual rent.
A copy of the amendment is included with this agenda report. T-Mobile has agreed to the terms
of the amendment and will be executed via DocuSign after Council approval.
FINANCIAL IMPACT:
The base rent shall be increased by Eight and 00/100 Dollars ($8.00) per square foot for an
additional Three Hundred Eighty Two and One Half (382.5) square feet of ground space for a
total of Three Thousand Sixty and 00/100 Dollars ($3,060.00) per year. Communications
Company shall make a prorated payment to reflect the increased rent for the current rental year,
which shall be due and payable within ninety (90) days of the Effective Date.
ALTERNATIVES:
1.Motion and second as part of the Consent Agenda to adopt a resolution authorizing the
Mayor and City Manager to execute an amendment to the Communications Facilities
Agreement with T-Mobile for the Tower Street Water Tower property.
2.Motion and second to remove this item from the Consent Agenda for additional
discussion.

SECOND AMENDMENT TO COMMUNICATION FACILITIES LEASE AGREEMENT
This Second Amendment to Communication Facilities Lease Agreement (“Second Amendment”)
is made and entered into as of the date of the last signature on this Second Amendment(“Effective Date”),
by and between the City of Prior Lake, a Minnesota municipal corporation (hereinafter referred to as the
City”) and T-Mobile Central LLC, a Delaware limited liability company (hereinafter referred to as
Communications Company”).
RECITALS
WHEREAS, the City and Communications Company entered into that certain Communication
Facilities Lease Agreement dated December 7, 2020, as amended by the First Amendment to
Communication Facilities Lease Agreement dated April 5, 2021 (“First Amendment”) (collectively the
Agreement”) for space on the City’s Tower Street Water Tower (“Water Tower”) and space adjacent to
the Water Tower on City’s Property located at 4741 Tower Street NE, Prior Lake, MN 55372 (“Property”)
for the purpose of constructing, installing, removing, replacing, maintaining, and operating a
communications facility (“Facility”); and
and
WHEREAS, the City and Communications Company hereby seek to amend the terms of the
Agreement to lease additional ground space to the Communications Company at the Property for the
purpose of installing a generator shelter.
NOW, THEREFORE, in consideration of the foregoing recitals and for other good, valuable and fair
consideration, the receipt and sufficiency of which is hereby acknowledged the parties agree as follows:
1. Consent of City. The City hereby consents to the Communications Company’s proposed leasing of
additional ground space at the Property for the purpose of installing a generator shelter pursuant
the terms of this Second Amendment.
2. Definitions. All terms defined in the Agreement shall have the same definitions when used in this
Second Amendment.
3. Permitted Equipment. The City hereby grants Communications Company the right and consents
to the Communications Company leasing additional ground space at the Property for the purpose
of installing a generator shelter on land legally described and depicted on Exhibit B-2 herein.
4. Fees and Expenses. Communications Company shall pay all of the City’s costs and expenses
relating to Communications Company’s leasing of additional ground space and installation of the
generator shelter, as shown in Exhibit B-2, or revised plans. If applicable, including building
permits, administrative and construction oversite costs and/or City’s Attorney fees.
5. Rent Increase. As additional consideration for the proposed additional ground space and other
rights set forth in this Second Amendment, commencing on the Effective Date, the base rent shall
be increased by Eight and 00/100 Dollars ($8.00) per square foot for an additional Three Hundred
Eighty Two and One Half (382.5) square feet of ground space for a total of Three Thousand Sixty
and 00/100 Dollars ($3,060.00) per year. Communications Company shall make a prorated

within ninety (90) days of the Effective Date. For avoidance of doubt, this amount shall be
increased as set forth in the Agreement.
6. Terms and Conditions of Lease. All other terms, covenants, and conditions of the Agreement
remain in full force and effect except as modified by this Second Amendment. The recitals set
forth above are incorporated herein and made a part hereof as if they were set forth in the body
hereof.
7. This Second Amendment may be executed in any number of counterparts, each of which shall be
deemed an original, but all of which together shall constitute a single instrument. Signed facsimile
and electronic copies of this Second Amendment shall legally bind the parties to the same extent
as original documents.

FROM AVAILABLE RECORDS. THE ARCHITECT/ENGINEER AND OWNER ASSUME NO RESPONSIBILITY WHATSOEVER AS
TO THE SUFFICIENCY OR ACCURACY OF THE INFORMATION SHOWN ON THE PLANS OR THE MANNER OF THEIR
REMOVAL OR ADJUSTMENT. CONTRACTOR SHALL BE RESPONSIBLE FOR DETERMINING EXACT LOCATION OF ALL

REPORTED TO THE ARCHITECT/ENGINEER FOR RESOLUTION AND INSTRUCTION, AND NO FURTHER WORK SHALL BE

CONTRACTOR SHALL CALL PUBLIC/PRIVATE UTILITY LOCATE FOR UTILITY LOCATIONS 48 HOURS PRIOR TO START OF

7. ALL NEW AND EXISTING UTILITY STRUCTURES ON SITE AND IN AREAS TO BE DISTURBED BY CONSTRUCTION SHALL BE
ADJUSTED TO FINISH ELEVATIONS PRIOR TO FINAL INSPECTION OF WORK.
8. THE BUILDING DEPARTMENT ISSUING THE BUILDING PERMIT SHALL BE NOTIFIED AT LEAST TWO WORKING DAYS PRIOR

12. NEW GRADES NOT IN BUILDING AND DRIVEWAY IMPROVEMENT AREA TO BE ACHIEVED BY FILLING WITH APPROVED
CLEAN FILL AND COMPACTED TO 95% OF STANDARD PROCTOR DENSITY.
13. ALL FILL SHALL BE PLACED IN UNIFORM LIFTS. THE LIFTS THICKNESS SHOULD NOT EXCEED THAT WHICH CAN BE

23. ALL EQUIPMENT FURNISHED AND WORK PERFORMED UNDER THE CONTRACT DOCUMENTS SHALL BE GUARANTEED
AGAINST DEFECTS IN MATERIALS OR WORKMANSHIP FOR A PERIOD OF ONE (1) YEAR FROM THE DATE OF FINAL
