AGENDA ITEM: Resolution Approving an Amendment to the Development Agreement for
Ridgewood Court
RECOMMENDED ACTION:
Motion and second, as part of the consent agenda, approving a resolution approving the amended
Development Agreement for Ridgewood Court.
BACKGROUND:
On April 28, 2026 the City Council approved a combined preliminary and final plat, easement
vacation and development agreement for a development known as Ridgewood Court. The
Development Contract was recorded in the Office of the Scott County Recorder on June 24, 2026
as Document No. 1225430.
The final plat consists of two developable lots for residential development (Lots 1 and 2,
Ridgewood Court). The subject property is located to the west of Ponds Parkway SE, north of
Mushtown Road, and southeast of Ridgewood Court SE.
Current Circumstances
According to Paragraph 12 and Exhibit B of the Development Contract, the Developer
(Mesenbrink Construction & Engineering Inc.) shall pay, including but not limited to, Construction
Observation Deposit and Security for streets, sidewalks and trails.
Section 9-130 of Prior Lake City Code states, before a Final Plat is signed by the city, the
subdivider shall pay all applicable fees and enter into the city's standardized development
agreement setting forth the conditions under which the plat is approved.
The Construction Observation Deposit and Public Improvement Security total $30,250.00. The
Developer has submitted a check to the City in this amount; however, the Developer proposes to
amend the Development Agreement to defer the escrow and security amounts due until municipal
water service is available and the parcels are eligible for development, as the City does not
currently have municipal water service available to serve Ridgewood Court.
Conclusion
City staff have worked with the Developer/Applicant on the proposed amendment to delay the
time at which the $5,000.00 Construction Observation Deposit and the $25,250.00
Streets/Sidewalks/Trails Security will become due. City staff is recommending the total amount of
escrow and security ($30,250) shall become due and payable prior to the issuance of a grading
permit or building permit on Lot 1 or Lot 2, Ridgewood Court, according to the recorded plat, Scott
County, Minnesota.

FINANCIAL IMPACT:
No financial impact is anticipated as a result of this action. The required amount of construction
observation escrow and public improvement security will be collected prior to the proposed
development.
ALTERNATIVES:
1. Motion and second, as part of the consent agenda, approving a resolution approving the
Development Agreement amendment for Ridgewood Court.
2. Remove this item from the consent agenda for additional discussion.

A RESOLUTION APPROVING AN AMENDMENT TO THE
DEVELOPMENT AGREEMENT FOR RIDGEWOOD COURT
Motion By: Second By:
WHEREAS, in accordance with Minnesota Statue, the Planning Commission held a
public hearing regarding a Combined Preliminary and Final Plat and
Easement Vacation for a development known as Ridgewood Court on
April 6, 2026; and
WHEREAS, on April 28, 2026, the Prior Lake City Council considered and approved
Resolution No. 26-067 approving the combined preliminary and final
plat, easement vacation and development agreement for a development
known as Ridgewood Court; and
WHEREAS, the City and Developer entered into a Development Contract for
Ridgewood Court which was recorded in the Office of the Scott County
Recorder on June 24, 2026, as Document No. 1225430; and
WHEREAS, paragraph 12 and Exhibit B of the Development Contract identify Fees
and Charges the Developer shall pay, including but not limited to,
Construction Observation Deposit and Security for streets, sidewalks
and trails; and
WHEREAS, Prior Lake City Code Article V. – Required Improvements and Charges,
Sec. 9-130 – General Provisions (b) states, before a final plat is signed
by the city, the subdivider shall pay all applicable fees and enter into the
city’s standardized development agreement setting forth the conditions
under which the plat is approved; and
WHEREAS, the City of Prior Lake does not have municipal water service currently
available to serve Ridgewood Court; and
WHEREAS, the City and Developer desire to amend the Development Contract to
acknowledge the Developer payment for Construction Observation
Deposit and Security for streets, sidewalks and trails shall not be
required until such time as municipal water service is available and the
Developer requests and grading or building permit.
NOW THEREFORE, BE IT HEREBY RESOLVED BY THE CITY COUNCIL OF PRIOR
LAKE, MINNESOTA:
1. The Mayor and City Manager are authorized to execute the First Amendment to
the Development Contract for Ridgewood Court (Project #26-000004).
2. The Construction observation deposit ($5,000) and streets/sidewalks/trails
security ($25,250) in the total amount of $30,250 shall be due and payable prior to
the issuance of a grading permit or building permit on Lot 1 or Lot 2, Ridgewood
Court, according to the recorded plat, Scott County, Minnesota.
3. Except as herein amended, the Development Contract shall remain in full force
and effect.

FIRST AMENDMENT
TO
DEVELOPMENT CONTRACT
RIDGEWOOD COURT
PROJECT #26-000004
THIS FIRST AMENDMENT TO DEVELOPMENT CONTRACT (“Amendment”) is made this ______
day of _______________, 2026, by and between the CITY OF PRIOR LAKE, a Minnesota municipal
corporation (“City”), and Mesenbrink Construction & Engineering, Inc. (“Developer”).
RECITALS
A. The Prior Lake City Council approved Resolution No. 26-067 on Aril 28, 2026 approving the combined
preliminary and final plat, easement vacation and development agreement for a development known as
Ridgewood Court;
B. The City and Developer entered into a Development Contract for Ridgewood Court which was recorded
in the Office of the Scott County Recorder on June 24, 2026 as Document No. 1225430 (“Development
Contract”);
C. Paragraph 12 and Exhibit B of the Development Contract identify Fees and Charges the Developer shall
pay, including but not limited to, Construction Observation Deposit and Security for streets, sidewalks
and trails;
D. Prior Lake City Code Article V. – Required Improvements and Charges, Sec. 9-130 – General Provisions
(b) states, before a final plat is signed by the city, the subdivider shall pay all applicable fees and enter
