DISCUSS DETAILS OF ANNUAL CITY CO NCIL WORKSHOP NOVEMBER 15. 1993 Each year the City Council conducts a weekend workshop/retreat. The purpose of the workshop is to provide the Council with an opportunity to develop a consensus on major issues, establish goals for the coming year and foster team building. The purpose of this memorandum is to request Council direction on preliminary preparation of the 1994 workshop, including the appropriate workshop dates, location and agenda. Last year the City Council conducted its annual workshop on April 2 and 3 at Radisson Conference Center in Plymouth. The workshop commenced at noon, Friday and was concluded by 6:00 p.m. on Saturday. This year individual Councilmembers have expressed the desire to conduct the workshop as soon as possible in 1994, particularly considering that there are two new Councilmembers on the Council. I have attempted to identify Friday/Saturday combinations during the month of January which are not followed by a Council meeting on the subsequent Monday. The following meet that criteria: January 7 - 8; 21 - 22; and 28 - 29. I have spoken with three Council members and two Councilmembers elect and find that four of the five prefer January 21 - 22. I believe that Councilmembers elect Schenck and Greenfield will be present at the November 15 meeting to provide their input on this subject. A second issue is location of the workshop. Last year the workshop was conducted at the Radisson hotel and conference center. The approximate cost of the workshop was $2500. The overnight format seems to be particular1y well suited from a team building perspective. Since we have two new Councilmembers this year, and because one of the subjects recommended for discussion is team building, I believe that the overnight format would be beneficial. -1- 4629 Dakota St. S.E., Prior Lake, Minnesota 55372 / Ph. Radisson Conference Center - Plymouth 2. Northland Inn - Brooklyn Park 3. Riverwood Conference Center - Monticello 4. Meeting Point Conference Center - Chaska (not to be confused with the I DS meeting center in Chaska) We will try to make arrangements once the desired fadlities are identified. Attached is a list of potential topics for discussion at the 1994 workshop. I believe that team building, both within the Council and between the Council and staff should be given serious attention. ISSUES: With respect to the team building portion of the workshop, I have asked Jim Brimeyer for a quotation for offering a staff team building session prior to the workshop. The workshop would Include a team building session for Coundlmembers only, and a Coundl/Staff team building session. The workshop has historically been a unique opportunity for the Council to focus on "macro and micro" issues facing the community. The focus on team building is certainly an important element in our ability to effectively function over the next few years. By the same token the focus on micro issues such as goals and objectives for the coming year, development time schedules, Dakota Community and cooperative efforts with other agencies have provided the staff with important cues from the Council on how to approach sensitive but important issues during the coming year. In short, the workshop is highly valuable to both staff and City Council. ACTION REQUIRED: The Council should provide direction to the staff with respect to the date, location, agenda and whether a consultant should be used to help facilitate various aspects of the workshop. "Cost of Developer Improvements" means the cost of Developer Improvements as estimated by the City Engineer on Exhibit A in the City Engineer's sole and absolute discretion. i. "Developer's Installed and Financed Improvements" means the construction work to be performed by Developer on the Property including, but not limited to, the trees, grading, topsoil and sodding, sidewalks and driveways, curb-stop adjustments. street lighting, streets, curb and gutter, water supply, sanitary sewer, storm sewer/storm water improvements, drainage, Permanent Street Improvements and Traffic Signing Improvements to be performed, installed or constructed upon the Property pursuant to this Agreement, the plans, specifications, drawings and related documents, and in accordance with the policies and ordinances of City as City may adopt from time to time. k. "Event of Default" shall mean whenever it is used in this Agreement anyone or more of the following events: (i) failure by Developer to timely pay all real property taxes assessed with respect to the Property; (ii) failure to construct the Developer's Improvements pursuant to the terms, conditions and limitations of this Agreement; (ill) failure by Developer to observe or perform any covenant, condition, obligation or agreement on its part to be observed or performed under this Agreement; (iv) transfer of any interest in Developer or (v) failure to correct warranty deficiencies. add "...j (vi) if the term of the Letter of Credit will expire prior to the expiration of the Warranty Period, the failure by Developer to replace the Letter of Credit at least 15 days prior to its expiration." 1. "First Completion Date" means July 15. 19~. m. "Second Completion Date" means July 15. 1925. n. "Including" means including, but not limited to. o. "Letter of Credit" means an irrevocable letter of credit in the amount of $_843,285.81_ (125% of Cost of Improvements) in the form of Exhibit B. p. "Permanent Street Improvements" means permanent street surfacing in accordance with the policies and ordinances of City as City may adopt from time to time. q. "Policy for Private Development Projects" means the policy for such projects adopted by the City Council as may be amended the current policy of which is attached as Exhibit F. Page 2 ,. ACCEJJrANCE OF SUBDIVISION AND DEVELOPER IMPROVEMENTS. delete add City will accept the Subdivision after it has been completed in accordance with the provisions of this Agreement. the policies and ordinances of City, as City may adopt from time to time, and alllocal, state and federallaws and regulations. Developer shall furnish certificates of completion for the completed Subdivision certifying that the work has been completed in accordance with the tenns of this Agreement and shall also furnish mylar "as-built" reproducibles for all phases of construction included in this Agreement. Prior to acceptance of the completed Subdivision by the City Engineer, Developer must furnish to City a Letter of Credit guaranteeing satisfactory performance of the Developer Improvements in an amount equal to 25!& of the original cost of the Developer Improvements which shall be in force for one year following acceptance of the Developer Improvements ("the Warranty Period"). Developer shall furnish a progress schedule for the construction of the Developer's Improvements. Requests for progress payments shall be made in writing by Developer to the City Engineer. Upon authorization of the City Engineer, the Developer may draw down on the Letter of Credit in an amount not to exceed the amount of the approved progress payments. Said approval by the City Engineer shall be in writing. Proposed Paragraph: "Developer shall furnish a progress schedule for the construction of the Developers Improvements. Requests for progress payments shall be made in writing by Developer to the City Engineer. Upon written authorization of the City Engineer, the Developer may pay the amount of the approved progress payments and the Letter of Credit shall automatically be reduced by the full amount of the approved progress payments so paid; provided, however, that the Letter of Credit shall not be reduced to less than 25% of the Cost of Developer Improvements prior to the expiration of the Warranty Period." Upon fmal completion of the Developer Improvements, the City Engineer shall accept the completed improvements in writing. The Warranty Period shall begin effective the date that the City Engineer accepts the completed improvements, in writing. 8. RELEASE. HOLD HARMLESS. Developer releases from and covenants and agrees that City and the governing body members, officers, agents, servants and employees thereof (hereinafter for purposes of this paragraph, the "indemnified parties") shall not be liable for and agrees to indemnify and hold hannless the indemnified parties against any 10ss or damage to property or any injury to or death of any person occurring at or about or resulting from any defect in the Property or Developer Improvements. 9. DEFAULT. Whenever an Event of Default occurs, City may take anyone or more of the Page 8
