INTRODUCTION:
Scott County has improved CSAH 44 (160th Street)
between T.H. 13 to the City's easterly City limits. The
project included the widening and reconstruction of CSAH
44 and CSAH 39 (Franklin Trail) intersection. A Traffic
Control Signal Agreement has been drafted for the
operation of the new traffic control signal system and
integral street lights at the intersection of CSAH 44 and
CSAH 39 (Franklin Trail). The purpose of this agenda item
is to approve this agreement between Scott County and the
City of Prior Lake.
BACKGROUND:
On June 19, 1995, the Council approved plans and
specifications for upgrading of CSAH 44 to a four lane
urban design roadway and approved a cooperative
agreement with Scott County and the City. The upgrading
of CSAH 44 included the construction of a traffic control
signal at the intersection of Fish Point Road and CSAH 44,
but not at the Franklin Trail and CSAH 44 intersection. At
the time of design, the Franklin Trail and CSAH 44
intersection did not meet the MnDOT warrants for a traffic
control signal.
Subsequently, the City requested a traffic control signal for
the Franklin Trail and CSAH 44 intersection and the
County conducted a Signal Justification Study. The signal
warrant analysis showed that the minimum vehicular traffic
volume was met and the volume over a four hour period

was met. Also, the traffic volumes for this intersection are
expected to grow because of future development in the
area. Because of these factors a traffic control signal
system at the intersection of CSAH 44 and CSAH 39 was
clearly justified. By this time it was too late to be included
in the plans for the CSAH 44 improvement. The County
agreed to proceed with a separate contract.
The County prepared plans and specifications for the traffic
control signal system. The project was bid on June 27,
1996, and awarded by the Scott County Board on July 2,
1996. The cost of the signal system at CSAH 44 and
CSAH 39 was approximately $100,000 and as all four legs
of the intersection are County State Aid Highways, the
funding source was 100% County State Aid. The
construction of the signal system is virtually complete and
the signals became operational in late November of 1996.
DISCUSSION:
The cooperative agreement is between the County and City
for the operation of the traffic control signal and 2 integral
street lights. The City's responsibilities for the new traffic
control system, as stated in paragraph IV of the agreement,
include connection of the electrical power supply to the
service pad and providing the electricity for the operation
of the traffic control signal system and integral street lights.
The County shall maintain the signal system as well as the
integral street lights, with the exception that the City will
maintain the photoelectric controls, relamping, glassware,
and cleaning of the glassware.
The City contacted NSP to determine what the costs would
be to provide electricity to the traffic signal and street
lights, and to maintain the street lights. NSP responded
with the attached letter dated December 10, 1996. The
City's cost as estimated in NSP's letter would be $5.85 per
street light to provide electricity and maintain the lights.
Also, the City's cost would include an approximate $90 per
month charge to provide electricity to the traffic control
signal system. The City's total cost would be
approximately $112 per month or $1,344.00 yearly.
ISSUES:
The traffic control signal system has already been
constructed and put into operation. This agreement should
have been approved prior to construction of the signal.
However, this agreement is identical to two previous

agreements the City and County executed. The first was on
January 31, 1989 for the signal system at the intersection of
CSAH 42 and CR 83. The second was on October 19,1992
for the signal system at the intersection of CSAH 21 and
CSAH 39. The County paid for the installation of the signal
systems and integral street lights, the City is responsible for
the electrical power to operate them. This cost split is based
on Scott County's 'Policies for Cost Participation with
Municipalities, State of Minnesota, and Other Agencies',
adopted July 1986. This is the same policy which applies
to all other Scott County cities in such situations.
The alternatives are as follows:
1. Approve Resolution No. 97-XX.
2. Table this item for a specific reason.
3. Deny Resolution No. 97-XX for a specific reason.
The attached Resolution No. 97-XX is recommended for
approval for the operation of the traffic control signal
system and integral street lights at the intersection of
CSAH 44 and CSAH 39.
The cost of providing electrical power to the traffic control
signal system and integral street lights is estimated to be
approximately $1,344.00 annually.

WHEREAS, the City Council of Prior Lake requested that Scott County perform a
traffic signal warrant study for the intersection of County State Aid
Highway 39 and County State Aid Highway 44; and
WHEREAS, the warrant study has been completed and a traffic signal is warranted
at this intersection; and
WHEREAS, the attached Cooperative Agreement outlining the City's participation
in the operation of this traffic signal has been reviewed and approved
by the City Council.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF PRIOR
LAKE, that the appropriate City officials be hereby authorized to execute the attached
agreement and forward it back to Scott County for their execution.

RE: CSAH 44/CSAH 39 Signal System

Dear John:
The enclosed information is in response to your letter dated December 2, 1996 for NSP
to prepare a cost estimate for the above referenced project.
In the first item you requested installation of a three wire, 120/240 volt, single phase
service to the controller cabinet. The cost of the controller cabinet, service, etc. is the
responsibility of the customer and is provided by an electrical contractor. There would
be no charge from NSP to make the necessary connections. The electrician would
bring the service to and up our pole where we would make the secondary connections.
NSP will provide electrical energy for the operation of the traffic control signal and 2 -
200 watt HPS street lights as called for in the specifications. Energy costs for the street
lights is $3.70 per month, per light. For NSP to do complete maintenance, the charge is
$2.15 per month, per light for a total cost of $5.85 per light, per month. The monthly
energy cost for the metered traffic signals is a little harder to provide at this point. This
would depend on the wattage of the traffic lights, the number, and some controller
cabinets have heat. But to give you a ballpark estimate I would say $90 dollars plus or
minus per month. I looked at four different billing locations here in Mankato and they
ran anywhere from $68 -'$113 per month.
John, I will be gone from Friday the 6th of December until December 12th, but wanted
to get this to you quickly so you could prepare for the council meeting on the 16th. If
you have any further questions, please call me. Also keep in touch as to when the
project will be bid and who is awarded the bid.

AGREEMENT FOR
PARTICIPATION IN THE OPERATION OF
TRAFFIC CONTROL SIGNAL SYSTEM
AND INTEGRAL STREET LIGHT
THIS AGREEMENT, Made and entered into this
day of

and between the County of Scott, a body politic and corporate under the laws of the State of Minnesota,
hereinafter referred to as the "County" and the City of Prior lake, a body politic and corporate under the
laws of the State of Minnesota, hereinafter referred to as the "City".
WITN ESS ETH:
WHEREAS, It is considered mutually desirable to install a full traffic actuated traffic control signal
system with mast arms and integral street lights at the intersection of County State Aid Highway 39
(Franklin Trail) and County State Aid Highway 44 (160th Street) within the City; and
WHEREAS, The City has expressed its willingness to participate in the operating cost of said signal
system and integral street I ights; and
WHEREAS, Said work shall be carried out by the parties hereto under the provisions of I\;~inn. Stat.
See. 162.17.
NO\N, THEREFORE, IT IS AGREED AS FOLLOWS:
The County shall prepare the necessary plans, specifications, and proposals; shall perform the
required engineering and inspedion; and shall install, or cause the installation of a full-traffic actuated
traffic control signal system with mast arms and integral street lights at the intersection of County State
Aid Highway 39 (Franklin Trail) and County State Aid Highway 44 (160th Street). Such installation, as
described immediately above, shall be identified and accomplished under State Aid Project No. 70-639-
04, hereinafter referred to as the "project", all in accordance with said project plans and specifications
which plans and specifications are by this reference made a part hereof.

The term specifications as used herein shall mean the 1988 Edition of the Minnesota Department
of Transportation "Standard Specifications for Construction" and supplemental specifications and the
project special provisions.
III
The City agrees that any City license required to perform electrical work within the City shall be
issued to the Contractor or the County at no cost to the Contractor or the County. Electrical inspection
fees shall be not more than those established by the State Board of Electricity in the most recently
recorded Electrical Inspection Fee Schedule.
IV
The City shall install, or cause the installation of an adequate three wire, 120/240 Volt, single
phase, alternating current electrical power connection to the controller cabinet of the project at the sole
cost and expense or the City.
The City shall provide the electrical energy for the operation of the traffic control signal system
and integral street lights to be installed under the project, all at the sole cost and expense of the City.
V
The County shall advertise for bids for the construction of this project, receive and open bids
pursuant to said advertisement and enter into a contract with the successful bidder at the unit prices
specified in the bid of such bidder, according to law in such case provided for counties. The contract is
in form and includes the plans and specifications prepared by the County or its agents, which said plans
and specifications are by reference made a part hereof.
VI
The construction cost of the project shall be the contract cost and be paid by the County. It is
understood that the estimated construction cost stated hereinafter is for informational purposes only.
The estimated construction cost of this project is $100,000.

VII
The City shall not revise by addition or deletion, nor alter or adjust any component, part,
sequence, or timing of the aforesaid traffic control signal system; however, nothing herein shall be
construed as restraint of prompt, prudent action by properly constituted authorities in situations where a
part of such traffic control signal system may be directly involved in an emergency.
VIII
Upon completion of the work, the County shall maintain and repair said traffic control signal
system at the sole cost and expense of the County. Further, the County shall maintain the integral street
lights for the City except for maintaining photoelectrical controls, relamping, glassware, and cleaning of
the glassware thereof.
IX
The construction of this project shall be under the supervISion and direction of the County.
However, the City Engineer shall cooperate with the County Engineer and his staff at their request to the
extent necessary, but shall have no responsibility for the supervision of the work.
X
Neither the County, its officers, agents or employees, either in their individual or official capacity,
shall be responsible or liable in any manner to the City for any claim, demand, action or cause of action
of any kind or character arising out of, allegedly arising out of or by reason of the performance, negligent
performance or nonperformance of the hereinbefore described maintenance, restoration, repair or
replacement work by the City, or arising out of the negligence of any contractor under any contract let by
the City for the performance of said work; and the City agrees to defend, save and keep said County, its
officers, agents and employees harmless from all claims, demands, actions or causes of action arising out
of negligent performance by the City, its officers, agents or employees.

XI
It is further agreed that neither the City, its officers, agents or employees, either in their individual
or official capacity, shall be responsible or liable in any manner to the County for any claim, demand,
action or cause of action of any kind or character arising out of, allegedly arising out of or by reason of
the performance, negligent performance or nonperformance of the hereinbefore described maintenance,
restoration, repair or replacement work by the County, or arising out of the negligence of any contractor
under any contract let by the County for the performance of said work; and the County agrees to defend,
save and keep said City, its officers, agents and employees harmless from all claims, demands, actions or
causes of action arising out of negligent performance by the County, its officers, agents or employees.
XII
It is further agreed that each party to this agreement shall not be responsible or liable to the other
or to any other person whomsoever for any claims, damages, actions, or causes of actions of any kind or
character arising out of,. allegedly arising out of or by reason of the performance, negligent performance
or nonperformance of any work or part hereof by the other as provided herein; and each party further
agrees to defend at its sole cost and expense any action or proceeding commenced for the purpose of
asserting any claim of whatsoever character arising in connection with or by virtue of performance of its
own work as provided herein.
XIII
It is further agreed that any and all employees of the City and all other persons engaged by the
City in the performance of any work or services required or provided herein to be performed by the City
shall not be considered employees, agents or independent contractors of the County, and that any and all
claims that may or might arise under the Workers' Compensation Act or the Unemployment
Compensation Act of the State of Minnesota on behalf of said City employees while so engaged any and
all claims made by any third parties as a consequence of any act or omission on the part of said City
employees while so engaged in any of the work or services provided to be rendered herein shall be the
sole responsibility of the City shall in no way be the obligation or responsibility of the County.

Any and all employees of the County and all other persons engaged by the County in the
performance of any work or services required or provided for herein to be performed by the County shall
not be considered employees, agents or independent contractors of the City, and that any and all claims
that mayor might arise under the Workers' Compensation Act or the Unemployment Compensation Act
of the State of Minnesota on behalf of said County employees while so engaged and any and all claims
made by any third parties as a consequence of any act or omission on the part of said County employees
while so engaged in any of the work or services provided to be rendered herein shall be the sole
responsibility of the County and shall in no way be the obligation or responsibility of the City.
XIV
The provisions of Minn. Stat. See. 181.59 and of any applicable local ordinance relating to Civil
Rights and discrimination and the affirmative action policy statement of Scott County shall be considered
a part of this agreement as though fully set forth herein.
