BACKGROUND: Improvements contemplated to CSAH 21 and CSAH 42 are included in the approved Capital Improvement Program. The CSAH 21 plan is for construction of a four lane urban roadway from CR 82 to CSAH 42. The project includes a 6' concrete sidewalk on the east side from CR 82 to Lord's Street, an 8' bituminous bike trail from Lord's Street to CSAH 42, grading, storm sewer, utility crossings, concrete curb and gutter, bituminous surfacing, and appurtenant work. As part of this project, CSAH 21 will be established at its final grade which will reduce some of the vertical variations presently in the road. The CSAH 42 plan is for a four lane rural roadway with an 8' bituminous bike trail on the south side. Sanitary sewer and watermain will be installed with this project. Sanitary sewer includes a crossing and the extension of sewer from Pike Lake Trail east to Rolling Oaks Circle. Watermain trunk line is proposed to extend from Femdale Avenue west to Pike Lake Trail. Excess fill from CSAH 21 will be used in construction of CSAH 42 to achieve a cost savings. A regional water quality pond is proposed north of CSAH 42 and west of Pike Lake Trail. The regional pond will handle runoff for the CSAH 42 project to meet the Nationwide Urban Runoff Program (NURP) standards. The County agreed to contribute all right-of-way and construction costs associated with the two NURP ponds that had originally been required for the project. The original regional pond concept included acquisition of 18.5 acres of land to construct the pond. City staff is currently negotiating with property owners to acquire an easement for the pond construction. Parking will not be possible on CSAH 21 or CSAH 42 as the proposed width does not meet MnDOT minimum standards for a four lane road. The enclosed Resolutions 97-XX and 97-XX prohibit parking on CSAH 21 and CSAH 42. DISCUSSION: The detailed plans are available at the Public Works office for city council review. Scott County staff will be in attendance to briefly present the construction plans and respond to any questions the council has. AG422 I CA.DOC The City's share of the costs for the CSAH 21 cooperative a~reement are for storm sewer, curb and gutter, watermain and sanitary sewer crossings, sidewalk, bike path, traffic control signal system and ponding right-of-way. The cost breakdown for the cooperative agreement based on the engineer's estimate is as follows: Storm Sewer Driveway, Curb and Gutter Bike Path and Sidewalk Traffic Control System 18% Engineering Ponding Right of Way Water and Sanitary Sewer (include. 3% admin.) TOTAL City's Share of Cost $220,457.00 $56,352.63 $48,191.83 $29,425.00 $63,796.77 $16,380.00 $98,846.01 $533,449.22 A requirement of the cooperative agreement is that the City provide right-of-way along the east side of CSAH 21 north of Lord's Street. The right-of-way is necessary for construction of the roadway and is currently park land (Raspberry Ridge Park). As part of the cooperative agreements, the City shall provide enforcement of "No Parking" on CSAH 21 and CSAH 42. The City's share of the costs for the CSAH 42 cooperative a~reement are for storm sewer, curb and gutter, bike path, sanitary sewer, watermain and regional pond. The cost breakdown for the cooperative agreement based on the engineer's estimate is as follows: Storm Sewer Driveway, Curb and Gutter Bike Path Traffic Control System 18% Engineering NURP Pond Credit Water and Sanitary Sewer (incl. 3% admin.) Regional Pond(includes 3% admin.) Total City's Share of Cost $68,343.75 $1,616.50 $132,678.00 $3,420.00 $37,090.49 - $76,400.00 $268,096.13 $145,954.09 $580,798.96 AG422ICA.DOC The NURP pond credit is the county's reimbursement for the two smaller NURP ponds that would have been required for this project if the regional pond was not constructed. The costs in the cooperative agreements for CSAH 21 and CSAH 42 are based on engineer's estimates and are not included in the Resolutions for approval as the amounts of the cooperative agreements will be adjusted based on actual bids. AL TERNA TlVES: The alternatives are as follows: 1. Approval of Resolutions 97-XX, 97-XX, 97-XX and 97-XX as required from to implement the improvements to CSAH 21 and CSAH 42. 2. Table this item for a specific reason. 3. Deny this agenda item for a specific reason. RECOMMENDATION: Approve Alternative No.1. FINANCIAL IMP ACT: The CSAH 21 project will be paid through the 1996 bond issue. The CSAH 42 project will be paid through the 1997 bond issue. The CSAH 21 project was bonded in 1996 for $475,000. The balance above this amount will be funded through the Trunk Reserve fund. The CSAH 42 project was bonded for in 1997 in the amount of $321,000 with the balance from the Trunk Reserve fund. The Cooperative Agreements for County Project S.A.P. 70-621-13, improvement of CSAH 21, and County Project S.A.P. 70-642-10, improvement of CSAH 42, are attached. The total cost of both projects is $6,572,405.13. The total City cost is estimated to be $1,114,248.18. The total will be adjusted based on actual construction costs. NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF PRIOR LAKE, MINNESOTA, that said plans and specifications be in all things approved, and BE IT FURTHER RESOLVED, that the Construction Cooperative Agreement between the City of Prior Lake and Scott County is hereby approved and the Mayor and City Manager are authorized to execute said agreements. (612) 447-4230 / Fax (612) 447-4245 AN EQUAL OPPORTUNITY EMPLOYER County Project No. SAP 70-621-13 City of Prior lake County of Scott CONSTRUCTION COOPERATIVE AGREEMENT THIS AGREEMENT, made and entered into this _ day of , 1 9 -' by and between the County of Scott, a body politic and corporate under the laws of the State of Minnesota, hereinafter referred to as the "County" and the City of Prior Lake, a body politic and corporate under the laws of the State of Minnesota, hereinafter referred to as the "City". WITNESSETH: WHEREAS, the County and the City have been negotiating to bring about the improvement or County State Aid Highway 21 rrom CR 82 (1 54th Street NW) to CSAH 42 (Engineer's Stations 0 + 00 to 81 + 12.91) as shown on the County Engineer's plans for SAP 70-621-13 which improvement contemplates and includes grading, aggregate base, plant-mixed bituminous surface, concrete curb and gutter, traffic signal, storm sewer, landscaping and other related improvements; and WHEREAS, the above described project lies within the corporate limits or the City, and WHEREAS, the County Engineer has heretorore prepared an engineer's estimate of quantities and unit prices of material and labor for the above described project and an estimate of the total cost for contract work in the sum of two million seven hundred sixteen thousand six hundred forty-two dollars and forty cents ($2,716,642.40). A copy of said estimate (marked Exhibit "A") is attached hereto and by this reference made a part , , hereof; and -. WHEREAS, the City proposes to include some utility improvements, City Project 95-08, In conjunction with SAP 70-621-13, which improvements contemplate and include watermain and sanitary sewer; and County Project No. SAP 70-62'1-13 City of Prior lake County of Scott WHEREAS, the City's Engineer has heretofore prepared an engineer's estimate of quantities and unit prices of material and labor for the above described City utility project and an estimate of the total cost for contract work in the sum of $95,967.00. A copy of said estimate (marked Exhibit "B") is attached hereto and by this reference made a part hereof; and WHEREAS, it is contemplated that said work be carried out by the parties hereto under the provisions of M.S. See. 162.17, Subd. 1; and WHEREAS, the County needs to acquire additional right-of-way for the construction of CSAH 21 from the City of Prior lake. NOW, THEREFORE, IT IS HEREBY AGREED: The County or its agents wi II advertise for bids for the work and construction of the aforesaid Project No. SAP 70-621-13 and City Project 95-08, receive and open bids pursuant to said advertisement and enter into a contract with the successful bidder at the unit prices specified in the bid of such bidder, according to law in such case provided for counties. The contract is in form and includes the plans and specifications prepared by the County or its agents, which said plans and specifications are by this reference made a part hereof. II The County shall administer the contract and inspect the construction of the contract work f contemplated herewith. The City Engineer shall cooperate with the County Engineer and his staff at their request to the extent necessary, but shall have no other responsibility for the supervision of the work, except for the construction engineering related to the City of Prior Lake's project, City Project 95-08. 2 County Project No. SAP 70-621-13 City of Prior lake County of Scott III The City shall reimburse the County for its share in the construction cost of the contract work for said project and the total final contract construction cost shall be apportioned as set forth in the Divisio!! of Cost Summary in said Exhibit "A" attached hereto. The City shall reimburse the County for the total construction cost of the contract work for City Project 95-08 as shown in Exhibit /I B" attached hereto. It is further agreed that the Engineer's Estimates referred to in this agreement are estimates of the construction cost for the contract work on said projects and that the unit prices set forth in the contract with the successful bidder and the final quantities as measured by the Engineer shall govern in computing the total final contract construction cost for apportioning the cost or said projects according to the provisions of this paragraph. IV In addition to payment of the City's proportionate share of the contract construction cost, the County and the City further agree to participate in the Preliminary Engineering, which includes all costs of planning, design and preparation of plans and specifications, in an amount or ten percent (10%) of the cost or construction. The County and City further agree to participate in the construction engineering, which includes the complete staking, inspection and supervision of the construction, in an amount or eight percent (8 %) of the final contract amount. The County and City further agree to participate in the administration of City contract work, which includes coordination with the contractor, processing of payment, and preparation of contract documents (change orders/supplemental agreements), in an amount of three percent (3%) of the final City contract amount. Participation of engineering costs by the City shall be the same percentage as the total construction participation. 3 County Project No. SAP 70~621-1 3 City of Prior lake County of Scott The cost of the items in which the County shall participate shall be based on the unit prices in th~ contract and the final construction quantities as determined by the Project Engineer in charge. The County and the City shall participate in the cost of the storm sewer construction as shown in Exhibit "A" and per the Scott County Highway Department's "Policies for Cost Participation with Municipalities." v The City shall, based on the contract price, deposit with the Scott County Treasurer one hundred percent (100%) of the estimated City's share of the construction and engineering costs as payment within thirty (30) days after award of contract and execution of this Agreement, whichever is later. The final amount of the City's share of construction and engineering costs of these projects shall be determined and any amount due paid to the County upon completion of the projects and submittal to the City of the County's final, itemized, statement of the project costs. In the event the initial payment exceeds the City's share of these final costs, such overpayment shall be returned to the City by the County. VI The County Engineer shall prepare monthly progress reports as provided in the specifications. A copy of these reports shall be furnished to the City upon request. ~ 4 County Project No. SAP 70-621-13 City of Prior Lake County of Scott VII All records kept by the City and the County with respect to this project shall be subject to examination by the representatives of each party hereto. All data collected, created, received, maintained or disseminated for any purpose by the activities of the County or City pursuant to this Contract shall be governed by Minnesota Statutes Chapter 13, as amended, and the Minnesota Rules implementing such Act now in force or hereafter adopted. VIII The County reserves the right not to issue any permits for a period of five (5) years after completion of the project for any service cuts in the roadway surfacing of the County Highway included in this project for any installation of underground utilities which would be considered as new work; service cuts shall be allowed for the maintenance and repair of any existing underground utilities. IX The City agrees that any City license required to perform electrical work within the City shall be issued to the Contractor or the County at no cost to the Contractor or the County. Electrical inspection fees shall be not more than those established by the State Board of Electricity in the most recently recorded Electrical Inspection Fee Schedule. All fees, permits, bonds, etc., shall be issued to the Contractor or the County at no cost to the Contractor or the County. 5 County Project No. SAP 70-62 i -13 City of Prior lake County of Scott x The City shall install, or cause the installation of an adequate three wire, 120/240 Volt, single phase, alternating current electrical power connection to the controller cabinet for the traffic signal system at the CR 82 and CSAH 21 intersection at the sole cost and expense of the City. The City shall provide the electrical energy for the operation of the traffic control signal system and integral street I ights to be installed at the CR 82 and CSAH 21 intersection, all at the sole cost and expense of the City. The City shall be responsible for all costs to provide the electrical energy for the operation of the traffic control signal system, integral street lights and for all costs associated with the installation and operation of the Emergency Vehicle Preemption system installed with the traffic signal system to be installed at the CR 82 and CSAH 21 intersection (City of Prior lake 100%). XI The City shall not revIse by addition or deletion, nor alter or adjust any component, part, sequence, or timing of the aforesaid traffic control signal systems; however, nothing herein shall be construed as restraint of prompt, prudent action by properly constituted authorities in situations where a part of such traffic control signal system may be directly involved in an emergency. 6 County Project No. SAP 70-621-13 City of Prior Lake County of Scott XII Upon completion of the work, the County shall maintain and repair said traffic control signal system at the CR 82 and CSAH 21 intersection at the sole cost and expense of the County. Further, the County shall maintain the integral street lights for the City except for maintaining photoelectrical controls, relamping, glassware, and cleaning of the glassware thereof. The City shall maintain and repair the Emergency Vehicle Preemption system at the sole cost and expense of the City. XIII The City shall, at its own expense, remove and replace all City owned signs that are within the construction limits of this project. XIV Upon completion of this project, the County, at its expense, shall place the necessary signs and the City, at its expense, shall provide the enforcement for the prohibition of on-street parking on that portion of CSAH 21 constructed under this project. No modification of the above parking restridions shall be made without first obtaining a resolution from the County Board of Commissioners permitting said modification. XV The City shall provide the County with the right-of-way required for the construdion of these projects for any parcels that are City property. XVI - , Neither the County, its officers, agents or employees, either in their individual or official capacity, shall be responsible or liable in any manner to the City for any claim, demand, action or cause of adion of any kind or character arising out of, allegedly arising out of or by reason of the performance, negligent 7 County Project No. SAP 70-621:'13 City of Prior Lake County of Scott performance or nonperformance of the hereinbefore described maintenance, restoration, repair or replacement work by the City, or arising out of the negligence of any contractor under any contract let by the City for the performance of said work; and the City agrees to defend, save and keep said County, it? officers, agents and employees harmless from all c1aims, demands, actions or causes of action arising out of negligent performance by the City, its officers, agents or employees. XVII It is further agreed that neither the City, its officers, agents or employees, either in their individual or official capacity, shall be responsible or liable in any manner to the County for any c1aim, demand, action or cause of action of any kind or charader arising out of, allegedly arising out of or by reason of the performance, negligent performance or nonperformance of the hereinbefore described maintenance, restoration, repair or replacement work by the County, or arising out of the negligence of any contrador under any contract let by the County for the performance of said work; and the County agrees to defend, save and keep said City, its officers, agents and employees harmless from all c1aims, demands, adions or causes of action arising out of negl igent performance by the County, its officers, agents or employees. XVIII It is further agreed that each party to this agreement shall not be responsible or liable to the other or to any other person whomsoever for any claims, damages, actions, or causes of actions of any kind or character arising out of, allegedly arising out of or by reason of the performance, negligent performance or nonperformance of any work or part hereof by the other as provided herein; and each party further " agrees to defend at its sole cost and expense any action or proceeding commenced for the purpose of asserting any claim of whatsoever character arising in connection with or by virtue of performance of its own work as provided herein. 8 County Project No. SAP 70-621-13 City of Prior Lake County of Scott XIX It is further agreed that any and all employees of the City and all other persons engaged by the City in the performance of any work or services required or provided herein to be performed by the City shall not be considered employees, agents or independent contractors of the County, and that any and all claims that mayor might arise under the Worker's Compensation Act or the Unemployment Compensation Act of the State of Minnesota on behalf of said City employees while so engaged and any and all claims made by any third parties as a consequence of any act or omission on the part of said City employees while so engaged in any of the work or services provided to be rendered herein shall be the sole responsibility of the City shall in no way be the obligation or responsibility of the County. Any and all employees of the County and all other persons engaged by the County In the performance of any work or services required or provided for herein to be performed by the County shall not be considered employees, agents or independent contractors of the City, and that any and all claims that mayor might arise under the Worker's Compensation Act or the Unemployment Compensation Act of the State of Minnesota on behalf of said County employees while so engaged and any and all claims made by any third parties as a consequence of any act or omission on the part of said County employees while so engaged in any of the work or services provided to be rendered herein shall be the sole responsibility of the County and shall in no way be the obligation or responsibility of the City.
