GREEN COMPANY JUNE 16, 1997 SUBJECT: INTRODUCTION: The purpose of this Agenda item is to consider approval of MSA's assignment to Howard R. Green (HRG) of the existing agreements and contracts between the City and MSA. BACKGROUND: MSA combined its business operations with HRG as of May 16, 1997. As a houskeeping issue for MSA they need to obtain the Citys written consent for the assignment to HRG of our existing agreements and contracts. DISCUSSION: The attached letter from MSA gives more specifics of this merger. As indicated, apart from this assignment the terms and conditions of our existing agreements and contracts will remain unchanged. Current operating procedures and Project Managers do not change. Mr. Craig Ebeling will remain as our main contact with the company. With time, the name MSA will disappear, however, the same personnel will continue to serve our engineering needs. ISSUES: With this merger comes the potential for reduced service. I have discussed this with Mr. Ebeling and he assures me that this merger will be transparent to their clients and that we will actually experience a significantly enhanced level of service due to increase capabilities. As it is my intention to establish a pool of consultants for the City to work with prior to next construction season, I believe this gives HRG every incentive to provide the City with outstanding service. ALTERNATIVES: The alternatives are: 1. GREEN COMPANY, AND CONSENT TO ASSIGNMENT OF CONTRACTS Dear ?\1r. Ilkka: We are very pleased to advise you that Maier Stewart and Associates, Inc. (MSA) has combined its business operations with Howard R. Green Company (HRG) pursuant to the terms of an Asset Purchase Agreement. HRG has developed a sterling reputation in their 80 + years of operation in the Midwest. HRG' s principal office is located in Cedar Rapids, Iowa, and it also has offices in Des Moines, Iowa City, and Sioux Falls, South Dakota. The combination of our staff with the staff of HRG will allow HRG to provide a significantly enhanced level of service to you. HRG will deliver the same services that we have provided in the past, such as general municipal engineering, traffic and transportation engineering, and water treatment engineering, as well as being able to provide services that we could not provide before, such as mechanical and electrical engineering and airport services. As a result of the combination of the operations of MSA and HRG, you will have the benefit of working with a full service professional engineering company. What has made this combination so appealing to us is that we are able to gain all of the strengths associated with the ability to provide enhanced services, without losing the personal contacts that MSA has with you. Our professional engineers and other technical people will be joining HRG as part of the combination and will continue to work for you from our same office in St. Paul, as we always have. We finalized all of the legal work for the combination on May 16, 1997. MSA has agreed to assign to HRG all of MSA's rights and obligations under any and all existing contracts and agreements between MSA and you. HRG will assume MSA's obligations under such contracts and agreements. Apart from the assignment, the terms and conditions of the agreements and contracts will remain unchanged. One of the housekeeping items that we need to address as part of this process is to obtain your written consent to MSA's assignment to HRG of the existing agreements and contracts between MSA and you.
