PRIOR LAKE CITY COUNCIL STUDY SESSION

ANNEXATION
A. South Shore Drive.
1. The Minnesota Municipal Board initiated annexation proceedings for property located
in Annexation Task Force Study Areas 7E & 7F.
2. The MMB ordered the parties to "meet and confer" a minimum of three (3) times
over a sixty (60) day period. The sixty (60) days ends on October 17, 1997.
3. The parties have met four (4) times and formally requested the MMB to extend the
period of time until November 17, 1997. Attached are the agenda and minutes from the four (4)
meetings and the extension request to the MMB.
4. On October 10, 1997 the MMB extended the meet and confer period to November
17, 1997.
B. "Meet and Confer" Meetin~s.
1. Watershed District funded engineering feasibility study. Preliminary feasibility study
shows cost of $1.39 million.
2. Township provided additional fund to look at pressured system as an alternative to
hooking up to City sewer and water.
3. Parties working towards developing and agreeing on assessment allocation which
they hope City or Township will accept.
4. Campbell Knutson is attorney for Spring Lake Township. On October 9, 1997 Board
voted to waive any conflict.
5. City and Township representatives to meet to discuss Special Service District:
a. Township assesses or levies for cost of improvement
b. City contracts with Township to provide municipal services.
c. Orderly Annexation Agreement is amended.

The above-entitled matter came on for hearing before the Minnesota Municipal
Board pursuant to Minnesota Statutes 414, as amended, on July 7 and 8, 1997 in the
Prior Lake Senior High School auditorium in the City of Prior Lake, County of Scott.
The hearing was conducted by Lea De Souza Speeter, Vice Chair, pursuant to
Minnesota Statutes 414.01, Subdivision 12. Also in attendance were Paul B. Double,
Chair; then member Robert J. Ferderer, Vice Chair; and County Commissioners Art
Bannerman and Ralph Malz, Ex-Officio Members of the Board.
The petitioners appeared by and through Douglas Kempf, Attorney at Law; the
Town of Spring Lake appeared by and through Andrew MacArthur, Attorney at Law; the
City of Prior Lake appeared by and through Suesan Pace and Matthew Brokl, Attorneys
at Law; the Prior Lake-Spring Lake Watershed District appeared by and through James
D. Bates, Attorney at Law, and Orlin Schafer; Deerfield Development Company
appeared by and through Bryce Huemoeller, Attorney at Law; Citizens Opposed to

Incorporation of Spring Lake Township appeared pro se; Metropolitan Council
appeared by and through Jeanne K. Matross, Attorney at Law. Testimony was heard
and records and exhibits were received.
After due and careful consideration of all the evidence, together with all records,
files and proceedings, and public testimony, the Minnesota Municipal Board hereby
makes and files the following Findings of Fact, Conclusions of Law, and Order.
FINDINGS OF FACT
1. On May 15, 1997 a copy of a petition by 172 property owners for
incorporation of Spring Lake Township, hereinafter referred to as "Town," was filed with
the Minnesota Municipal Board pursuant to Minnesota Statutes Section 414.02, Subd.
1. The petition contained all of the information required by statute, including a
description of the territory for incorporation, which is as follows:
All of the Town of Spring Lake, Scott County, Minnesota.
2. Due, timely and adequate legal notice of the hearing was published,
served and filed.
3. In 1996, the Town had a population of approximately 3,415 and an
estimated number of households of 1,092; in 1990 the population was approximately
2,853 and the number of households was estimated at 899.
4. The area subject to incorporation is unincorporated and is approximately
20,796 square acres in size. The Town abuts the Cities of Prior Lake and Shakopee,
and the Towns of Louisville (at a single point), Sand Creek, Helena (at a single point),
Cedar Lake, New Market (at a single point), and Credit River.
5. Waterways in or adjacent to the Town include Spring Lake, Crystal Lake,

Fish Lake, Kane's Lake, and portions of McMahon and Cynthia Lakes, and other
protected waterways as classified by the Department of Natural Resources, (hereinafter
referred to as "DNR"), including numerous wetland areas as identified by the DNR and
the National Wetland Inventory.
6. Soils and terrain in the Town include water masses, agricultural lands and
glacial lakes and basins. The surface soil is gray calcereous shale-rich clayey till.
7. As. of 1994, the Town had approximately 14,247.7 acres, or 68.5%, in
agricultural use; approximately 5,781.1 acres, or 27.8%, in combined residential uses;
approximately 86.2 acres, or .4%, in commercial use; approximately 18.8 acres, or .1 %,
in industrial use; and approximately 665.7 acres, or 3.2%, devoted to open space and
public uses.
8. The Scott County Assessor's Office indicates approximately 12,552.86
acres in current agricultural uses as of July, 1997. Even though the Town has lost
approximately 1,700 acres of farm land in the last three years, over half of the Town's
total acreage is still devoted to agricultural land uses.
9. Transportation serving the Town includes State Highways 13 and 282;
County State Aid Highways 17,81,10,12,23; and, county roads 79, 81,68,87, as well
as township roads. The Town has approximately 32.138 miles of township roads.
10. The Town is included in Scott County's comprehensive plan and subject
to its zoning and subdivision ordinances. The Town and the City of Prior Lake have an
orderly annexation agreement which dates back to 1972 and which designates
approximately 5,760 acres of township land for annexation to the City of Prior Lake.
11. Planning in the area of the Town included in the 1972 orderly annexation

agreement between the Town and the City of Prior Lake is directed by a three member
planning board which includes one member each from Scott County, the City of Prior
Lake and the Town.
12. The Town Board submitted a resolution of nonsupport for the
incorporation petition.
13. The Town is also within the planning jurisdiction of the Metropolitan
Council.
14. The Regional Blueprint, as established by the Metropolitan Council, is the
comprehensive development guide for the metropolitan area. The regional growth
strategy designates three planning areas: (1) the current Metropolitan Urban Service
Area (MUSA); (2) an illustrative 2020 urban service area designed as the starting point
for discussions with local governments about the staging of urban development through
2020; and (3) a 2040 urban reserve boundary as the maximum area for regional
services through 2040. Area outside the 2040 urban reserve boundary is designated
as permanently rural.
15. The Town has no land within the current MUSA or the illustrative 2020
" '..
urban service area. About one third of the Town, adjacent to the City of Prior Lake, is
included within the 2040 urban reserve boundary. The remainder of the Town is
designated as permanently rural.
16. The area designated as post-2020 urban reserve is considered by the
Council as temporarily rural. No urban scale development should be planned by the
Town for this area before 2020. The Town is not now urban nor is it planned to be
urban before 2020.

17. The Town currently does not receive any regional system services and no
such services are planned for the Town.
18. Metropolitan Council policy does not provide for regional sewers or
transportation facilities with urban service levels to areas outside the urban reserve
boundary before 2040, if ever.
19. The City of Prior Lake has planned for extension of local sewers to
portions of the Town through its orderly annexation agreement with the Town.
20. The Municipal Board reduced the area under consideration for
incorporation by accepting an amendment to the existing joint agreement, previously
submitted to the Board and pending at the time of this hearing, thereby annexing
approximately 261.25 acres out of the area designated for orderly annexation agreed to
by the Town and the City of Prior Lake.
21. The Town receives fire protection through a joint powers agreement with
the City of Prior Lake, and police protection from the Scott County Sheriff. If
incorporated, the Town would renegotiate its fire contract or obtain fire services from
other surrounding communities and contract with Scott County for police protection.
Town roads and parks are served on a contract basis.
22. Properties within the Town have individual sewage systems and wells.
The Town has no immediate plans to provide sewer or water services.
23. Spring Lake, located in the Town, is an important recreational resource.
However, the magnitude of algal blooms during the growing season places the lake in
the worst 33% of lakes in the Central Hardwoods Region.
24. The Prior Lake-Spring Lake Watershed District (hereinafter "the District")

is a watershed of the Minnesota River. The watershed is located entirely in Scott
County and is adjacent to the Credit River and Sand Creek watersheds. The direct
watershed area to Spring Lake encompasses 13,250 acres.
25. The District is currently implementing a Watershed Management Plan that
includes a six year Comprehensive Water Quality I mprovement Project focusing on
Prior-Spring Lakes improvement. The Comprehensive Water Quality Improvement
Project promotes upland conservation practices and water quality protection efforts.
26. Citizens Opposed to Incorporation of Spring Lake Township presented
substantial evidence as to failing on-site septic systems along South Shore Drive of
Spring Lake. A majority of these failing on-site systems were installed prior to 1975 and
pose a potential risk to the health, safety and welfare of the residents of that area.
In addition, these failing systems are endangering the water quality of
the lake.
27. The lot size of most of these properties precludes alternative options to
address these failing systems.
28. By letter dated July 2, 1997, the Minnesota Pollution Control Agency
recommended that waste water treatment be provided through the City of Prior Lake at
the Metropolitan Council's Blue Lake Regional Wastewater Treatment Facility in
Shakopee due to the high percentage of noncomplying on-site systems in the area of
South Shore Drive near Spring Lake.
29. At the request of the citizen group opposed to incorporation, the Municipal
Board initiated annexation proceedings for approximately 80 acres along South Shore
Drive area to the City of Prior Lake. This area is also within the orderly annexation area

and will require additional hearing by the Board.
30. The petitioners testified that the newly incorporated City of Spring Lake
could provide an urban level of municipal services more cost-effectively that could the
City of Prior Lake. No competent fiscal data or expert testimony was presented to
support this statement.
31. The total bonded indebtedness of Spring Lake Township is $129,000.
The tax capacity rate for the Town is 9.280. The tax capacity rate for Scott County is
41.683; the City of Prior Lake is 37.721; and the Prior Lake School District is 60.710.
32. Incorporation of the Town would effectively preclude, and is contrary to,
the existing orderly annexation agreement in effect between the City of Prior Lake and
the Town.
33. In the absence of any credible evidence to demonstrate how the Town,
as an incorporated city would be able to address the issue of failing septic systems,
around Spring Lake in particular, the extension of municipal services through
annexation of at least some of the subject area to the adjacent municipality of Prior
Lake may be more appropriate.
CONCLUSIONS OF LAW
1. The Minnesota Municipal Board duly acquired and now has jurisdiction of
the within proceeding.
2. Incorporation is not in the best interests of the petitioners, the Town of
Spring Lake or the City of Prior Lake.
3. Municipal government through incorporation of the Town of Spring Lake is
not presently required to protect the public health, safety and welfare of the entire town.

4. The Town of Spring Lake has portions of land that are presently urban or
suburban or about to become so that are adjacent to a municipality that is providing or
is capable of providing additional necessary services to those portions of the Town.
5. The best interests of the area will not be furthered by incorporation.
6. The Minnesota Municipal Board should issue an order denying the petition
for incorporation.
ORDER
1. IT IS HEREBY ORDERED: That the petition for incorporation described in
Findings of Fact No.1 herein, is denied.
2. IT IS HEREBY ORDERED: That the effective date of this order is October
10, 1997.

MEMORANDUM
During the hearing on this matter, a former Board member characterized a long
day of hearing testimony in an inappropriate manner. The Board regrets that incident
occurred and has taken upon itself a renewed effort to be sensitive to all issues and
concerns presented to the Board.
It was unfortunate that as a result, the petitioners left the hearing, thereby
leaving the record incomplete as to the factual justification for their petition. The
evidence of record did not demonstrate that the petitioners met their burden of
establishing the necessity of adopting municipal powers to protect the health, safety
and welfare of the entire Town. Nor did the evidence demonstrate that the entire Town
was urban or suburban, or about to become so, thereby triggering the need for
municipal government.
On the contrary, the little evidence presented by petitioners indicated that the
whole thrust of their case was to prevent the City of Prior Lake from annexing areas out
of a preexisting orderly annexation agreement with the Town which dates back to 1972.
This agreement, while it may need some adjusting, is evidence that the elected officials
of the two jurisdictions have had a basis for an ongoing working relationship over the
years - something the Municipal Board will not disturb lightly - particularly when both
parties to the agreement opposed the incorporation petition and supported prior
annexations in the designated area.
Approving the petition for incorporation not only would negate the annexation

agreement in place between the Town and the City of Prior Lake, but would also disrupt
the regional planning and infrastructure of the area as directed by the Metropolitan
Council.
There may come a time when sufficient urbanization of the Town occurs so as to
justify the adoption of municipal powers. Until then, the Municipal Board encourages
the property owner petitioners in the present case to continue to work with their elected
officials so that future boundary changes reflect the best interest of the entire
community.
In the interim, the Municipal Board now has before it the annexation petition for
80 acres along South Shore Drive of Spring Lake. Prior to hearing this matter the
Board has directed the City of Prior Lake, the Town of Spring Lake, the Citizens
Opposed to I ncorporation and the residents of the area who oppose the annexation
(but supported the incorporation in the present case) to meet at least three times over a
period of sixty days to try to resolve the issues. The Board is hopeful that a local
resolution to the health and environmental dangers of the failing on-site systems can be
achieved.
The Municipal Board urges the groups involved to put this incorporation effort
behind them and to proceed to work together to address the protection of not only
Spring Lake but the surrounding area so that as the community grows it will do so in a
planned fashion, consistent with the orderly annexation agreement.

Dear Ms. Scotillo:
The purpose of this letter is to report on the status of the meetings ordered by the
Minnesota Municipal Board pursuant to it's authority under Minnesota Statutes Section 414.01 Subd.
16 and to request that the Board extend the period for the Parties to "Meet and Confer" from October
16, 1997 to November 17, 1997.
The Parties have received notice of the MMB meeting on October 10, 1997 and although
the matter captioned above is not on the Board's agenda we anticipate the Board may be interested in
the results and progress the Parties are making. The Parties have authorized me to provide you with
this "progress report" and to request an extension of time until November 17, 1997. The Parties also
have agreed that this progress report will be the only communication with the MMB on October 10,
1997 and that individual Parties will not address the Board even if requested to do so.
1. REQUEST FOR EXTENSION
At its August, 1997 meeting, the MMB ordered the Parties to meet at least three (3) times
over a sixty (60) day period to discuss the Petitioners request for annexation. It is our understanding
that the sixty (60) days expires on October 16, 1997. The Parties request that the period be extended
until November 17, 1997. If the Parties have not reached a consensus by that date, we will assume the
MMB will schedule a hearing on the proposed annexation.

2. PROGRESS REpORT
As of September 29, 1997 the Parties have met four (4) times; August 28,
1997, September 4, 1997, September 10, 1997 and September 29, 1997. Enclosed are copies of the
agenda and minutes of those meetings. A meeting is scheduled for October 15, 1997 and the Parties
expect to meet regularly until November 17, 1997.
Also enclosed is a letter dated September 4, 1997 to various agencies inviting them to attend the
"Meet and Confer" meetings. Jim Uttley from the Metropolitan Council has attended almost all of the
meetings; except for the meeting on September 10, 1997 when Jack Frost, also from the Metropolitan
Council, addressed the Parties.
As the agenda reflect, the meetings have focused on the issue of sewer and water. The
Spring Lake-Prior Lake Watershed District provided funding to retain an engineering firm to prepare
a feasibility study. The feasibility study is expected to be completed prior to the next meeting on
October 15, 1997. We have requested assistance, through your office, from the Scott County
Appraiser. Weare hopeful the County Commissioners will agree to permit County Assessor Arnoldi
to prepare some appraisals of properties on South Shore Drive to determine how much the properties
will increase in Fair Market Value if they are connected to municipal services.
The individuals representing the City of Prior Lake and Spring Lake Township have
indicated a willingness to discuss Special Service Districts and to consider creative assessment strategies.
The Parties are making an earnest and pragmatic effort in the meetings to focus on the
issues, explore alternatives and, hopefully, identify a solution that all the Parties can support. I hope
this progress report is helpful to you and the Board.

The Special Assessment Policy should be treated as a guide rather than strict policy.
Ralph gave everyone copies of Prior Lake's Special Assessment Policy.
Criteria:
Must be a Special Benefit
Assessment can not exceed a benefit
Treat all property classes similar
i.e. residential must be assessed the same
All of the property included in this petition is residential
Public Initiated improvements:
Public hearing, assessment hearing are required
Three forms of assessment methods:
unit
acreage
front footage
Almost all of assessments are on a front footage basis. Ralph did give an example of
where unit policy was used: bridge on Martinson's Island. This example was used only
for construction of new bridge and not for utilities.
Regardless of whether unit basis or front footage basis, there is an additional acreage
Charge of $3,500/acre.
For unil assessments, Prior Lake first determines how a parcel could be subdivided and
bases the assessment on the potential number of lots the parcel can be subdivided into
on the number of dwelling units on a lot. A unit assessment can work real well
depending on the circumstance.

There was a discussion of basing a unit assessment on the number of homesteads in the
area in the petition and dividing the cost by the number of homesteads. Ralph said this
method has never been utilized and would have to be approved by the Prior lake City
Council.
The Prior Lake policy Is for homeowners that petition for water and sewer to pick up
100% of the cost in the area served by the improvement.
Ralph said that when a gravel road is initially blacktopped, residents pays 100% ofthe
cost. Thereafter,o the reconstruction costs are split 60%/40% with the large share borne
by the city.
Ralph said that there would be additional sewer water stubs that will be added for future
hookups. The number of sewer water stubs will be determined by the Prior Lake City
Council. No one can connect without a connection permit.
The typical bonding for pavement assessments is 10 years and the typical bonding tor
utilities Is 20 years. The typical interest rate is 8%. It must be at least 1% above the
bonding rate.
In the case of assessment appeals where the assessment has been lowered, there has
never been a reassessment on the rest of the properties in the area. The difference has
been paid out of city funds.
All property owners are required to hook up within a year after the installation. A well
would be allowed for outside usage only. No cross connection to the inside would be
allowed.
In addition to acreage charges and assessments, there are connection tees, and SAC
and WAC charges from the Metro Council.
The homeowner is responsible for the pipes to connect sewer and water lines to the
house.
The city bonds for a project and must recover the costs. The City Council requires
connections to both water and sewer - not just sewer only. The city council has not
waived this requirement or the requirement for curb and gutter. The City Council also
requires Prior Lake standard roads - 32 foot wide. This raises policy questions that will
have to be addresses.
This project is only looking at South Shore Drive and 1741h street. It is not looking at
Frances Ave. and the other streets that are platted but not presently built.
V Presentation on WSB proposal for Feasibility Reoort - Grea IIkka
Greg IIkka, P.E. City Engineer for Prior Lake introduced Don Sterna, P.E., Vice-
President, of WSB and Associates, Inc. WSB has been in existence 3 years. All
engineers have 15 - 35 years in the field. The firm has 35 people. They serve many
communities in the Twin Cities area and have much experience around lakes.
When he was asked about alternative systems. he said they did not have any experience
with Community type drainfield system. He said that they were not used in the metro
area. He said if a community drainfield system was used, there would still be the same
amount of piping required. He said the cost is in the pipe. One would still have to build

Financial Assessment of Petitioned Area:

lot of alternatives due to environmental issues.
He also said that the size of the pipe and installation does not make a lot of difference in
cost. Digging a pipe costs $6/foot for material.

The feasibility study looks at alternatives in getting the system in; calculating the size of
the system; storm sewer system; where the sewer system should go in since many have
the lake shore homes have a system between the house and the lake; potential costs of
easements; etc. There was some discussion on the need for alternatives to approach
the study.
There was a discussion by Terry Ambroz that some homes have cesspools that will need
to be replaced in 10 months due to changes in state law passed in June 1997. Other
homes have failing septic systems.
Frank wanted to know if the report would allow us to mix and match items if we desired.
One option will be to build the system and road to current city standards, The other
option would be to Install the pipes off-road. Donald said the results of the study would
be broken down to cost of pipes only, road costs, etc. so that we would know the "bare
bones. option.
The .Opponents. were also interested in the scope of the feasiblity study. Both the
Opponents and Proponents were interested in including alternatives. There was a
discussion that a sub-committee draft a joint statement of work that would include the
.Opponents., .Proponents., Met Council and Prior Lake Engineer. After further
discussion it was agreed that the Prior Lake Engineer would work with WSB and draft a
statement on the scope of the project. It was agreed that the Engineering study will
include sewer, water, curb, storm gutters, cost involved in "over sizing" system to
accommodate future water and sewer on future RaymondNergus Ave. extension, and
alternatives to a Municipal Sewer.
WSB stated that the feasibility study would take 5 to 6 weeks. Suesan Lea Pace stated
there was a 60 day clock set by the Municipal Board. This clock ends on Oct. 14.
However, this deadline can be extended by the Municipal Board if progress is being
made.
VI. Discussion Concernina Aporaisals
Note: At our previous meeling, we agreed that we need appraisals on a dozen homes in
order to estimate the dollar benefit that property owners will receive if water and sewer is
brought in.
A. Ed Bowler - Cost is $3,000 - $4,000 and will take 4 to 6 weeks
B. Scott County Assessor - Suesan lea Pace will see if Scott County Assessor will do it
for free.
VII. Fundina For Feasibilitv Study
Dave Moran of the Prior Lake-Spring Lake Watershed District said the Watershed
District will fund the "Municipal Services. portion of the study, but not the MAlternatives.
portion of the study. The Watershed Board will meet on Tuesday, Sept. 9 to formally
approve this study. If the project gets built, then the money for the feasibility study is a
loan that will be paid back out of the assessments for the project. This money comes
from an emergency fund that must be paid back.

Standard sewer system is a trench. Current state rules are 3 feet
between the bottom of the trench and the ground water level
Alternative systems are being looked at by the U of M. One example is
the site cluster system on Lake Washington. Concurrent study in 7
Minnesota - also in Duluth. Going on for last year to year and %. Study ·
will be complete next year.
Any system that treats oyer 10,000 gal per day is a state disposal system
and requires permits. For a 3 bedroom home, the MPCA - approximates
450 gallons per day/household. There is a safety factor in tank sizing and
drainfield sizing. How you use the system will impact the actual usage.
He suggested having water meters.
For a common drainfield option there would need to be a backup system if
it fails. Jack estimated that a typical house would need 5,000 square feet
Of&[ appropriate soil plus an additional 5,000 square feet for the extra
system. The tanks would also have to be pumped.
Another option discussed would be for each homeowner to have a
properly sized tank and overflow into a common conveyence systems.

There are 201 projects with 20 being cluster type systems. Jack talked
about problems with some of these systems. The amount of lift stations
have created problem.
A new septic system is $5,000 and a mound system is $10,000
Collection system is being used in St. Michael. The plan is for future -
water and sewer hookup.
If the system was properly designed, installed and maintained, they will
last a long long time. Any system will fail if you do not properly maintain
it.
There are small diamerter pressurized systems; other areas around the
system use 2" diameter pipes and pump to sewer treatment plants. City
of Independence uses a 4" force main.
Every household would have a grinder pump. Jack did not know the cost
of pressurized systems. With the system the pipe can be kept at a 7 foot
depth and can go up and down hills. Can trench it in at a cheaper price.
Not aware of any pressurized systems in Minnesota.
PCA has no free money. But has loans at 2 to 4%.

Brett Weiss of WSD was available to discuss the revis~ Feasibility
Study. It was agreed that the Introduction would be dropped along with
references to annexation. The "deliverables" paragraph would be added.
Subsoil soil borings will be needed during feasibility report. This will
allow WSB to refine costs by anticipating water where you suspect it to
be.
B. Approve Feasibility Study
It was decided to go with the "Typical Feasibility Study" with an Oct. 14
deadline. Item C (Alternative Sewer Study) was skipped due to lack of
funds. Item D (Subsoil Investigation) was reduced from $1,750 to $750
due to lack of funds. It was agreed that the study would be based on
fewer borings. With these changes, the cost will be $10,000.

A. County Assessor
Suesan still does not have a response from the County Assessor to her
request for free appraisals.
Suesan mentioned that Prior Lake is concerned that the cost of the
project may exceed the assessable benefit.
V. Subordinate Service Districts
There was an "early" discussion on Subordinate Service Districts. City is
willing toconsider contracting with the township to service a subordinate
service district in the township. The township and city need to meet to
see if an agreement can be brought to the table.
A Subordinate Service Districts "levies" the cost to the homeowner and
the cost can not be challenged. The "Benefit" to the homeowner does not
haye to be proven. A Special Service Project imposes levies.
A Subordinate Service District can be set up by a petition of 60% of the
residents.
The township would issue the bonds(debt instruments). Minnesota
Statutes state that a Subordinate Service District can be decertified by
51 % vote. It is unclear what would happen to the bonds (debt
instruments) if a Subordinate Service District would be decertified.
The City of Prior Lake could also set up a Subordinate Service District.
The land would have to be in the city. The city would petition under Mn

AGREEMENT To STAY PROCEEDINGS
I. RECITALS
WHEREAS, on August 7, 1997 Keep Spring Association, a Minnesota Non-Profit
Corporation ("Petitioner") filed the following captioned action in Scott County District
Court: Notice and Application for Review of the Municipal Board's Order's Dated July
8, 1997, July 9, 1997 and July 21, 1997 ("Appeal"); and
WHEREAS, the Petitioner in its Appeal is seeking to have the Court set. aside
certain decisions of the Minnesota Municipal Board concerning the Petition for
Incorporation of Spring Lake Township by Keep Spring Association, its Order allowing
the annexation by Joint Resolution of the City of Prior Lake and Spring Lake Township
of certain industrial land owned by Deerfield Development; and its Notice establishing
a Public Hearing on a Petition for annexation by a group of homeowners living adjacent
to Spring Lake along South Shore Drive ("Residents of South Shore Drive"); and
WHEREAS, the City of Prior Lake ("Respondent") and other parties identified in
Petitioners Appeal; including Kenneth E. Raschke, Jr., Assistant Attorney General,
counsel for The Minnesota Municipal Board; Christine M. Scotillo, Executive Director
of The Minnesota Municipal Board; Deerfield Development and its Attorney, Bryce
Huemoeller; A Group of Homeowners Living Adjacent to Spring Lake along South Shore
Drive and their Attorney, David Kirkman; Spring Lake Township and its Attorney,
Andrew McArthur; and Jeanne K. Matross, Associate General Counsel for the
Metropolitan Council have an interest in the decisions of the Minnesota Municipal Board
described in the Recital above; and
WHEREAS, on August 15, 1997, in connection with the Petition for Annexation
by the Residents of South Shore Drive, the Minnesota Municipal Board voted to invoke
its jurisdiction pursuant to Minnesota Statutes Section 414.01 Subd. 16 to ~ompel
representatives of Keep Spring Association, the Petitioner for Annexation of South Shore
Drive, the City of Prior Lake and Spring Lake Township to meet three (3) times within
the following sixty (60) day period (" Annexation Meetings ") for the purpose of attempting
to resolve the dispute between the parties; and
WHEREAS, the Petitioner, the Respondent, the Minnesota Municipal Board, the
Metropolitan Council, Deerfield Development, Spring Lake Township and the Group of
Homeowners Jiving Adjacent to Spring Lake along South Shore Drive (collectively
"Parties") have discussed the effect of the Appeal on the Annexation Meetings; and
WHEREAS, the Parties desire for the Annexation Meetings to proceed in a spirit

II. AGREEMENT
Now THEREFORE THE PARTIES AGREE As FOLLOWS:
1. The Parties agree to request that the Court recognize a Stay of the Proceedings for
the period during which the Parties participating in the Annexation Meetings.
2. Keep Spring Association and the City of Prior Lake will jointly advise the other
parties and the Court of the date the Annexation Meetings conclude.
3. By agreeing to a Stay of the Appeal none of the Parties to this Agreement waive
any rights, arguments or claims that exist now or arise in the future.
4. This Agreement to Stay Proceedings may be executed in any number of
counterparts, each of which shall constitute one and the same instrument.

reasonably be projected during the 5th and 15th year of existence for properties located in
Annexation Area 7 E & F or more commonly known as the South Shore Drive area near Spring
