Dear Sir or Madam:
We hereby issue, for the account of Scott H. Mickelson, dba Mickelson's Black Dirt and in your
favor, our Irrevocable Letter of Credit in the amount of $8,408.18, available to you by your draft drawn on
sight on the undersigned bank.
The draft must:
a) Bear the clause, "Drawn under Letter of Credit No. 101, dated August 8, 2003, of Prime
Security Bank".
b) Be signed by the Mayor or City Manager of the City of Prior Lake.
c) Be presented for payment at 1305 Vierling Drive, Shakopee, MN, on or before 3:00 p.m. on
August 8, 2004.
This Letter of Credit shall automatically renew for one additional year with a maturity date of
August 8, 2005 unless, at lease forty-five (45) days prior to the annual renewal date (which shall be August
8, 2004) the Bank delivers written notice to the Prior Lake City Manager that it intends to modify the terms
of, or cancel, this Letter of Credit. Written notice is effective if sent by certified mail, postage prepaid, and
� deposited in the U.S. Mail, at least forty-five (45) days prior to the annual renewal date addressed as
follows: Prior Lake City Manager, Prior Lake City Hall, 16200 Eagle Creek Avenue, Prior Lake,
Minnesota 55372-1714, and is actually received by the City Manager at least forty-five (45) days prior to
the renewal date.
This Letter of Credit sets forth in full our understanding which shall not in any way be modified,
amended, amplified, or limited by reference to any document, instrument, or agreement, whether or not
referred to herein.
This Letter of Credit is not assignable. This is not a Notation Letter of Credit. More than one
draw may be made under this Letter or Credit.
This Letter of Credit shall be governed by the most recent revision of the Uniform Customs and
Practice for pocumentary Credits, International Chamber of Commerce Publication No. 400.
We hereby agree that a draft drawn under and in compliance with this Letter of Credit shall be
duly honored upon presentation.

This letter is to remind you that the following information must be submitted prior
to the issuance of a grading permit for outdoor storage at the above referenced
address:
1. A 2-year letter of credit (LOC) guaranteeing the landscaping. The LOC must
be in an amount equal to 125% of the cost of the plants, mulching and
edgers, including installation. This cost may be determined by a bid or
estimate from a /andscape company.
2. A letter of credit (LOC) for earth material delivered and deposited on the site.
Please submit the letters of credit by Wednesday, July 16, 2003. Your continued

Upon review of the above referenced development application, I offer the
following comments:
1. The applicant shall submit evidence of recording of the Monitoring and
Maintenance Agreement.
2. The applicant shall submit a 2-year letter of credit (LOC) guaranteeing the
landscaping. The LOC must equal 125 percent of the cost of the plants,
mulching, and edgers, including installation.
