MN 55372 �1VESD� ECONOMIC DEVELOPMENT AUTHORITY AGENDA REPORT MEETING DATE: February 19, 2013 AGENDA #: 7A PREPARED BY: Casey McCabe, Community Development Specialist AGENDA ITEM: ELECTION OF OFFICERS FOR 2013 DISCUSSION: I ntroduction The purpose of this agenda item is to elect EDA officers in accordance with the Bylaws of the Prior Lake Economic Development Authority. Hi StON The City Council adopted bylaws to help the EDA accomplish its objectives. The bylaws provide for the periodic election of officers. Article 5.1 of the EDA bylaws (Officers, Duties and Rules) states, "OFFICERS. The EDA shall elect a presi- dent, a vice-president, a treasurer, a secretary, and an assistant treasurer annu- ally at the first meeting of the year. A commissioner must not serve as president and vice-president at the same time. The other offices may be held by the same commissioner. The offices of secretary, treasurer and assistant treasurer need not be held by a commissioner. The EDA shall elect the Financial Director of the City of Prior Lake as the treasurer." Bylaws state officers shall be elected annu- ally at the first meeting of the year; however, due to a vacancy, EDA commis- sioners chose to defer officer elections until a 5-member authority was in place. Current Circumstances Now that Councilor Keeney has been appointed to the EDA by the mayor and confirmed by the city council, the body is back at "full strength". Current officers are: President, Commissioner Hedberg; Vice President, Commissioner Morris, Secretary, Executive Director Boyles; Treasurer, Finance Director Erickson. It is appropriate that the EDA appoint the following positions: President Vice President Secretary Treasurer Assistant Treasurer Conclusion The EDA should determine who desires to assume various officer positions and formalize such action by vote. The president of the EDA has the same powers as other EDA members. In ad- dition, the president may speak for the EDA and assume the responsibility for certain ceremonial duties (grand openings, ground breakings, etc.). The presi- dent also chairs the regular and special meetings of the EDA. The vice presi- dent assumes the duties of the president in his/her absence. Neither the secretary nor treasurer offices need to be held by an EDA commis- sioner. Staff recommends the EDA designate the Executive Director, Frank Boyles, as secretary of the EDA. As stated in the EDA bylaws, the EDA shall elect the Financial Director of the City of Prior Lake as the treasurer. The EDA shall designate the Finance Director, Jerilyn Erickson, as treasurer of the EDA. The office of assistant treasurer need not be held by a commissioner. Staff rec- ommends the EDA designate the Community & Economic Development Direc- tor, Dan Rogness, as assistant treasurer. FINANCIAL There is no additional compensation for members of the EDA who serve as an IMPACT: officer, beyond that which is received by all commissioners. There is no addi- tional compensation to city staff inembers who serve as an officer of the EDA. ALTERNATIVES: 1. Motion and second electing the EDA president, vice president, treasurer, secretary and assistant treasurer for 2013. 2. Provide direction to staff and continue discussion at a future meeting.
